Terms of Service
PrimeQuest Solutions, LLC (the “Website” and/or “PrimeQuest”) is a distributor of licensed platforms utilizing solutions from Datacultr Fintech Limited (“Datacultr” or “Company”). As an authorized distributor of Datacultr’s products and services, we grant you the right to use the Website and its features, content, or applications offered from time to time, including all Public Website Content, Private Website Content, and Forums (collectively, the “Website Services”), subject to the terms and conditions outlined below.
Agreement Acceptance
This Terms of Service Agreement (“Agreement”) establishes the legally binding terms for your use of the Website Services. Your acceptance of this Agreement occurs when you access, download, and/or use the Website Services. You may not use the Website Services or accept this Agreement if:
- You are not of legal age to form a binding contract.
- You are prohibited by law from receiving or using the Website Services.
By accessing, downloading, or using the Website Services, you represent and warrant that you possess the right, authority, and capacity to enter into this Agreement and will abide by all terms and conditions set forth herein. If you access, download, or use the Website Services on behalf of a company, organization, or entity, you represent that you are an authorized representative with the authority to bind such entity to this Agreement. If you disagree with any provision of this Agreement, do not access, download, or use the Website Services.
Please review PrimeQuest’s Privacy Policy at primequest.net/privacy. The terms of this Privacy Policy are incorporated and considered part of this Agreement.
1. Registration
1.1 You may be required to register and/or create an account to access certain Website Services. During registration, you may be asked to provide personal information (e.g., name, email address) and create a username and password (“Registration Credentials”).
1.2 You represent and warrant that:
- All required registration information is truthful and accurate.
- You will maintain the accuracy of said information.
- Your use of the Website Services complies with applicable laws and this Agreement.
You are responsible for maintaining the confidentiality of your username and password and must notify us of any suspected unauthorized use. You agree not to use any third party’s login credentials and are solely responsible for all activities under your Registration Credentials. You may delete your username at any time by following the instructions on the Website. PrimeQuest may suspend or terminate your username per Section 11.
2. Website Services
2.1
Public Website Content:
Subject to this Agreement,
PrimeQuest grants you a revocable, non-transferable, non-exclusive, royalty-free, fully paid, worldwide license to reproduce and publicly display and perform documents and other information available publicly on the Website (“Public Website Content”) for lawful purposes only.
2.2
Private Website Content:
Upon acceptance of your Registration Credentials and if applicable following purchase of Datacultr’s products,
PrimeQuest grants you a revocable, non-transferable, non-exclusive, royalty-free, fully paid, worldwide license to download, use, and view Private Website Content (content not publicly available) solely for legitimate purposes related to employment, customer inquiries, business partnerships, or investments. You may not use Private Website Content for competitive purposes.
2.3
Forums:
Upon acceptance of Registration Credentials and (if necessary) after purchasing products, you may post comments, feedback, concerns, or questions regarding the Company’s products and services in designated forums on the Website, adhering to Section 4 (Acceptable Use Policy) and Section 3 (User Content).
2.4
Restrictions:
The rights granted to you in this Agreement are subject to the following restrictions:
- You may not license, sell, rent, lease, transfer, assign, distribute, or otherwise commercially exploit the Website Services.
- You may not disclose or make Private Website Content or Forum posts available to any third party.
- You may not modify, reverse-engineer, or create derivative works based on any part of the Website Services.
- Your access to the Website Services for competitive purposes is prohibited.
- Any future updates or enhancements to the Website Services shall be covered under this Agreement.
2.5
Modification:
PrimeQuest reserves the right to modify, suspend, or discontinue the Website Services or any part thereof at any time, with or without notice. You agree that
PrimeQuest will not be liable for any modification or discontinuance of the Website Services.
2.6
Ownership:
You acknowledge that all intellectual property rights, including copyrights, patents, trademarks, and trade secrets related to the Website Services (excluding User Content) are owned by
Datacultr or its licensors. No rights, title, or interest in intellectual property are transferred to you as a result of using the Website Services.
PrimeQuest and its suppliers reserve all rights not granted in this Agreement.
3. User Content
3.1
Responsibility for Content:
“User Content” refers to any information and content that you display, share, upload, transfer, publish, post, or distribute while using the Website Services. You are solely responsible for your User Content, assuming all risks related to its accuracy, completeness, and usefulness. You affirm, represent, and warrant that:
- You own or have the necessary licenses, rights, consents, and permissions to use and authorize the use of your User Content.
- Your User Content does not violate the Acceptable Use Policy.
You must not imply that your User Content is provided, sponsored, or endorsed by
Datacultr or PrimeQuest.
PrimeQuest is not obligated to back up any User Content and you are responsible for creating backups of your content. User Content will be protected in accordance with the Privacy Policy.
3.2
License:
By using your User Content with the Website Services, you automatically grant
PrimeQuest an irrevocable, nonexclusive, royalty-free, fully paid, worldwide license to reproduce, distribute, publicly display and perform, prepare derivative works of, and otherwise use your User Content, including granting sublicenses of these rights. If you share materials through the Website Services, you waive any claims related to moral rights or attribution concerning your User Content.
3.3
Feedback:
Any feedback or suggestions you provide to
PrimeQuest are treated as non-confidential and non-proprietary. Unless a written agreement specifies otherwise, do not submit confidential or proprietary information to us.
4. Acceptable Use Policy
In using the Website Services, you agree to the following:
- You will not violate any laws, regulations, or obligations imposed by third parties.
- Your User Content will not be unlawful, abusive, threatening, harmful, vulgar, defamatory, misleading, or otherwise objectionable.
- You will not infringe on any third-party rights, including intellectual property rights.
- You will not download any material you know cannot be legally reproduced or distributed.
- You will not send unsolicited advertising or spam.
- You will not harvest information regarding other users without their consent.
- You will not upload any harmful software or violate another user’s experience.
PrimeQuest reserves the right, but is not obligated, to review User Content and may delete or modify any content that violates this Agreement or intentionally disrupts the user experience.
5. Disclaimers
The Website Services (including Third Party Website Services) are provided “as-is” and as available. PrimeQuest expressly disclaims any warranties, either express or implied, including but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement. There is no warranty that the Website Services will meet your requirements or be uninterrupted, timely, secure, or error-free.
6. Limitation on Liability
In no event shall PrimeQuest be liable for any lost profits or indirect, consequential, exemplary, incidental, special, or punitive damages arising from your use of the Website Services, even if advised of the possibility of such damages. You access and use the Website Services at your own risk, and any damage to your computer system or loss of data is your sole responsibility.
Notwithstanding any provisions here, PrimeQuest’s liability shall be limited to one U.S. dollar ($1) for any claims arising from or related to this Agreement.
7. Release
You hereby release PrimeQuest, its officers, employees, agents, and successors from any claims or actions directly or indirectly related to your interactions with other Website users or Third-Party Ads and Websites.
8. Indemnity
You agree to indemnify and hold harmless PrimeQuest, its affiliates, licensors, and partners from any claims or demands made by third parties due to or arising from your access to or use of the Website Services, your User Content, or any violation of this Agreement. PrimeQuest reserves the right to assume exclusive defense and control over any matter subject to indemnification.
9. Term and Termination
This Agreement remains in effect while you use the Website Services. PrimeQuest may suspend or terminate your rights to use the Website Services at any time for any reason, including violations of this Agreement. Upon termination, your access and all rights will immediately cease, and some or all of your User Content may be deleted from our live databases.
10. Copyright Policy
PrimeQuest respects the intellectual property rights of others. We have implemented a policy that allows for the removal of infringing materials and may terminate users who are repeat infringers. If you believe that a user is infringing on your copyright, you must provide a written notification containing specific information, including your contact details and a statement of good faith regarding the infringement.
11. General
11.1 Changes to the Agreement:
This Agreement is subject to occasional revisions. If significant changes occur, we will notify you by email or by posting a notice on our Website. Changes will take effect thirty (30) calendar days after such notification. You are responsible for providing us with your current email address. Continuing to use the Website Services after changes indicates your acceptance of the revised terms.
11.2 Export Controls:
Software and documentation may be subject to U.S. and international export control laws. You represent that downloading or using any software does not violate any applicable laws or regulations.
11.3 Dispute Resolution:
If you believe PrimeQuest has not adhered to this Agreement, you may contact us at [email protected]. We will take reasonable steps to address your concerns.
11.4 Governing Law and Jurisdiction:
This Agreement shall be governed by the laws of the State of Texas, without regard to its conflict of laws principles. You agree to submit to the personal jurisdiction of the courts in Texas for the resolution of any disputes.
11.5 Entire Agreement:
This Agreement, including the Privacy Policy and any other rules posted on the Website, constitutes the entire agreement between you and PrimeQuest regarding the use of the Website Services. If any provision is found to be invalid or unenforceable, the remainder shall continue in full force.
11.6 Independent Contractors:
Your relationship with PrimeQuest is that of an independent contractor. Neither party is an agent or partner of the other.
11.7 Assignment:
This Agreement may not be assigned by you without written consent from PrimeQuest. Any attempted assignment in violation will be deemed void.
