1. The Platform and Rocky Services

The Platform allows you to create and submit promotional content ("User Generated Content") for third-party brands. Rocky determines, in its sole discretion, whether and how much to award Creatives for Selected Content.

2. Intellectual Property

Rocky grants you a non-exclusive, non-transferable right to access the Platform and use Brand Materials solely to create and submit User Generated Content. Brand and its licensors remain sole owners of all Brand Materials. You may share non-Selected content to external platforms solely through the Platform's integrated sharing functionality. Monetizing, licensing, or commercially exploiting content outside of Rocky is strictly prohibited.

3. Eligibility

The Platform is available to individuals aged 18+ (or under 18 with parental consent). Rocky reserves the right to deny access at its sole discretion.

4. Community Guidelines

You will comply with all applicable laws. You will not: collect market research for competitors, impersonate any person, interfere with Platform operations, use automated means to access the Platform, or upload content that is defamatory, obscene, harassing, violent, hateful, or that infringes any intellectual property rights. Violation terminates your access.

5. Confidentiality

Each party shall protect the other's Confidential Information with commercially reasonable care for two years from disclosure. Confidential Information excludes publicly available information, independently developed information, and information required to be disclosed by law.

6. Representations and Warranties

You represent that: all User Generated Content is your original work; it does not infringe any third-party rights; it was not created as part of a paid sponsorship with any party other than Rocky (unless permitted); and you will comply with all Program Rules and FTC disclosure requirements. Rocky may automatically include disclosure tags (e.g., #MayEarnRockyDollars) on distributed content.

7. Wallet System and Payment

Compensation accrues in your Rocky Wallet as Rocky Dollars. Rocky Dollars have no cash value outside the Platform, are non-transferable, and may only be redeemed for cash once you meet the minimum payout threshold with a valid payment method. Payouts are generally processed weekly (Net-30). Rocky reserves the right to expire or remove Rocky Dollars from inactive accounts or in cases of fraud.

8. Disclaimer

The Platform, Rocky Materials, Rocky Services, and Brand Materials are provided "as is" and "as available" without warranties of any kind. We make no guarantee that content will meet your requirements or that any User Generated Content will become Selected Content or that you will be compensated.

9. Limitation of Liability

Neither party will be liable for consequential, incidental, indirect, exemplary, special or punitive damages. Each party's aggregate liability shall not exceed $500, except for indemnification obligations, gross negligence, willful misconduct, or IP infringement.

10. Indemnification

You shall defend, indemnify, and hold harmless Rocky from any losses arising from: your gross negligence or willful misconduct; content you submit to the Platform; and your violation of applicable law.

11-14. Copyright, Compliance, Communications, External Sites

Rocky terminates accounts of repeat copyright infringers. The Platform is based in the United States; you are responsible for compliance with local laws. External site links are provided as convenience only. We may use ideas from communications you send us.

15-16. Changes and Termination

We may change these Terms at any time. Continued use constitutes acceptance. We may restrict, suspend, or terminate your access at any time for any reason without prior notice or liability.

17-18. Governing Law and Class Action Waiver

Governed by the laws of the State of Delaware. Exclusive jurisdiction in federal or Delaware state courts. You agree that any proceeding shall be limited to the dispute between you and Rocky individually. You waive the right to participate in class actions.

19-22. Equitable Relief, Assignment, Force Majeure, Miscellaneous

Rocky is entitled to injunctive relief for IP breaches. Neither party may assign without consent. Neither party is liable for force majeure events. Nothing creates an agency, joint venture, or employment relationship. These Terms constitute the entire agreement.

I. Information We Collect

Profile Information: Name, email, birthday, location, and optional details (gender, orientation, relationship status, ethnicity, children/pets, income, religion, political affiliation). Used to be inclusive and authentic in advertising. Shared with brands you create content for.

Account Credentials: Username and password. Your username is visible to all Platform users.

Server Logs: IP address, user agent, referral URL, and similar access data for monitoring and optimization.

Online Activity: We and third-party analytics (Google Analytics) use cookies, pixels, and similar technologies to collect device info, browser type, geolocation, content viewed, time spent, and click data. Used for personalization, analytics, and targeted advertising.

Inferences: We may use algorithmic tools including machine learning to evaluate performance, surface content, or match creators with campaigns. No fully automated decisions without human oversight for compensation eligibility.

Social Media & Third-Party Integrations

TikTok: When connected, we collect your open ID, display name, avatar, verification status, video data, and engagement stats. Used for authentication, publishing content, analytics, and account management. Aggregated analytics may be shared with brands. We do not sell your TikTok data. You can unlink your account or request deletion at any time.

Meta (Instagram/Facebook): When connected, we collect profile info, content insights (comments, likes, reach, saves, shares). Used to measure reach and content distribution. Shared with brands only at their request and in compliance with Meta Platform Terms. You can unlink or request deletion at any time.

Wallet & Payment Data

We collect and store earnings, payment status, payout preferences, and history. Shared with third-party payment processors to facilitate payment. Shared with brands only in aggregate form, not at individual level without consent.

II. How We Use Your Information

To respond to your requests, provide customer support, troubleshoot, ensure security, engage in marketing and advertising (with opt-in where required), and analyze and improve our Digital Properties.

III. When We Share Your Information

With service providers operating our business; to process aggregated anonymous statistics; to protect our rights; with affiliates; to fulfill legal obligations; in corporate transactions; and with your consent. Your User Generated Content and username are shared with brands. Profile Information (except name) is associated with your username and shared with brands you create for.

IV. Your Choices

Correct or update your info by contacting us. Request deletion at [email protected]. Unsubscribe from marketing emails. Opt out of targeted advertising via the Network Advertising Initiative or Digital Advertising Alliance. Manage TikTok and Meta data sharing through your account settings.

V. How We Protect Your Information

We take commercially reasonable steps to protect your information. No security system is impenetrable. We cannot guarantee security of our databases or that information won't be intercepted during transmission.

VI. Children's Privacy

We do not knowingly collect personal information from anyone under 13. Parents/guardians may contact us to request deletion.

VII-VIII. External Websites & Do Not Track

We do not control privacy policies of third-party sites. We do not currently honor Do Not Track browser signals.

IX-XI. State & International Notices

Nevada: You may opt out of sale of personal info. We do not currently sell personal information. California: You may request info about third-party sharing. We do not share personal information for direct marketing. International: Our servers are in the US. If located outside the US, you use the Digital Properties at your own risk.
