KWT Spider — End User License Agreement (EULA)

1. DEFINITIONS

"Software"means the KWT Spider application,including all executables,libraries,documentation,and any updates or supplements provided by the Licensor.

"Licensor" / "Developer"means the owner and developer of KWT Spider (the person or entity that has licensed or sold you the Software).

"You" / "User" / "Licensee"means the individual or entity installing or using the Software.

2. LICENSE GRANT

Subject to your compliance with this EULA and valid license/activation where required,the Licensor grants you a limited,non-exclusive,non-transferable,revocable license to:

• Install and use the Software on computer(s) covered by your license,for your own internal or commercial use in accordance with the product terms you purchased.
• Use the Software only in the manner and for the purposes described in the official documentation and product description.

This is a license,not a sale. All rights not expressly granted are reserved by the Licensor.

3. RESTRICTIONS — YOU MAY NOT

• Copy,redistribute,or share the Software (including installers or activation keys) with third parties except as explicitly permitted by your license.
• Reverse engineer,decompile,disassemble,or attempt to derive source code from the Software,except to the extent that applicable law expressly permits it and only for interoperability.
• Remove,alter,or obscure any copyright,trademark,or proprietary notices on or in the Software.
• Use the Software to develop a competing product or service,or to benchmark it for the purpose of building a similar product.
• Circumvent,disable,or bypass any license check,activation,or technological protection measure in the Software.
• Sublicense,rent,lease,or lend the Software,or use it to provide hosting or application-service-provider (ASP) services to third parties,unless your license expressly allows it.
• Use the Software in any way that violates applicable laws or the rights of others.

4. INTELLECTUAL PROPERTY

The Software,including all content,design,code,and documentation,is the exclusive property of the Licensor and is protected by copyright,trademark,and other intellectual property laws. You do not acquire any ownership rights by using the Software.

5. DISCLAIMER OF WARRANTIES

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND,EITHER EXPRESS OR IMPLIED,INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY,FITNESS FOR A PARTICULAR PURPOSE,TITLE,AND NON-INFRINGEMENT. THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED,ERROR-FREE,OR FREE OF HARMFUL COMPONENTS. YOU USE THE SOFTWARE AT YOUR OWN RISK.

6. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• IN NO EVENT SHALL THE LICENSOR,ITS AUTHORS,OR DISTRIBUTORS BE LIABLE FOR ANY INDIRECT,INCIDENTAL,SPECIAL,CONSEQUENTIAL,OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS,DATA,OR BUSINESS) ARISING OUT OF OR RELATED TO THE USE OR INABILITY TO USE THE SOFTWARE,EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
• IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE LICENSOR EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR,IF NO FEE WAS PAID,THE LIABILITY SHALL NOT EXCEED THE SUM OF TEN (10) USD).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities;in such jurisdictions,the above limitations may not apply to you to the extent prohibited,and the Licensor's liability shall be limited to the maximum extent permitted by law.

6A. REFUND AND PAYMENT

All fees paid for the Software are non-refundable,except where required by applicable law or expressly stated in writing by the Licensor. This clause applies to the extent permitted in your jurisdiction.

7. INDEMNIFICATION

You agree to indemnify and hold harmless the Licensor,its affiliates,and their respective officers,directors,and employees from any claims,damages,losses,or expenses (including reasonable attorneys' fees) arising from your use or misuse of the Software,your breach of this EULA,or your violation of any law or third-party rights.

8. TERMINATION

This license is effective until terminated. It will terminate automatically if you fail to comply with any term of this EULA. Upon termination,you must cease all use of the Software and destroy all copies. Provisions that by their nature should survive (including Sections 4–7,6A,9A,9B,10,10A,10B,11A,and 11B) will survive termination.

9. UPDATES AND SUPPORT

The Licensor may provide updates,patches,or new versions of the Software. Such updates may be subject to this EULA or separate terms. The Licensor is not obligated to provide support,maintenance,or updates unless otherwise agreed in writing (e.g.,a separate support agreement).

9A. DATA AND PRIVACY

The Software may collect and transmit limited technical and licensing-related information (such as device identifiers,license status,and usage metadata) solely for the purposes of license validation,security,updates,and support. The Licensor does not sell personal data and uses such information in accordance with its Privacy Policy. By using the Software,you consent to this processing to the extent required for license and update functionality.

9B. THIRD-PARTY COMPONENTS

The Software may include or depend on third-party software,libraries,or components that are licensed under their respective open-source or proprietary licenses. All such third-party components remain the property of their respective owners and are subject to their own license terms. The Licensor makes no claim of ownership over such third-party components.

10. GOVERNING LAW AND DISPUTES

This EULA shall be governed by the laws of India. Any dispute arising out of or relating to this EULA or the Software shall be subject to the exclusive jurisdiction of the courts of New Delhi,India,and you consent to the personal jurisdiction of such courts.

10A. EXPORT CONTROL

You agree that you will not export,re-export,transfer,or use the Software in any manner that violates applicable export control laws,sanctions,or regulations of the United States,European Union,India,or other relevant authorities.

10B. FORCE MAJEURE

The Licensor shall not be liable for any failure or delay in performance caused by events beyond reasonable control,including natural disasters,internet outages,government actions,or cyber incidents.

11. ENTIRE AGREEMENT

This EULA constitutes the entire agreement between you and the Licensor regarding the Software and supersedes any prior or contemporaneous agreements,communications,or understandings. No waiver of any term shall be deemed a further or continuing waiver of that or any other term.

11A. CHANGES TO TERMS

The Licensor reserves the right to modify this EULA from time to time. Continued use of the Software after such changes constitutes acceptance of the updated terms.

11B. ASSIGNMENT

The Licensor may assign or transfer this EULA in connection with a merger,acquisition,or sale of assets. You may not assign this EULA without prior written consent of the Licensor.
