- 35,000,000 preferred shares to be distributed to enCore shareholders will convert into common shares upon distribution
- 15,000,000 common shares held by enCore received an escrow exemption from the TSXV based on the Company’s market capitalization
- Both the 35,000,000 preferred shares and 15,000,000 common shares are subject to contractual resale restrictions aligned with TSXV Seed Share Resale Restrictions
- Shares cannot be transferred until the preferred shares have converted to common shares and have been distributed to enCore shareholders
- Release schedule for all restricted shares:
- 20% on *listing
- 20% after 3 months
- 20% after 6 months
- 20% after 9 months
- 20% after 12 months
