END-USER LICENSE AGREEMENT (EULA) FOR POET CREATOR SOFTWARE

IMPORTANT – READ CAREFULLY BEFORE INSTALLING OR USING THIS SOFTWARE: This End-User License Agreement (“EULA”) is a legal agreement between you (either an individual or a single entity) and Skandal Technologies Oy for the POET Creator Beta software product, which includes computer software and may include associated media, and “online” or electronic documentation (collectively referred to as “Software”). By downloading, installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA.

If you do not agree to the terms of this EULA, promptly cancel the installation or delete the Software and any related files and data.

GRANT OF LICENSE: Skandal Technologies Oy hereby grants you a limited, non-exclusive, non-transferable license to use the Software solely for evaluation purposes. This license does not entitle you to receive from Skandal Technologies Oy any updates, upgrades, or technical support. If you wish to continue to use the Software after the evaluation period (where applicable), you must purchase a license key from Skandal Technologies Oy.

LICENSE KEY: To use the Software, you must obtain a license key from Skandal Technologies Oy by registering for the free trial version of the Software at https://www.poet.software/. Skandal Technologies Oy will provide the license key to you via email after you complete the registration process. The license key is personal and non-transferable, and you may only use it to activate the Software on a single computer.

OWNERSHIP AND COPYRIGHT: The Software and its accompanying materials are owned by Skandal Technologies Oy and are protected by Finnish copyright laws and international treaty provisions. You may not copy, modify, rent, sell, distribute or transfer any part of the Software except as provided in this EULA.

LIMITATIONS ON USE: You may not use, copy, modify, sell, distribute, transfer or reverse engineer the Software, except as expressly provided in this EULA. You may not remove any copyright or other proprietary notices from the Software.

SUPPORT: Skandal Technologies Oy will provide you with basic level of technical support for the free trial version of the Software through our support email only: support@poet.software

TERMINATION: This EULA is effective until terminated. Skandal Technologies Oy may terminate this EULA immediately if you fail to comply with any term or condition of this EULA. Upon termination of this EULA, you must cease all use of the Software and destroy all copies of the Software and accompanying materials in your possession.

DISCLAIMER OF WARRANTIES: THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE IS WITH YOU. SHOULD THE SOFTWARE PROVE DEFECTIVE, YOU (AND NOT SKANDAL TECHNOLOGIES OY OR ITS LICENSORS) ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION.

LIMITATION OF LIABILITY: IN NO EVENT SHALL SKANDAL TECHNOLOGIES OY OR ITS LICENSORS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF SKANDAL TECHNOLOGIES OY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

GOVERNING LAW: This EULA shall be governed by and construed in accordance with the laws of Finland, without regard to its conflict of law provisions. Any disputes arising out of or in connection with this EULA shall be subject to the exclusive jurisdiction of the courts of Helsinki, Finland.

ENTIRE AGREEMENT: This EULA constitutes the entire agreement between you and Skandal Technologies Oy with respect to the Software and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between you and Skandal Technologies Oy.

SEVERABILITY: If any provision of this EULA is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

ACKNOWLEDGEMENT: By downloading, installing, copying, or otherwise using the Software, you acknowledge that you have read this EULA, understand it, and agree to be bound by its terms and conditions.
