1. Agreement to Terms

By accessing or using PayToolbox ("Service"), operated by Samson Software ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including free and paid users.

2. Description of Service

PayToolbox provides digital product sales, secure file delivery, payment processing, storefront hosting, and related services for creators and businesses selling digital goods online. Our services include:

• Digital product storefront creation and hosting
• Secure file delivery and download management
• Payment processing via Stripe
• License key generation and management
• Subscriber and customer management
• Sales analytics and reporting
• Custom domain support
• API access for programmatic use

3. User Accounts

3.1 Account Creation

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding the password used to access the Service and for any activities or actions under your account. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms. You may terminate your account at any time by contacting us.

4. Acceptable Use Policy

You agree NOT to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Send spam, phishing attempts, or unsolicited commercial communications
• Harvest email addresses or personal information without consent
• Attempt to gain unauthorized access to systems, networks, or data
• Conduct denial-of-service attacks or overload our infrastructure
• Use automated tools to scrape or extract data beyond API limits
• Circumvent rate limits or access restrictions
• Impersonate any person or entity
• Interfere with or disrupt the Service or servers
• Use the Service to validate email lists for spamming purposes
• Resell or redistribute the Service without authorization

5. Rate Limits and Fair Use

To ensure fair access for all users, the Service implements usage limits:

• Free Users: Limited number of products, storage, and API requests
• Paid Subscribers: Limits based on subscription plan (products, storage, transaction fees)

Exceeding usage limits may result in temporary restrictions on your account. We reserve the right to modify limits at any time.

6. Subscriptions and Payments

6.1 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. Payment is processed through Stripe, and you agree to Stripe's terms of service.

6.2 Automatic Renewal

Subscriptions automatically renew unless cancelled before the end of the current billing period. You may cancel at any time through your account settings or by contacting support.

6.3 Refunds

Refund requests are evaluated on a case-by-case basis. Contact support within 30 days of purchase for consideration. One-time purchases such as monitoring credits may be refunded if unused.

6.4 Price Changes

We reserve the right to modify subscription prices. Existing subscribers will be notified at least 30 days before any price increase takes effect.

7. API Usage

Access to the PayToolbox API is subject to these Terms and any additional API-specific terms. You agree to:

• Use API keys only for authorized purposes
• Keep API keys confidential and secure
• Not exceed API rate limits for your subscription tier
• Include appropriate attribution when displaying results publicly
• Not use the API to build a competing service

8. Intellectual Property

The Service and its original content, features, and functionality are owned by Samson Software and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software.

9. Third-Party Services

The Service may contain links to third-party websites or services that are not owned or controlled by Samson Software. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

Third-party services we integrate with include:

• Stripe (payment processing)
• Various DNS providers and blacklist operators
• Email service providers for notifications

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Results obtained from the Service will be accurate or reliable
• Any errors in the Service will be corrected
• The Service will meet your specific requirements

DNS and blacklist data is obtained from third-party sources and may not always be current or accurate. We recommend verifying critical information through multiple sources.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SAMSON SOFTWARE, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from unauthorized access to or alteration of your data
• Any other damages arising out of or in connection with use of the Service

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless Samson Software and its licensees, employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from:

• Your use of and access to the Service
• Your violation of any term of these Terms
• Your violation of any third-party right, including intellectual property rights
• Any claim that your use of the Service caused damage to a third party

13. Service Modifications

We reserve the right to withdraw or amend our Service, and any service or material we provide, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Service is unavailable at any time or for any period.

14. Data Retention and Deletion

We retain your data as described in our Privacy Policy. Upon account termination:

• Account data is retained for 30 days for recovery purposes
• After 30 days, personal data is permanently deleted
• Aggregated, anonymized data may be retained indefinitely
• You may request immediate deletion by contacting support

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall be resolved in the state or federal courts located in DuPage County, Illinois, and you consent to the personal jurisdiction of such courts.

16. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our Service after revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

17. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

18. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Samson Software.

19. Entire Agreement

These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.
