INSOLVENCY, PAYMENT DEFAULT AND UNCOLLECTED GOODS (UAE) — APPLIES TO INDIVIDUALS AND COMPANIES
- Scope. This clause applies to any Customer, whether a natural person (individual) or a legal entity, who purchases goods or services from the Supplier (EELEMENTS TEXTILE TRADING CO. L.L.C), subject to any mandatory protections under applicable UAE consumer protection, insolvency or other mandatory laws.
- Insolvency Event. An “Insolvency Event” occurs if the Customer: (a) becomes insolvent or unable to pay its debts as they fall due; (b) commences or has commenced against it proceedings under any insolvency, bankruptcy, liquidation, reorganisation or similar law (including provisional or final liquidation, judicial management, administration or attachment proceedings) in the UAE or elsewhere; (c) has a receiver, liquidator, administrator, trustee or similar officer appointed over all or any material part of its assets; or (d) makes an assignment for the benefit of creditors or initiates any composition or arrangement with its creditors.
- Acceleration and Remedies. Upon the occurrence of an Insolvency Event: (a) all outstanding invoices and other amounts payable by the Customer shall become immediately due and payable without further notice, to the extent permitted by applicable law; (b) the Supplier may, at its option and without liability, suspend performance, cancel outstanding orders, withhold future deliveries or services, and terminate any agreement in whole or in part; (c) the Supplier may seek to repossess goods for which title has not passed, or otherwise enforce its rights, provided that where repossession or other enforcement requires prior judicial authorisation under UAE law, the Supplier shall first obtain such authorisation.
- Retention of Title. Title to goods supplied by the Supplier shall remain with the Supplier until full payment of the purchase price and all other amounts due have been received. Until title passes, the Customer shall hold the goods as bailee for the Supplier, keep them identifiable and adequately insured, and not grant any security interest over them.
- Uncollected Goods and Abandonment.
(a) Where goods have been produced, prepared or held by the Supplier on behalf of the Customer and the Customer fails to collect, arrange delivery of, or respond to communications regarding those goods within 14 days of written notice being issued by the Supplier, the goods shall be deemed abandoned by the Customer to the extent permitted by applicable law.
(b) During any storage period prior to deemed abandonment, the Supplier reserves the right to charge storage fees at the Supplier’s published rates, which shall form part of the outstanding balance owed by the Customer.
(c) Upon deemed abandonment, and to the extent permitted by applicable law, title to the goods shall be deemed to pass to the Supplier, who shall be entitled to sell, repurpose, donate or otherwise dispose of the goods at its sole discretion in order to recover any outstanding amounts owed, without further obligation to the Customer.
(d) The Supplier’s exercise of rights under this clause does not waive any right to pursue the remaining outstanding balance through other means permitted under UAE law.
- Set‑off and Recovery Costs. The Supplier may set off any amounts owed by the Customer against any amounts the Supplier owes to the Customer. The Customer shall reimburse the Supplier for documented storage, collection and recovery costs, including reasonable legal fees, court costs and transportation expenses, invoiced within 30 days and to the extent permitted by applicable UAE law.
- Consumer Protections. Where the Customer is a consumer or where applicable UAE law or free‑zone regulations provide mandatory protections limiting the Supplier’s remedies, the Supplier’s exercise of remedies under this clause will be subject to those mandatory protections and procedures; in such cases the Supplier will comply with any required judicial authorisation or statutory process before selling or otherwise disposing of goods.
- Accounting and Surplus/Shortfall. After applying proceeds from any sale or disposal against the Customer’s indebtedness and deductible costs, the Supplier will account to the Customer for any surplus within 30 days; if proceeds are insufficient, the Customer remains liable for the deficiency together with any recoverable enforcement costs, to the extent permitted by UAE law.
- Preservation of Other Rights. Termination, suspension, repossession or other enforcement under this clause shall be without prejudice to any other rights or remedies available to the Supplier under the agreement or under UAE law.
- Governing Law and Enforcement. This clause is governed by and construed in accordance with the laws of the United Arab Emirates. The Supplier’s rights under this clause are in addition to any statutory rights available under UAE insolvency, commercial or enforcement laws.
- THIRD PARTY LINKS AND TOOLS
We may provide you with access to third-party tools over which we neither monitor nor have any control nor input.
You acknowledge and agree that we provide access to such tools ”as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.
