Links to Other Web Sites

The Links found in the various pages of The Philippine Stock Exchange, Inc. (PSE) Website allow the user to access other sites on the Web. The maintenance of the Links cannot be taken as a manifestation, indication or recognition of any form of control, affiliation, endorsement or any other type relationship between PSE and the owner of the linked Web site, notwithstanding the Links. PSE remains independent of other Web sites, notwithstanding the Links, and shall not be responsible in any manner for any of the contents of any Website to which any PSE Website contains Links. PSE shall not be responsible for changes, updates or unavailability of these linked Web sites. PSE shall not be liable for any direct or indirect inconvenience, prejudice or damage to the user whenever or on account of accessing other Web sites via the Links or vice-versa.

Linking to PSE Website

(1) Other Web site owners (‘Site owners’) may only create a link from their respective Web sites to the home page of the PSE Website, http://www.pse.com.ph, upon prior written approval of PSE. For this purpose, kindly send requests for such approval to [email protected]. PSE reserves the right to require any additional information from applicants in assessing applications for consent. PSE reserves the right at all times to deny or not further respond to application for Links to its Website, notwithstanding requests for additional information.

(2) Site owners shall not create a link that contains a frame. All Links to the PSE Website shall only be through a separate browser window, with the URL address of the PSE clearly visible at the location bar.

(3) Any authority granted to site owners to link their Web sites to PSE Web site does not authorize the use of any of PSE’s trademarks or service marks known to be associated with the PSE. Site owners shall not use, copy or distribute any of PSE’s trademarks or service marks, regardless of the status of registration thereof, without separate and express written permission from the PSE.

(4) Site owners shall not copy, distribute or otherwise lift any of the contents of any of the PSE Web site without the prior written consent of PSE.

(5) Site owners agree, by linking to PSE Web site, that the laws of the Republic of the Philippines shall govern this Link Policy and the relationship of the Site owners with PSE with respect to the establishment and/or maintenance of such link. In case of any disputes arising from or as a result of such Links to PSE shall be filed with the proper court of law for and of the City of Pasig Metro Manila, Philippines, to the exclusion of all other venues.

(6) PSE reserves the right to exercise and exhaust any right, privilege or remedy available to it under this Link Policy and under law, in order to enforce and preserve its rights under this Link Policy, including, without limitation, instituting legal action and/or taking measures to deny access to PSE Web site from Web site of the corresponding Site owner.

(7) PSE reserves the right to change, alter, amend or suspend this Link Policy, without prior notice to Site owners nor to its users. Site owners shall be bound by any such change, alteration, amendment or suspension upon the posting of the same on this Web site.

(8) The above-mentioned linking policies apply not only to Website Links but also to those forwarded in e-mail, newsgroups, and mailing lists.

Work fairly and objectively with the Board, its Committees, Management and stockholders;

Be aware of the laws, rules and regulations necessary in the performance of his duties and responsibilities;

Ensure all Board procedures, rules and protocols are strictly followed by the members;

Gather and analyze all documents, records and other information essential to the conduct of his duties and responsibilities to the Exchange;

Advise on the establishment of board committees and their terms of reference;

Obtain a schedule of topics for agenda at least five (5) working days in advance of the following meeting, from the Board committees and Exchange departments, put the Board on notice before every meeting, and ensure that the members have before them complete and accurate information that will enable them to arrive at intelligent decisions on matters that require their approval;

Assist the Board in making informed, business judgments in good faith and in support of the performance of its responsibilities and obligations by establishing and developing a sound and reliable flow of relevant information;

Attend all Board meetings, including its executive sessions, except when justifiable causes, including but not limited to, illness, death in the immediate family and serious accidents, prevent him/her from doing so, and maintain records of the same;

Safe keep and preserves the integrity of the minutes of the meetings of the Board and its committees, as well as other official records of the corporation; and

Perform such other duties and responsibilities as may be provided by the SEC.

Ensure proper on-boarding of new directors;

Ensure the effectiveness of the management system for monitoring compliance by the Exchange, its officers and directors with relevant laws, rules and regulations , the Code of Corporate Governance, and all governance issuances of regulatory agencies;

Monitor the results of management investigations and follow-up (including disciplinary action) of any fraudulent acts, accounting irregularities or non-compliance with policies, procedures and guidelines;

Ensure the integrity and accuracy of all documentary submissions to regulators;

Collaborate with other departments to properly address compliance issues, which may be subject to investigation;

Ensure the attendance of board members and key officers in relevant and/ or required trainings;

Obtain regular updates from Management and the Exchange’ s legal counsel regarding compliance matters;

Assess whether all regulatory compliance matters have been considered in the preparation of the financial statements;

Assist in the development, revision and implementation of the Code of Business Conduct for the Exchange, its directors, officers and employees; and ascertain that the process or program for monitoring compliance with the Code of Business Conduct is performed by Management;

Review the findings of any examinations by regulatory agencies;

Appear before the SEC upon summon on relevant matters that need to be clarified by the same;
