We talk daily with potential clients who want to be compliant with sales tax but are unsure where to begin. A common question is, “Can I just register and start collecting now?” Unfortunately, no. Most states require companies to indicate exactly when nexus was created on their registration forms, often signed under penalty of perjury. If it was three years ago for example, the state may want tax and interest for those three years. Many companies are unaware of this or unprepared to pay those back taxes, which is where a nexus study comes in. A Big One for Our Musician Friends (HITS Act) The HITS Act makes it more affordable to capture your sound. Musicians can now subtract up to $150,000 in production and studio costs from their reported income. • 3. For the Love from the Crowd (Tip Deduction) For tax years 2025-2028, artists who earn tips may be able to lower the amount of their income by $25,000 that's subject to tax, honoring that direct connection with your audience. • 4. For the Grind that Fuels the Dream (Overtime Deduction) For artists working extra hours to fund their passion, you can subtract up to $12,500 of overtime pay from your reported W-2 income between 2025-2028. • 5. For Chasing Inspiration Down a New Road (Car Loan Interest) From 2025-2028, if you have a loan on a car made in the US, you can subtract up to $10,000 a year in interest payments from the income the government can tax (and you don’t even have to use the car for business!). • 6. Planting a Dream for the Next Generation ("Baby Bonus") For children born between 2025 and 2028, the government is offering a $1,000 "baby bonus" to start a sheltered savings account for their future. • 7. A Little Breathing Room for Our Artist Family (SALT Deduction Increase) For those in areas with high state and local taxes (like Texas property tax), the deduction cap is temporarily increased from $10,000 to $40,000 for tax years 2025-2029. • 8. For the Masters Who Paved the Way (Senior Deduction) From 2025-2028, artists aged 65 and older can subtract an extra $6,000 from the income they report for taxes, as a bow of respect to our creative giants. • 9. Because Your Art and Your Heart Are One (Charitable Contributions) Starting in 2026, once your charitable donations exceed just 0.5% of your income, you can begin subtracting the rest from your taxable income. • 10. Q4 of 30 – questions that clients have recently asked the Kinore team What should you do if a shareholder refuses to cooperate in a share transfer or exit? This can be one of the most stressful scenarios for any business owner. If a shareholder refuses to sign off on a transfer, here are the key steps to take:  1. Start with the Shareholders’ Agreement (SHA) Most SHAs contain exit mechanisms or provisions to guide you in an exit situation. These clauses often empower the company or majority shareholders to enforce a transfer in certain circumstances.    Note – we deal with companies all the time that do not have a Shareholders agreement, due perhaps to the upfront legal cost or the good relationship that exists between the parties involved – this can be a costly mistake if the relationship goes bad.    2. Check your Company Constitution  The constitution may include procedures for compulsory share transfers in specific situations (e.g. death, insolvency, or breach of obligations).   Make sure every step follows the process set out there.     3. Consider legal action (as a last resort) If the SHA or Constitution gives you the grounds, you can apply to the Court to compel a transfer — but this route should only be taken when all other options have been fully explored.    Key takeaway:  Shareholder disputes over transfers are delicate and should always be approached with care. Review your SHA and constitution first — and avoid taking any unilateral action that could be challenged later. One of the best pieces of advice I ever received about having a shareholder in the business was this: begin with the end in mind. You never want to have to go to the file to pull out the Shareholders agreement — but it’s a lot of peace of mind knowing it’s there if you do.
