Terms of Service
Effective date: January 1, 2025
These Terms of Service ("Terms") govern your use of the Waitlio platform operated by Waitlio ("we", "us", or "our"), based in Germany. By accessing or using Waitlio, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using Waitlio, you agree to these Terms and our Privacy Policy. If you do not agree, you may not use the service.
2. Description of Service
Waitlio is a software-as-a-service (SaaS) platform that allows you to create and manage waitlists. Features include:
- Creating customizable waitlist pages
- Collecting and verifying subscriber email addresses
- Managing subscribers with tags, search, filtering, and CSV export
- Configuring webhooks to notify external services
- Team-based collaboration with role-based access control
3. Accounts
Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials, including your password and any two-factor authentication methods.
Teams
Waitlio uses a team-based model. When you create an account, a personal team is created for you. You may create additional teams and invite other users. Team owners and administrators manage billing, members, and resources for their team.
Eligibility
You must be at least 16 years old to use Waitlio. By using the service, you represent that you meet this requirement.
4. Acceptable Use
You agree not to use Waitlio to:
- Send spam or unsolicited communications to subscribers
- Collect email addresses for purposes unrelated to your waitlist
- Violate any applicable laws or regulations, including data protection and anti-spam laws
- Distribute malicious content, malware, or phishing attempts
- Impersonate another person or entity
- Interfere with or disrupt the service or its infrastructure
- Circumvent any usage limits or access controls
- Use the platform to collect data about minors under the age of 16
We reserve the right to suspend or terminate accounts that violate these terms.
5. Subscriber Data
Your Responsibility
You are the data controller for the subscriber data collected through your waitlists. You are responsible for:
- Ensuring you have a lawful basis to collect subscriber email addresses
- Providing appropriate privacy notices to your subscribers
- Responding to data subject requests from your subscribers
- Complying with applicable data protection laws (e.g., GDPR, BDSG, CAN-SPAM)
Our Role
Waitlio acts as a data processor for subscriber data in accordance with Art. 28 GDPR. We process this data solely to provide the service to you, including storing subscriber records, sending verification emails, and delivering webhook payloads.
6. Billing and Subscriptions
Pricing
Waitlio offers multiple pricing tiers, including a free plan. Paid plans are billed in EUR, monthly or yearly, through our payment processor, Paddle. All prices are inclusive of applicable taxes as determined by Paddle.
Paddle as Merchant of Record
All payments are processed by Paddle, which acts as the Merchant of Record. Paddle handles payment processing, invoicing, tax compliance, and refunds. By subscribing to a paid plan, you also agree to Paddle's terms of service.
Plan Limits
Each plan has usage limits (e.g., number of subscribers per month, number of waitlists, access to features). If you exceed your plan limits, you may need to upgrade to a higher tier to continue using the service.
Cancellation
You may cancel your subscription at any time. Upon cancellation, you will retain access to paid features until the end of your current billing period. After that, your account will revert to the free plan limits.
7. Refund Policy
We offer a 30-day money-back guarantee on all paid plans. If you are not satisfied with Waitlio, you may request a full refund within 30 days of your initial purchase or renewal payment.
To request a refund:
- Contact us at [email protected] within 30 days of the charge
- Include your account email and the reason for your request
Refunds are processed through Paddle and will be returned to your original payment method. Please allow up to 10 business days for the refund to appear on your statement.
This refund policy does not affect your statutory rights under applicable consumer protection law, including the EU right of withdrawal.
8. Right of Withdrawal (EU Consumers)
If you are a consumer in the European Union, you have the right to withdraw from a contract within 14 days without giving any reason, in accordance with the EU Consumer Rights Directive (2011/83/EU) and German law (§ 355 BGB).
By subscribing to a paid plan and expressly consenting to immediate performance of the service before the withdrawal period expires, you acknowledge that you lose your right of withdrawal once the service has been fully performed. However, our 30-day refund policy (Section 7) provides protection beyond the statutory withdrawal period.
9. Intellectual Property
Our Property
Waitlio, including its design, code, branding, and documentation, is owned by us and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the platform.
Your Content
You retain ownership of the content you create on Waitlio (waitlist names, descriptions, email templates, etc.). By using the service, you grant us a limited license to store, display, and process your content solely to provide the service.
10. Availability and Modifications
We strive to keep Waitlio available and reliable, but we do not guarantee uninterrupted or error-free service. We may:
- Modify, update, or discontinue features at any time
- Perform scheduled or emergency maintenance
- Change pricing or plan structures with reasonable notice
11. Limitation of Liability
To the maximum extent permitted by applicable law, including German law:
- Waitlio is provided "as is" and "as available"
- We are liable without limitation for damages caused by intentional misconduct or gross negligence (§ 276 BGB)
- For slight negligence, we are only liable for breach of essential contractual obligations (Kardinalpflichten), limited to foreseeable, typically occurring damages
- Our total liability for claims arising from slight negligence shall not exceed the amount you paid to us in the 12 months preceding the claim
- We are not responsible for the actions of third-party services (Paddle, email providers, or your webhook endpoints)
- The above limitations do not apply to liability for injury to life, body, or health, or to liability under the German Product Liability Act (Produkthaftungsgesetz)
12. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:
- Your use of the service
- Your violation of these Terms
- Your collection and use of subscriber data
- Content you create or distribute through the platform
13. Termination
We may suspend or terminate your account if:
- You violate these Terms
- Your account is used for illegal activity
- You fail to pay for a paid subscription
You may delete your account at any time through your profile settings. Upon deletion, your data will be permanently removed as described in our Privacy Policy.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
If you are a consumer within the EU, you also benefit from any mandatory provisions of the law of the country in which you are resident. Nothing in these Terms affects your rights as a consumer under applicable local law.
For disputes with consumers, the courts at your place of residence shall have jurisdiction. For all other disputes, the courts in Germany shall have exclusive jurisdiction.
The European Commission provides an online dispute resolution platform at https://ec.europa.eu/consumers/odr. We are neither obligated nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by updating the "Effective date" at the top of this page. Your continued use of the service after changes are posted constitutes acceptance of the updated Terms.
