Syncaila is a software tool for video, television and film production, which performs fully automatic synchronization of audio and video footage from multi-camera shoots.
Syncaila has been designed to free an editor from the manual synchronization routines when dealing with multiple takes from multiple cameras and audio sources. It saves a lot of time and effort, allowing for maximum concentration on creative editing tasks.
Syncaila does not require a timecode and searches for audio matches.
Syncaila is based on unique algorithms simulating the video editor’s logic. It produces the highest quality synchronization even for the most complex projects with large number of tracks, formats and noisy audio.
Syncaila works as a standalone application and supports the Final Cut Pro XML file format (both 7 and X versions).
Syncaila is distributed as shareware. It has a 20-day fully functional trial period.
During this time, Syncaila works precisely the same as the full registered version. Once the 20-day trial period is over, Syncaila will switch to free mode, unlimited in time, but restricted in synchronizing capacity. You can continue using Syncaila under shareware terms or register Syncaila by purchasing a license key.
It is essential to have an internet connection to use Syncaila in the trial period without limitations or with a SEASON license. Also, an internet connection is necessary for a license activation / deactivation, after operating system reinstalling, hardware changes and Syncaila updates. You do not need an internet connection if you use Syncaila on free license terms.

Currently, Final Cut Pro 7 XML (*.xml) and Final Cut Pro X XML (*.fcpxml) formats are supported. In theory, Syncaila can work with all editing software supporting import/export to this format. In practice, there may be some specifics of a particular editing program. Since there are many editing programs and they are frequently updated, compatibility issues are sometimes possible. With each new update, Syncaila is tested with the latest available video editing software. Compatibility issues of a new Syncaila version with an old version of a video editing software are possible. Below mentioned are the oldest versions of video editing programs that have ever been tested with Syncaila.
Adobe Premiere Pro
Syncaila provides correct interaction with Adobe Premiere Pro CS 5.0, CS 5.5, CC 2014 and higher.
We recommend: Adobe Premiere Pro СС 2014 and higher.
Adobe Premiere Pro CS 6.0 and CC 7.0 incorrectly interpret audio channels when importing and exporting XML, and are not recommended for Syncaila.
Adobe Premiere Pro CS 5.0 and CS 5.5 split stereo tracks into mono tracks while importing and exporting XML. This creates a cumbersome sequence.
Color labels are supported only by Adobe Premiere CC versions.
Final Cut Pro X
Final Cut Pro X and Syncaila interact by exporting/importing to Final Cut Pro X XML (*.fcpxml).
DaVinci Resolve
DaVinci Resolve and Syncaila interact by exporting/importing to Final Cut Pro 7 XML (*.xml) or Final Cut Pro X XML (*.fcpxml). Use the Final Cut Pro X XML (*.fcpxml) format to avoid the problem of converting stereo to mono after importing XML to DaVinci Resolve.
Vegas Pro
From version 12 and higher.
Vegas supports both Final Cut Pro 7 XML (*.xml) and Final Cut Pro X XML (*.fcpxml) formats, but with some limitations.
Vegas Pro 12-15 writes the file names instead of absolute file paths to XML, so Syncaila cannot detect all media files locations. Starting with Vegas Pro 16, this issue is addressed, but there is a new issue when exporting to Final Cut Pro 7 XML (*.xml) if a project has files with the same name.
If you use Vegas Pro 12-15, uncheck the Include Media option during the export to XML. Vegas will export the XML file only. You can fix all file paths in Syncaila.
We recommend using Vegas Pro 16 and higher with Syncaila 1.3.3 and above, import and export to Final Cut Pro X XML (* .fcpxml), and uncheck the Include Media option. Thus, you will not need to wait for the media files to be copied or the invalid file paths to be fixed.
Vegas splits stereo tracks to mono tracks when importing Final Cut Pro 7 XML, and unlinks audio and video when importing Final Cut Pro X XML (*.fcpxml).
EDIUS
Edius does not support exporting to Final Cut Pro XML.
So, if you want to import a sequence to Syncaila, you need to use another editing software that supports the export to Final Cut Pro 7 XML.
Edius splits stereo tracks to mono tracks when importing XML.
HOW TO USE – QUICK START
Step 1. Export a sequence to XML
At the very beginning, start working in your editing program as usual: create a project, a sequence and import media files from the shooting. Place files from cameras and recorders on separate tracks.
Export the sequence in Final Cut Pro XML format. Usually the corresponding function can be found in the File→Export menu.
Note 1: Do not perform a manual synchronization, editing, or other processing before exporting a sequence to XML, except the case when you need to sync the edited camera clips with recorder audio. Since version 2.7, there is a new option in Syncaila Export Settings, that allows this.
Note 2: To avoid further confusion, pay attention to how you export XML – for the whole project or a single sequence. Some editing programs allow exporting not only a single sequence but an entire project as well.
Step 2. Synchronization in Syncaila
Open Syncaila and perform three simple actions on the Synchronization toolbar, from left to right.
Button 1. Import XML.
Click to open a saved XML file.
If you have exported a whole project from your editing software, you can select a sequence in Syncaila. Learn more
Button 2. Synchronization.
Click to synchronize the sequence. Wait until the process is complete.
Note 1: Before starting the synchronization, you can adjust the Sync Settings. Learn more
Note 2: You can stop the process of synchronization and reset the sync results. Learn more
Note 3: Synchronization time depends on the storage device(s) speed and is proportional to the total footage duration.
Button 3. Export XML.
Click to save the synchronized sequence.
You can only save one sequence in a single XML file. If you have imported and synchronized several sequences, please make sure to save each one separately.
Step 3. Import synchronized XML into the editing software.
Go back to your editing software and import the synchronized XML file. Usually, you can find the corresponding import function in the File → Import menu. Wait until the import is complete and open the imported sequence.
SYNC RECOMMENDATIONS
Syncaila makes very complex calculations for automatic 1-click synchronization and is improved with each version, but any automation requires several rules. Therefore, to ensure the highest quality and speed of synchronization, follow these recommendations.
- Be attentive to the quality of the sound you are recording. High noise, strong echoes, reverberations, heavy overloads, anti-phase channels and other flaws do not contribute to synchronization quality. Also, long repetitions in sound, very similar fragments and monotonous rhythmic patterns negatively affect the result. Although the program often synchronizes poor recordings, it may not score a match as good enough for synchronization. In cases of strong echoes or reverberation, the program may inaccurately synchronize with an error of 1 or even more frames.
- Make sure that the audio in recorders and cameras is more similar than different. It is a common mistake to record an interview in noisy conditions where the environment muffles the audio in the camera, and the recorder has a clear voice of the person being shot. Another oversight is the lack of wind protection on the camera when the wind is strong. Recording from different lavalier mics with barely discernible similarities is also a problem.
- Use original files from the shoot, if possible. Syncaila synchronizes by audio content but also uses additional information from the files, particularly the recording date. This helps to properly organize the media files and greatly speeds up the process. The transcoded media files lose their original metadata. If you make proxies for editing, it is recommended to make them after the synchronization, not before.
- Check how your video footage was copied from the flash drive or transferred from drive-to-drive. There are cases when the date of copying replaces the original modification dates of the files. Try to find another way to transfer the footage — less information in the files – slower synchronization, and worse results.
- Synchronize before editing – not afterwards. Syncaila deletes all editing before synchronization. This is done for the benefit of synchronization to avoid many problems. The editor’s discipline – a guarantee of high stability and maximum performance. Since version 2.7, there is a new option in the Export Settings that allows to save camera editing with synced and trimmed recorder clips.
- Place files from various cameras and recorders on different tracks. If the recorder wrote multiple tracks simultaneously, they should also be placed on different tracks.
- Do not add other files to the sequence. Extraneous files (images, color backgrounds, titles, and other generated media, as well as files from other shootings) complicate the synchronization process and in some cases may lead to worse results or even failures. A clearer sequence achieves better results.
- Try to synchronize groups of clips rather than in pairs. There are cases when a single pair of clips does not have enough audio matching quality. The availability of other synchronized clips in the sequence will support low-quality matches (Applies to synchronization of original footages).
- Exclude Blu-ray playlists. Currently, Syncaila does not support Blu-ray playlists. So if you record in MTS format, copy only the .MTS files from your flash drive, and not the entire folder structure (PRIVATE\AVCHD\BDMV\STREAM\). This way, the editing program will treat each file as a separate one, and Syncaila will interpret the information obtained from XML correctly.
What if all items are met, but the sync result leaves much to be desired?

- Try other Sync settings. The settings are to the left of the Synchronization button. The repeat process will go quickly and, in some cases, may give a better result.
- Try to split the project. Complex projects may contain files with repeated or very similar audio fragments. The program might be incorrect because of this. There may also be many other reasons affecting the synchronization result. In this case, just split the project. Re-synchronization will go very quickly.
- Try to clear the caches. There may be failures, in rare cases, when writing caches to disk, such as hardware or system problems. You can clear caches in the program settings, which are available through the menu.
- Report the problem if none of the above helps. Sometimes problems can be solved in one or more days, with the development of special beta versions, so that you can continue working with the software. In any case, this will help to improve Syncaila more quickly.
INTERACTION WITH EDITING SOFTWARE
Note 1: Since localized versions of programs may differ in translations, menu items and names of controls in editing programs will be specified in English.
Note 2: Some editing programs have specific flaws when importing and exporting XML, which, unfortunately, Syncaila cannot control. If you encounter any problems, try importing back the native XML of the editing program to determine what is responsible for the bug. After that, contact the technical support of the related software development company.
Adobe Premiere Pro
Export to Final Cut Pro 7 XML
Adobe Premiere Pro exports the entire project by default.
To export a single sequence, select it (by clicking on it) in the Project window. By pressing the Ctrl key while selecting, you can select several sequences.
To export to Final Cut Pro 7 XML, use the menu item File → Export… → Final Cut Pro XML… The ‘Save Converted Project As’ window will open.
Import of Final Cut Pro 7 XML
Use the menu item File → Import… Select the Final Cut Pro XML (*.xml) file in the pop-up window and click Open.
Known issue. Duplicates. Premiere may create duplicates after importing XML for media that already imported in the project. Try to use the Edit→Consolidate duplicates function of Premiere.
Final Cut Pro X
Export to Final Cut Pro X XML
Use the menu item File → Export XML… The Export XML window will open.
Import of Final Cut Pro X XML
Use the menu item File → Import → XML… Select the Final Cut Pro X XML (*.xml) file in the opened window and click Import.
In this format, Syncaila also automatically saves a multicam clip, which can be found in the project among other clips after importing the synchronized XML.
DaVinci Resolve
Export to Final Cut Pro XML
Use the menu item File→ Export AAF, XML… You can change the format version in the drop-down list at the bottom of the window (7 or X versions and their modifications).
Import of Final Cut Pro XML
Use the menu item File → Import Timeline… → Import AAF, EDL, XML… . Select the Final Cut Pro XML (*.xml or *.fcpxml) file in the pop-up window and click Open.
Known issue. Splitting stereo tracks to mono for FCP XML 7. To avoid, use the FCPXML X format instead.
Known issue. Multichannel audio is shown with the first channel only for FCP XML 7. To avoid, use the FCPXML X format (except for one-stream multichannel audio with standard channel number). To fix, select all invalid clips on the timeline > Right-click > Clip Attributes > Audio – fix all channels manually.
Known issue. Multichannel audio within a single stream with a channel count that matches a standard audio configuration is not correctly interpreted for FCP X XML. Use FCP 7 XML format and fix the clips after import (see previous issue).
Known issue. Media with multichannel audio lose linking for FCPXML X.
Known issue. Randomly moved clips to other tracks for FCPXML X. To avoid, check ‘Prevents clips from shifting to other tracks’ in the Export Settings of Syncaila. This feature unlinks video and audio and unites all clips on every track to storylines. In Resolve, use the functions: Unlink clips and Decompose in place to ungroup clips. Also, you can use the FCP 7 XML format instead.
Known issue. Can’t find some files when media FPS does not match a timeline FPS for FCP XML 7. To avoid, fix the timeline FPS to match the media FPS or use the FCPXML X format.
Known issue. Sync drifts when media FPS does not match a timeline FPS. To avoid, fix the timeline FPS to match the media FPS. If you encounter this issue, try to import back a native Resolve XML and check if anything is shifted. If not, contact Syncaila support. Otherwise, this is a DaVinci Resolve bug.
Vegas Pro
Vegas Pro 12-15 writes the file names to XML instead of absolute file paths. So, Syncaila cannot detect locations of all media files. Starting with Vegas Pro 16, this issue is addressed, but there is a new issue when exporting to Final Cut Pro 7 XML (*.xml) if a project has files with the same name.
If you use Vegas Pro 12-15, uncheck the Include Media option during the export to XML. Vegas will export the XML file only. You can fix all file paths in Syncaila.

Import settings
To the left of the Import XML button is the settings button that opens the Import Settings window. In this window, you can choose between the automatic detection of a video editing software by XML or a manual option. The detection of the right XML source is important because all video editing programs have their own features and some bugs regarding XML.

You probably won’t need it. If Syncaila is wrong about video editing app, carefully fix Syncaila choice in the left corner of the main window header. This will change the further internal Syncaila logic and the Export Settings options.
Sequence list
If you have exported a project with several sequences from the editing program, you can navigate through these sequences and synchronize each of them separately. The list of sequences will open if you click on the sequence name on the toolbar. Each synchronized sequence should be exported to a separate XML file.
Sync by waveform
Always leave enabled, except the case when you want to sync by recording / modification time only with an error of up to one second (camera and recorder clocks should be fine-tuned).

Always leave enabled, except the case when you do not want the syncing by recording / modification time with an error of up to one second when a file cannot be synced by waveform. With the option enabled, Syncaila puts unsynced clips in approximate places where they should be according to a recording time. With the option disabled, Syncaila puts unsynced clips just one after another between synchronised ones. In any case, Syncaila always uses recording timestamps even for the waveform sync because they help to make a right sync choice.
Chronology setting
This setting sets how the order of the clips in the sequence should be preserved.
Smart automatic (default)
Flexible automatic ordering based on summary analysis of recording time, file name and audio match quality. For high quality match, clips are synchronized regardless of chronology. For low quality match, clips are synchronized only if the chronology is not violated. Recommended in most cases if you are unsure about other options.
As is in the XML
Strict order. The best option for maximum user control. Clips on the sequence must be placed in correct chronology.
By date and time
Strict order. Syncaila uses the modification date and time, as well as other metadata, if available. Recommended for original sources with correct modification dates and for sources transcoded in the original order.
By file name
Strict order. Use with a well-defined folder organization and file naming conventions that can be easily sorted.
Sync settings
To the left of the Synchronize button is the settings button that opens the Sync Settings window. This window gives a more advanced control over the sync engine of Syncaila.

Synchronization Log
Syncaila maintains a synchronization log to record the key events occurring during the process. You can see the log by clicking on the last log record item located under the Synchronization button.
Note: A separate journal is maintained for each sequence in the project.
Reset the results of synchronization
The synchronization results can be reset by pressing the Reset button on the sync panel. After this, the sequence returns to the state immediately after loading XML.
Note 1: Resetting the synchronization results affects the current sequence only. If the project has other synchronized sequences, synchronizing results of these sequences will not be affected.
Note 2: After saving XML, you can check the synchronization results in the editing software. If you are not satisfied with the synchronization results, you can press a Reset button, change the Sync Settings, and re-run the synchronization. It will run much faster due to caching (if enabled), and you can get better results.
Export settings
To the left of the Export XML button is the settings button that opens the Export Settings window. In this window, you can customize the name of the exported sequence, specify color and symbol labels to distinguish synchronized clips from unsynchronized ones in the editing software.

SYNC SETTINGS

Search accuracy
4 levels are available.
- Fast (Rough two-pass synchronization)
- Advanced (Rough multi-pass synchronization)
- Optimal (Default. Accurate multi-pass synchronization with optimal speed/quality ratio)
- Utmost (The ultimate quality of synchronization at the expense of time)
The switch is set to Optimal by default. At this level, Syncaila gives from 90 to 100% quality in the shortest time. Levels above may provide a minimal increase in quality but will require significantly more time.
Please note, synchronization depends mostly on the storage devices (for example, reading from the SSD will be much faster than with the HDD), and to a much lesser extent, on the processor’s computing power. That is why the Search accuracy setting may not hugely speed up the synchronization. Also, in some rare and complex situations, the faster Search accuracy setting can give a better result due to the nonlinear logic of algorithms. Therefore, if you are not satisfied with the result of synchronization, you can change the Search accuracy and other sync settings and run the synchronization again, which due to caching (if enabled), will run several times faster or even a few seconds.
Match threshold
The required match quality. The lower the match threshold, the more clips can be synchronized, but the higher the probability of false positives. Lower the value if Syncaila did not sync some of the clips. Raise the value if Syncaila synced something that should not be synced.

Always leave enabled, except the case when you do not want the syncing by recording / modification time with an error of up to one second when a file cannot be synced by waveform. With the option enabled, Syncaila puts unsynced clips in approximate places where they should be according to a recording time. With the option disabled, Syncaila puts unsynced clips just one after another between synchronised ones. In any case, Syncaila always uses recording timestamps even for the waveform sync because they help to make a right sync choice.
Timestamp position
Most devices generate a timestamp at the start of recording, but there are exceptions. For clarification, look at the modification dates of the source files. Change the option for a specific track, if needed.
EXPORT SETTINGS
Sequence name
Sequence name as it will be displayed in the editing program.
Sync recorder audio to camera edits
Leaves the camera clips untouched as they were before sync. Puts synced and trimmed recorder audio underneath.
Save tracks as storylines (XML X)
Unites all clips on each track to storylines. This prevents clips from shifting to other tracks. For DaVinci Resolve, there is a similar option – “Prevent clips from shifting to other tracks”.
Create multicam clip (XML X)
Enables the export of a sequence to a multicam clip. Supported by Final Cut Pro only.
‘Synchronized clips’ and ‘Unsynchronized clips’ tabs
Allow you to set up color and symbol labels to distinguish synchronized clips from unsynchronized ones in the editing program
Symbol labels
Adds a selected symbol (or a word) to the name of synchronized/unsynchronized clip as prefix (at the beginning) or as suffix (at the end). Check the Add to clip name checkbox to enable.
Color labels (Adobe Premiere)
Colors synced/unsynced clips with selected color. Check the Label with color checkbox to enable. Supported by Adobe CC only.
Audo role labels (FCP X)
Sets a selected audio role that allows to color-code the synced / unsynced clips. Supported by Final Cut Pro X only.
Disable unsynced clips
The only possibility to gray out unsynced clips for some video editing programs.
PATH FIXER
When the program cannot find the files specified in XML, it colors the files in red and allows you to specify valid paths. If there are invalid paths in the XML, Syncaila will automatically open the Path Fixer window, and the corresponding button will appear to the right of the Import XML button. Click to open this window.
There are two tabs: Missing Files and Path Redirections.
Missing Files tab
Here you can see the whole list of invalid paths in XML. To select a new path, double-click on an item. The program will automatically apply the Auto-Fix function to the remaining unfixed paths.
Reset Selected
Resets the fixes of selected paths. From there, you have the option to apply the Auto-Fix function on the reset paths.

Automatically fixes unfixed paths by using saved path redirections.
Path Redirections tab
When you fix a file path, the program remembers the redirection and lists it in this tab. This allows automatic fixing of file paths in the same directories and with the same file extension.
Remove Selected
Removes selected redirections. To select multiple redirections, press Ctrl (Cmd) or Shift key.
SETTINGS
To open the Settings window, click the menu button located in the upper right corner of the main window of Syncaila. Select the Settings menu item.
The Settings window will open. You can set default settings by clicking the Default button.
Language selection
You can select a language from the list of available languages.
Media Cache Files
To speed up the synchronization of sequences with previously analyzed media files, Syncaila performs caching. The following settings are available in the Media Cache Files group.
Caching Enabling / Disabling
Enabled by default. Click on the Save to checkbox to disable or enable again.
Directory for Media Cache Files
You can change it by clicking the Browse… button and selecting a new path in the opened window.
Deleting Media Cache Files
It is performed automatically by default within 30-day storage time for each media cache file. You can enable/disable this option and set the storage time in the checkbox line Auto clear after __ days.
You can also delete all media cache files by clicking the Clean button.
REPORT A PROBLEM
Report a problem directly from the program. Along with your description of the problem, Syncaila will automatically send all the necessary data relating to the process stage when this problem occurred.
To report a problem, go to the program menu which is located in the top-right corner of Syncaila window on Windows or in the top-left corner of the screen on macOS. Select Report the problem … A corresponding dialog box opens.
Carefully complete all the fields in the Report a problem window. Select when the problem occurred – on the current program run, on the previous one, or always. Select XML file and sequence, if needed. Check if the problem is related to synchronization itself. Check whether you require a response from Syncaila technical support. Describe the problem – in the title, and in detail. Click Send Report to report the problem to Syncaila technical support.

LICENSE INFO
Computer ID is a unique string identifying the computer from others. It may change when you change hardware or reinstall the OS.
Registered email is an email that was used for a license purchase.
Retrieve key button allows to get your key(s) by email (once in 3 months only).
License key is a unique string identifying your registration from others. If you see a warning about invalid key, make sure you are entering a valid key. If in doubt, copy it from the purchase confirmation e-mail and paste it into the field.
Hide button allows you to hide a license key from the window to protect from the key being stolen. After clicking on this button, you will have to enter the key again to deactivate your computer.
Activate/Deactivate button allows you to activate/deactivate your computer with the specified license key. Please deactivate your computer before hardware / system changes or if you do not plan to use it anymore. Syncaila automatically replaces an old activation with a new one if the old activation has not been used for more than 2 months. Contact us if you have a critical issue with activation.
License info table shows all the information about your license key as well as the limitations of a free or trial license.
Reset button (in the header bar) allows you to completely remove your license key from the program and reset to a default license (trial or free limited).
Apply for all users on this computer allows to share a license and activation with all user accounts on this PC. Syncaila must be run as administrator. Useful for companies sharing the same computer among many video editors. The sensitive license data is hidden from non-admins. Be careful using this option.

1. RIGHTS HOLDER
The Rights Holder is Alexey Kulikov, doing business under the name “Syncaila” (hereinafter — the “Rights Holder”). Syncaila is protected by applicable copyright laws and international copyright treaties. Syncaila is licensed, not sold.
2. GRANT OF LICENSE
The Rights Holder grants you a non-exclusive, non-transferable right to install and use Syncaila in accordance with this Agreement and with the applicable licensing terms. The specific license type, scope of use, duration, number of permitted devices, and update rights are defined by the licensing policy provided at the time of purchase or published on the Rights Holder’s website.
3. RESTRICTIONS
The user shall not:
- bypass or attempt to bypass the activation, licensing, or protection mechanisms;
- decompile, reverse engineer, disassemble, modify, or attempt to derive source code from the software;
- rent, lease, sublicense, share access with third parties, or transfer the license key, except where expressly permitted by the purchased license type (including multi-user licenses);
- use a single license key simultaneously on more devices than permitted;
- use the software in any manner that violates applicable laws or infringes the rights of the Rights Holder.
Any violation constitutes grounds for immediate termination of the license.
4. TRIAL AND FREEMIUM USE
If the software is provided in a trial or freemium mode, the conditions of such use are defined by the licensing policy in effect at the time of use. The Rights Holder may modify trial parameters provided such changes do not impair the rights of users who have already activated a paid license.
5. NETWORK USE
Installation on a network server for access within an internal network is permitted if consistent with the limitations of the active license. Concurrent use of a single license on multiple devices is permitted only if explicitly allowed by the purchased license type.
6. DISTRIBUTION
The user may distribute an unmodified freemium version of Syncaila provided any fee charged covers only the distribution costs. Distribution of paid license keys, registration data, or activation data is prohibited without written permission from the Rights Holder, including email or other electronic communication allowing reliable identification of the sender.
7. BACKUP COPIES
The user may create backup copies of the software and license data for personal use.
8. UPDATES
Access to updates, including major version upgrades, is determined by the purchased license type and the current licensing policy. The Rights Holder may provide updates that alter features or protection mechanisms, provided such changes do not reduce the core rights granted to the user.
9. LICENSE TERMINATION
The license terminates automatically:
- if the user violates the terms of this Agreement;
- if the user utilizes illegally obtained keys, cracks, or activators;
- if the user refuses to comply with the activation system requirements;
- at the user’s discretion upon deletion of all copies of the software.
Upon termination, the user must delete all copies of Syncaila and all license keys.
10. INTELLECTUAL PROPERTY RIGHTS
All rights to Syncaila, including its proprietary components, documentation, and materials, belong to the Rights Holder. The software may include third-party components distributed under their respective licenses. Rights to such components belong to their respective owners. This Agreement does not grant the user any rights to third-party materials accessible through or used by Syncaila.
11. DISCLAIMER OF WARRANTY AND LIMITATION OF LIABILITY
The software is provided “AS IS” without warranties of any kind, whether express or implied, including but not limited to warranties of performance, accuracy, merchantability, non-infringement, or fitness for a particular purpose. To the maximum extent permitted by applicable law, the Rights Holder shall not be liable for any damages, including data loss, lost profits, business interruption, or any indirect, special, incidental, or consequential damages arising from the use or inability to use Syncaila. In all cases, the total liability of the Rights Holder shall be limited to the amount actually paid by the user for the corresponding license.
12. CHANGES TO THE AGREEMENT
The Rights Holder may revise this Agreement at any time. The current version is published on the official website and becomes effective upon posting. Revisions do not apply to licenses purchased earlier if such revisions reduce the rights previously granted to the user.
13. GOVERNING LAW
This Agreement shall be governed by and interpreted in accordance with generally accepted principles of contract law and the laws applicable in the jurisdiction where the Rights Holder conducts business, unless otherwise required by mandatory consumer protection laws. Any disputes shall be subject to the jurisdiction that is appropriate for the Rights Holder, unless mandatory local law specifies otherwise for the user.
