HBP Painting Contractors Clarifications and Specifications
RELATIONSHIP:
The individual giving you this Contract has been given authority by HBP Painting Contractors to use its systems to facilitate this contract. The work will be completed by HBP Painting Contractors or its authorized independent contractors. Please make any check payable to HBP Painting Contractors as shown on the Contract listed. All Contracts include 1 revision, any following revisions may result in additional charges.
DEFINITIONS AND CONDITIONS OF THIS CONTRACT
UNFORESEEN CONDITIONS:
Work procedures as per standards of the PDCA (Painting and Decorating Contractors of America) P1-92, P2-92, P3-93, P4-94, P5-94, P7-99, and P6-99: The painting contractor will produce a “properly painted surface”. A “properly painted surface” is one that is uniform in color and sheen. It is one that is free of foreign material, lumps, skins, sags, holidays, misses, strike-through, or insufficient coverage when two (2) to (3) top and/or finish coats are applied. It is a surface that is free of drips, spatters, spills, or over-spray which the contractors’ workforce causes.
Compliance to meeting the criteria of a “properly painted surface” shall be determined when viewed without magnification at a distance of five feet or more under normal lighting conditions and from a normal viewing position. All previously repaired substrates, including but not limited, to brush marks, roller marks, abrasions, drips, sags, stipple marks, etc and/or applied drywall mud and paint coatings to inside/outside corners on the substrate are not to be eliminated/corrected during the preparation stage nor is it to be included in the scope of work HBP Painting Contractors is contracted to perform unless noted on Contract or a Change Order was issued. These areas may become more noticeable after coatings are applied therefore HBP Painting Contractors is not responsible for the final appearance.
Wallpaper is to be supplied by the customer. Some wall coverings may be priced higher to install; ie., untrimmed paper or use of lining paper. Due to the concealed conditions of existing wall coverings, it may be impossible to estimate the labor of removal and preparation necessary to achieve a properly painted or wallpapered surface. Under normal conditions wallcovering can be removed properly without damage to the surface; however, sometimes the substrate has not been sealed properly or other hidden conditions may exist. Due to these factors, added labor and material costs may become necessary. If these conditions exist, the owner will be notified before further work commences. Walls and other substrates’ current/existing condition will affect the outcome of the wall coverings’ final appearance after application. HBP Painting Contractors does not guarantee patterns, images, words, and/or other design aspects within the wall covering to line up/match other panels/design features installed or not by HBP Painting Contractors, nor does the company guarantee a straight/even line where the wallcovering meets the ceiling, wainscoting, and/or base/trim boards.
HBP Painting Contractors is not responsible if there is not enough wallpaper supplied by the customer, given the nature of wallcoverings it is always recommended to order over the minimum needed for the project. The purchasing of more wallcoverings needed will be the responsibility of the customer, and HBP Painting Contractors will not be financially obligated to provide monetary compensation to the customer.
Any work described as “touch-ups” listed on the scope of work above may have visual differences from the paint applied previously, it is recommended to paint the entire area to achieve a seamless look, and HBP Painting Contractors does not include the full repaint of the area as part of the warranty or touch up the program and will be deemed as a separate project. All decks that have a previous product applied to them will have an uneven finished appearance. When reinstalling/installing new/used hardware/doors on cabinetry, HBP Painting Contractors cannot guarantee the exact alignment of them once complete. Paint and painting materials contain VOCs that emit fumes and/or odors; this is unavoidable.
If you or anyone in the home/building have sensitivities to odors please plan accordingly prior to our arrival. HBP Painting Contractors are not responsible for any damage(s) done and/or any resulting scheduling difficulties caused by the fumes. If items/materials are not properly moved or prepared as instructed by HBP Painting Contractors, any damage done to personal property is not the responsibility of HBP Painting Contractors, and no deductions, refunds, and/or credits will be given.
CONTRACT:
This contract is valid for 30 days after it was written. Unless otherwise listed on the contract, all discounts applied to contracts are only valid for 30 days or until the contract itself is no longer valid. In addition, HBP Painting Contractors should be informed of your desires to have the work done and receive a signed copy of the contract before the work is to be started. All rooms/areas will receive 1 coat of finish paint or as listed on the Contract above. It is recommended to apply a minimum of 2 coats of paint/stain/clear coat to all substrates to increase longevity and durability.
Contracts created based on pictures/images of others’ work either online or in-person, may be different upon completion of the work due to the size/scale of the picture, lighting, condition of current substrate, and/or unknown existing materials. After painting, cabinets will have wood grain and/or pores show through. If the paint is applied with a roller and brush the final product may show stipple or brush marks, this is unavoidable. Closets, vents, return vents, and/or receptacles and switch plates are not included to be painted unless otherwise stated on the Contract. If closets are to be painted they will be painted white unless specified otherwise on the Contract or signed Color Selection Form.
When pressure washing and/or mechanic lifts are used, HBP Painting Contractors are not responsible for any damage(s) to yard/driveway/patios, etc. Customer waives all indirect, incidental, consequential, or special damages arising out of or in connection with this agreement, including without limitation, the rental maintenance, use, operation, storage, erection, dismantling, or transportation of the equipment or any damages done to surfaces/substrates from the use or storage of the equipment. The refusal of prep work as recommended by HBP Painting Contractors voids any warranties expressed or implied. If recommended options listed on the Contract are not selected by the customer(s), any warranty implied or written will be null and void. If new/replacement boards are installed HBP Painting Contractors are not liable for any blistering, peeling, and/or unevenness due to the wood not being properly weathered.
All painting work will be done in accordance with professional guidelines as set forth by the AIA (American Institute of Architects) and the PDCA (Painting and Decorating Contractors of America). In the event the contractor/owner request or require us to perform painting services that do not meet these standards, we will notify the contractor/customer accordingly in the form of a waiver at which time all painting work warranties will be considered null and void. Any additional work required to remedy immediate or future paint failures due to these requests or requirements will be considered additional work. Once the listed services in the contract, including any change order(s) have been completed, the project will be considered complete. Once a signed project punch list form has been received and/or the Contract has been signed as satisfactory, the job will be considered satisfactory by the customer.
The contracted price is for standard working hours of 8 am-4 pm, on a Monday through Friday basis, requested work outside of these hours is subjected to an additional rate of 25-50% of the total project cost, this additional rate must be written on the approved agreement for scheduling.
CONSENT OF OWNER:
CONSENT IS HEREBY GIVEN FOR FILING OF MECHANIC’S LIENS BY ANY PERSON WHO SUPPLIES MATERIALS OR SERVICES FOR THE WORK DESCRIBED IN THIS CONTRACT ON THE PROPERTY ON WHICH IT IS LOCATED IF HE IS NOT PAID. R.S.Mo.§ 429.013.2.
NOTICE TO OWNER:
FAILURE OF THIS CONTRACTOR TO PAY THOSE PERSONS SUPPLYING MATERIAL OR SERVICES TO COMPLETE THIS CONTRACT CAN RESULT IN THE FILING OF A MECHANIC’S LIEN ON THE PROPERTY WHICH IS THE SUBJECT OF THIS CONTRACT PURSUANT TO CHAPTER 429, RSMO. TO AVOID THIS RESULT YOU MAY ASK THIS CONTRACTOR FOR “LIEN WAIVERS” FROM ALL PERSONS SUPPLYING MATERIAL OR SERVICES FOR THE WORK DESCRIBED IN THIS CONTRACT. FAILURE TO SECURE LIEN WAIVERS MAY RESULT IN YOUR PAYING FOR LABOR AND MATERIAL TWICE.
NOTICE OF CANCELLATION:
YOU, THE BUYER, MAY CANCEL THIS TRANSACTION AT ANY TIME PRIOR TO MIDNIGHT OF THE THIRD BUSINESS DAY AFTER THE DATE OF THIS TRANSACTION. ALL DEPOSITS ARE NONREFUNDABLE. SEE THE BELOW NOTICE OF CANCELLATION FOR AN EXPLANATION OF THIS RIGHT. THIS SALE IS SUBJECT TO THE PROVISIONS OF THE HOME SALES ACT AND THE HOME IMPROVEMENT ACT. THIS INSTRUMENT IS NOT NEGOTIABLE. IN THE EVENT THAT LEGAL ACTION IS BROUGHT TO ENFORCE OR INTERPRET ANY TERM OF THIS CONTRACT, HBP PAINTING CONTRACTORS WILL BE ENTITLED TO RECOVER, IN ADDITION TO ANY OTHER DAMAGES OR AWARD, ALL REASONABLE LEGAL COSTS, AND FEES ASSOCIATED WITH THE ACTION WHICH WILL BE PAID BY THE BUYER.
YOU MAY CANCEL THIS TRANSACTION OR OCCUPATION WITHIN THREE BUSINESS DAYS FROM THE DATE. IF YOU CANCEL, ANY PROPERTY TREATED IN, AND ANY NEGOTIABLE INSTRUMENTS EXECUTED RETURNED WITHIN TEN BUSINESS DAYS FOLLOWING RECEIPT BY THE SELLER YOUR CANCELLATION NOTICE, AND ANY SECURITY INTERESTS ARISING OUT OF THE TRANSACTION WILL
BE CANCELLED.
IF YOU CANCEL, YOU MUST MAKE AVAILABLE TO THE SELLER AT THEIR RESIDENCE AND SUBSTANTIALLY AS GOOD CONDITION AS RECEIVED, ANY GOODS DELIVERED TO YOU UNDER THIS CONTRACT FOR SALE, OR IF YOU MAY, IF YOU WISH, COMPLY WITH THE INSTRUCTION OF THIS REGARDING THE RETURN SHIPMENT OF GOODS AT SELLERS EXPENSE AND RISK.
IF YOU DO MAKE THE GOODS AVAILABLE TO THE SELLER AND THE SELLER DOES NOT PICK THEM UP WITHIN 20 DAYS OF THE DATE OF THE CANCELLATION, YOU MAY RETAIN OR DISPOSE OF THE GOODS WITHOUT ANY FURTHER OBLIGATION. IF YOU FAIL TO MAKE THE GOODS AVAILABLE TO THE SELLER OR IF YOU AGREED TO RETURN THE GOODS AND FAIL TO DO SO, THEN YOU REMAIN LIABLE FOR THE PERFORMANCE OF ALL OBLIGATIONS UNDER THIS CONTRACT.
TO CANCEL THIS TRANSACTION, MAIL OR DELIVER A SIGNED AND DATED COPY OF THIS CANCELLATION NOTICE OR ANY OTHER WRITTEN NOTICE.
ONE YEAR LIMITED WARRANTY
Subject to the limitations set forth below, a period of 12 months from the date of completion of the work described on the Contract as listed above, HBP Painting Contractors named on the Contract listed above (the “Contractor”) will repair peeling, blistering, or chipping paint resulting from defective workmanship.
THIS LIMITED WARRANTY DOES NOT COVER:
- Any work where the contractor did not supply the paint or other materials
- If recommended options listed on the Contract are not selected by the customer(s), any warranty implied or written will be null and void.
- Any work which was not performed by the Contractor
- Varnished surfaces
- Surfaces made of, or containing, galvanized metal
- The cost of paint required to perform the repairs
- Oxidation or discoloration of the vinyl siding after power washing
- Dirt/ Residue caused by drain holes, collection points, or other areas
- Horizontal surfaces or any surface that, by virtue, if its design permits moisture to collect. Surfaces include, but are not limited to, decks, railings, stairs, fences, porches, roofs, and wood gutters
- Exact paint match as environmental conditions will affect the color and finish of all paints over time
- Any repairs which are necessitated as a result of a defect in the paint, regardless of whether the paint was supplied by the Contractor or the customer
- Bleeding caused by knots, rust, or cedar
- Cracks in drywall, sheetrock, plaster, or wood
- Peeling, blistering, or chipping where they are caused by: Mill-glazing from smooth cedar, Ordinary wear and tear, Abnormal use or misuse,
- Peeling of layers of paint existing prior to the work performed by the contractor, Structural defects, Settling or movement, Moisture content on the substrate, Abrasion, mechanical damage, abrasive cleaning, abuse, or damage resulting from the use of chemicals or cleaning agents or exposure to harmful solids, liquids, or gases, Damage or defects caused in whole or impart by reason of fire, explosion, flood, acts of God, extreme weather conditions, misuse, alterations, abuse, vandalism, negligence, or any similar causes beyond the control of the Contractor.
Repairs under this limited warranty will be performed only on the specific areas where peeling, blistering, or chipping has occurred and only to the level of surface preparation described in the preparation section of this contract.
FOR THIS WARRANTY TO BE VALID, YOU MUST:
- Pay the full contract price
- Retain a copy of the original contract
- Retain a copy of your evidence of payment in full
- Pay for all materials used to perform the repairs
- Make the property accessible to the Contractor, or his employees, to perform the repairs.
THIS LIMITED WARRANTY IS THE ONLY EXPRESS WARRANTY MADE BY THE CONTRACTOR AND IS IN LIEU OF ALL OTHER WARRANTIES, EXPRESSED OR IMPLIED. THIS WARRANTY COVERS ONLY THE SERVICES PROVIDED BY THE CONTRACTOR TO THE ORIGINAL PURCHASER NAMED ON THE CONTRACT LISTED ABOVE. IN NO EVENT SHALL THE CONTRACTOR BE LIABLE FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR DAMAGES IN EXCESS OF THE ORIGINAL CONTRACT PRICE. THIS WARRANTY MAY NOT BE ALTERED OR EXTENDED FOR ANY PURPOSE UNLESS DONE SO IN WRITING IN A DOCUMENT EXECUTED BY ALL PARTIES TO THIS CONTRACT.
This warranty gives you specific legal rights. Some jurisdictions do not allow limitations on how long an implied warranty lasts, so the above limitation may not apply to you. Some jurisdictions do not allow the exclusions or limitations of incidental or consequential damages, so the above limitations may not apply to you.
For warranty service, you should contact your Contractor to schedule an inspection of your property by calling HBP Painting Contractors at 636.544.1254.
Change Orders:
Any changes to the scope of work detailed above, or to the color or gloss level of the paint to be used, requires customer sign-off on a change order form and will result in additional charges to cover time and materials.
Customer Responsibility:
Please have fragile or breakable items, pictures, televisions, and electronics unplugged and moved out of work areas prior to the start of the project. All curtains, blinds, light, and receptacle covers must be removed. Occupants and/or other tradesmen/contractors must vacate the work area while the job is in progress and allow contractor thermostat access. If the progress or completion of work by HBP Painting Contractors is impeded, delayed, or otherwise obstructed by the actions or omissions of the customer, contractor, designer, or any other trade, a delay fee of $595.00 per worker, per scheduled workday shall be assessed and added to the contract balance.
Color Selection:
The customer understands when the color is selected and approved by the customer with their initial and signature, the color will be considered part of the contract. When a color match is indicated on the Contractor on the Color Selection Form, Color Matches are not guaranteed to match exactly, if a final paint color from a color match is not accurate and the client has approved of the match to be done, HBP Painting Contractors is not responsible for any additional fees associated with labor or materials to correct the color, nor will any discounts or subtractions be applied to the total due. If no sheen is listed on the Color Selection Form or Contract within 5 days in advance of the scheduled start date HBP Painting Contractors will determine the best sheen to use, any requests to change sheens will be billed as a Change Order.
Verbal acceptance of color/product selections provided in person and/or on the phone are binding to the contract for the scope of work to be done. The customer will be responsible for additional charges as they incur for changing of colors and/or products. Per your contract you are eligible to choose three wall colors, excluding ceiling and woodwork colors, any additional colors will incur an additional $145.00 charge per color selection. If the customer desires to change the color once it has been approved, the customer agrees to pay for any paint material purchased which is not returnable. If the customer would like to change an approved color, and labor related to the color change will be presented to the customer as an additional charge which may be needed to cover the expense for set up/delivery of new materials, repainting of any surfaces already painted, or any other related labor items. Cabinet Agreements are eligible to choose 1 color, additional colors will be $295.00 per additional color.
Moulding Selection and Finish Carpentry Terms:
Given the extensive range of moulding profiles available, clients are asked to personally select their desired moulding by visiting any local lumber supplier. Upon selection, HBP Painting Contractors will coordinate the procurement, pick-up, and delivery of materials. The total material cost, along with a 19% handling fee, will be reflected in the final project invoice. Pre-primed moulding is highly recommended to ensure optimal finish quality and efficiency. Selection of unprimed wood will incur additional preparation charges. Please be advised that final finish carpentry details may differ slightly from any reference images provided, due to variations in material, site conditions, and standard installation practices.
EIFS Repair Disclaimer:
This proposal includes limited repairs to visibly failing or delaminated sections of the existing Dryvit EIFS. While every effort will be made to ensure a sound and professional patch, we cannot guarantee the performance of underlying materials or adjacent areas not addressed in this scope. Existing EIFS systems that show signs of peeling, cracking, or water infiltration may indicate broader systemic issues. HBP Painting Contractors is not liable for future failure of areas not repaired, and recommends full-system replacement or further evaluation by an EIFS specialist if concerns persist.
Payment terms:
Up to 50% Scheduling deposit is required from the total listed on the Contract, the remaining balance is to be paid upon completion of work. If financing is being used from Wisetack, the customer will be responsible for all associated fee(s) which will increase the total price of the project. All in house payment plans will have a 5% fee added on to the remaining balance after the deposit is made.
For payments made using a debit/credit card or paying by ACH, there will be a 2.9% convenience fee added.
Projects over $10,000 may be subject to progress payments until the invoice is paid in full and the project is complete.
Any invoice balance remaining unpaid after 30 days from the invoice date may be charged to the credit card on file. By signing this agreement, the client authorizes HBP Painting Contractors to process such payment without further notice in order to satisfy the outstanding balance. This authorization applies to all invoices related to the scope of work described herein, unless otherwise agreed upon in writing.
Marketing & Media Authorization
Client grants HBP Painting Contractors the irrevocable right to photograph, video record, and document the project before, during, and after completion. Client authorizes HBP Painting Contractors to use such media for marketing and promotional purposes, including but not limited to website content, case studies, social media, print materials, advertising, and third-party platforms such as Google.
Client acknowledges that project details, general location (city and neighborhood), and first or last name may be referenced in case studies or promotional materials. HBP Painting Contractors will not publish full names, street addresses, or personal contact information without separate written authorization.
Client understands that once media or case study content is published online, it may be shared, indexed, or redistributed by third parties beyond HBP Painting Contractors’ control.
