Investing in the Fund is speculative and involves a high degree of risk, including the risk that investors may lose part or all of their investment. The Fund’s fees and expenses will offset the Fund’s investment returns. Investors should carefully consider the principal risks before investing in the Fund. The Fund will invest in private businesses and its portfolio will be significantly impacted by the performance of the private equity investment market, generally, and the software and technology sector, specifically. As a result, the Fund may experience more volatility and be exposed to greater risk than a more diversified portfolio. The Fund’s use of leverage may increase volatility and increase the risk of loss. Investments in the Fund are subject to restrictions on transfer and, as such, an investment in the Fund is considered to be illiquid, as there is no secondary market for Fund interests, and none is expected to develop.
Investments will be impacted by, among other factors, (1) ONE Bow River’s skill in selecting investments, (2) the availability and competitiveness of the market to acquire and dispose of portfolio company investments, and (3) the reliance upon the ability of portfolio company management teams to manage the day-to-day operations of the assets and implement ONE Bow River’s value add investment strategy. Current risks applicable to lower middle market firms include regulatory uncertainty, a decrease in government spending, and the need to invest in new technology to remain competitive in today’s rapidly evolving marketplace. Current risks applicable to the Fund’s government tech buyout investments ONE Bow River National Defense include limited company operating histories, product lines, markets, financial resources and personnel, intense market competition, and the potential for rapid product obsolescence.
SBIC RISK FACTORS
The investment strategy of the Fund is materially reliant upon the receipt of a Small Business Investment Company (“SBIC”) license from the U.S. Small Business Administration (“SBA”). If for any reason the Fund is unsuccessful in its application for an SBIC license, the Fund withdraws its application for an SBIC license, or at any time the SBA revokes the Fund’s SBIC license, such actions may negatively impact the Fund’s ability to execute its investment strategy and may negatively affect the Funds investment activities and performance.
