The following document outlines the terms of use of the Nilead services. You can also review our Privacy Policy, which outlines our practices towards handling any personal information that you may provide to us.
Before using any of the Nilead services, you are required to read, understand and agree to these terms. You may only create an account after reading and accepting these terms. THE LEGAL AGREEMENTS SET OUT BELOW GOVERN YOUR USE OF THE NILEAD SERVICES (SERVICES). BY USING THE NILEAD SERVICES YOU AGREE TO THESE TERMS, AS SUCH MAY BE AMENDED FROM TIME TO TIME AT NILEAD'S ABSOLUTE DISCRETION. IF YOU DO NOT AGREE TO THESE TERMS, YOU ARE NOT AUTHORIZED TO USE THE SERVICES.
The web pages available at nilead.com, all linked pages, and applications (Nilead Platform) are owned and operated by nilead.com. (Nilead) and is accessed by you under the Terms of Use described below (Terms).
Please read these terms carefully before using the services. By accessing the Nilead Platform, viewing any content or using any services available on the Nilead Platform (as each is defined below) you are agreeing to be bound by these terms, which together with our Privacy policy, governs our relationship with you in relation to the Nilead Platform. If you disagree with any part of the terms then you may not access the Nilead Platform.
The Nilead Platform is an all-in-one website builder and service platform that enables individuals and businesses to create, manage, and grow their online presence.
Nilead offers two types of services:
Platform Services – Access to our website builder, hosting infrastructure, and related tools that allow you to build and manage your own website.
Managed Services – One-time or subscription-based professional services such as custom website design, content creation, SEO, technical support, and website maintenance.
Clients may use the Nilead Platform independently or engage Nilead’s team for additional support and services, depending on their needs.
Your access to and use of the Nilead Platform or any related services may be interrupted from time to time due to maintenance, updates, third-party service disruptions, or other issues within or beyond Nilead’s control. Nilead reserves the right to modify, suspend, or discontinue any part of the Platform or Services at its sole discretion and without prior notice.
To access certain features of the Nilead Platform or to engage with our Managed Services, you may be required to create an account by providing accurate, complete, and current registration information.
You agree to:
Maintain the security of your login credentials,
Not share your account with others,
Notify Nilead immediately if you suspect unauthorized access or any breach of security.
Nilead is not responsible for any loss or damage arising from unauthorized use of your account.
You may not use as a username:
The name of another person or entity without proper authorization,
A name or trademark that infringes on third-party rights,
Or any name that is offensive, vulgar, or misleading.
Nilead’s services are available only to individuals aged 18 or older, or to legal entities represented by an authorized person of legal age.
The terms “you” or “your” refer to the individual or entity using the Nilead Platform and Services, including any affiliated persons, contractors, employees, or representatives acting on their behalf.
You agree to pay all applicable fees for your use of Nilead’s services in accordance with the pricing and billing terms presented to you at the time of signup, proposal acceptance, or service engagement.
Subscription Services
For ongoing subscription plans (e.g., website management, content creation), payments are billed in advance on a monthly or annual basis, depending on your selected plan. All subscriptions renew automatically unless cancelled before the renewal date. You are responsible for maintaining valid payment information to avoid service interruption.
One-Time Services
For project-based work (e.g., website design, branding, consultation), a proposal or invoice will define the payment schedule. This may include upfront deposits, milestone-based payments, or payment upon delivery. Late payments may result in project delays or suspension of service.
General Payment Terms
Prices are listed in your local currency or USD, unless otherwise stated.
Applicable taxes (such as HST or VAT) will be added based on your billing address and local tax laws.
You are responsible for all fees, charges, and applicable taxes associated with your account.
Nilead reserves the right to change service pricing at any time. Any such changes will be communicated in advance for active subscriptions or service agreements.
All payments are non-refundable except as stated in Nilead’s refund policy or individual service agreement. Refund eligibility is subject to the terms of your plan or individual service agreement
You agree to use the Nilead Platform and Services only for lawful purposes and in accordance with these Terms.
You agree not to:
Access, modify, or use another user’s account without authorization
Reverse-engineer, interfere with, or disrupt Nilead’s systems, servers, or security features
Upload or distribute malicious software, spam, or harmful content
Use the platform to create, promote, or distribute content that is illegal, hateful, defamatory, or infringes on third-party rights
Attempt to bypass any service limits, quotas, or fair-use policies
Exploit platform tools in a way that causes undue strain on system resources
You may only access the platform using methods and tools provided or approved by Nilead.
Nilead reserves the right to monitor usage to ensure system stability and enforce acceptable use. Violation of these terms may result in account suspension or termination without prior notice.
You agree to indemnify, defend, and hold harmless Nilead, its affiliates, officers, employees, contractors, and agents from any claims, losses, liabilities, damages, costs, or expenses (including legal fees) arising from:
Your violation of these Terms;
Your content or use of the Services;
Any activity conducted through your account, whether by you or a third party;
Your infringement of any third-party rights, including intellectual property.
This indemnity survives the termination or expiration of your agreement with Nilead.
To the maximum extent permitted by law, Nilead shall not be liable for any indirect, incidental, special, or consequential damages, including loss of revenue, data, or profits, even if advised of the possibility of such damages.
In no event shall Nilead’s total cumulative liability exceed the amount you paid to Nilead in the three (3) months preceding the event giving rise to the claim.
Your sole remedy for dissatisfaction with the services is to stop using them and, if eligible, request a refund under our refund policy.
NILEAD, AND THEIR LICENSEES, AFFILIATES, AND LICENSORS MAKE NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE SERVICES, INCLUDING, WITHOUT LIMITATION, ANY EXPRESS OR IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. YOUR SOLE REMEDY, AND OUR SOLE LIABILITY, SHALL BE YOUR ABILITY TO TERMINATE THE SERVICE EFFECTIVE UPON RECEIPT BY NILEAD OF YOUR WRITTEN NOTICE OF TERMINATION, TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW.
Nilead, nilead.com and other graphics, logos, designs, page headers, button icons, scripts, service names and any other intellectual property are the sole and exclusive intellectual property of Nilead. Nilead's intellectual property may not be used in connection with any product or service without the prior written consent of Nilead. Notwithstanding the foregoing, the images and icons available in the Nilead Press Kit may be used by partners and approved third party sites in connection with providing appropriate links to the Nilead Site.
Support must be submitted through Nilead’s official support channels, such as the ticket system or designated support email. We aim to respond to all requests within a reasonable time frame, but do not guarantee resolution times.
Support Availability
Nilead provides 24/7 access to the support system; however, response and resolution times may vary based on request complexity, current workload, and support plan level (if applicable). Support is monitored regularly during business hours and on a best-effort basis outside those hours, based on the Provider’s operational timezone.
Design & Development Requests (Website Management Clients)
Clients subscribed to our Website Management Services may submit design or development requests as part of their plan. Each request is subject to:
A time allowance per request (as defined by your plan or service agreement)
Evaluation by Nilead management to determine feasibility and scope
Requests outside the scope of your plan or deemed too complex may:
Be quoted as custom work,
Be deferred, or
Be referred to a Nilead partner or external provider.
All requests are subject to approval by Nilead or its assigned representatives.
Certain services available may include materials from third parties. Nilead may provide links to third-party websites as a convenience to you. You agree that Nilead is not responsible for examining or evaluating the content or accuracy and does not warrant and will not have any liability or responsibility for any third-party materials or websites, or for any other materials, products, or services of third parties. You agree that you will not use any third-party materials in a manner that would infringe or violate the rights of any other party and that Nilead is not in any way responsible for any such use by you.
The term “unlimited” refers to usage that falls within normal, fair, and non-abusive levels based on the average usage of similar clients.
Nilead reserves the right to define and enforce reasonable use at its sole discretion. If your usage significantly exceeds typical levels or impacts service performance for other clients, Nilead may:
Contact you to discuss the issue,
Recommend service adjustments or upgrades,
Or suspend or limit certain features or access.
Our goal is to provide high-quality service for all clients. Abuse of “unlimited” features—such as excessive support tickets, design requests, or technical resource consumption—may result in service restrictions or termination.
You may cancel your subscription or terminate your use of Nilead Services at any time by contacting our support team. We do not require long-term contracts, and you are free to leave at any time if you are not satisfied.
Upon cancellation:
Your access to the Services and any active website(s) will be suspended at the end of your current billing cycle, unless agreed otherwise.
If eligible, refunds will be issued in accordance with our refund policy.
You are responsible for backing up any content or data before termination. Nilead is not responsible for retaining or recovering data after cancellation.
Nilead may suspend or terminate your account immediately, without prior notice, if:
You violate these Terms,
You engage in abusive or unlawful behavior,
Or fail to make timely payment for active services.
Any obligations that, by their nature, should survive termination—such as payment obligations, indemnity, intellectual property rights, and limitation of liability—will remain in effect after termination.
Nilead reserves the right, at its sole discretion, to modify or replace the terms at any time. If the alterations constitute a material change to the terms, Nilead will notify you by posting an announcement on the Nilead Platform. What constitutes a material change will be determined at Nilead's sole discretion. You shall be responsible for reviewing and becoming familiar with any such modifications. Using any service or viewing any content following notification of a material change to the terms shall constitute your acceptance of the Terms as modified.
No Partnership Created
These Terms do not create any agency, partnership, joint venture, or employment relationship between you and Nilead. You may not bind Nilead to any obligation without written consent.
Force Majeure
Nilead shall not be liable for any delay or failure to perform its obligations due to causes beyond its reasonable control, including but not limited to natural disasters, technical outages, labor disputes, or failures of third-party services.
Severability
If any provision of these Terms is found to be unenforceable or invalid, it shall be limited or removed to the minimum extent necessary. All remaining provisions will remain in full force and effect.
Assignment
Nilead may assign or transfer these Terms and its rights and obligations without your consent. You may not assign your rights without prior written approval.
Entire Agreement
These Terms, along with our Privacy Policy and any additional service agreements, constitute the complete agreement between you and Nilead and supersede all prior agreements, communications, and understandings.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada. Any disputes shall be resolved in the courts of Ontario, to which both parties submit exclusive jurisdiction.
