Terms of Service
1. Definitions
- “LicenShield” refers to the software plugin, website (licenshield.com), license server API, and all related services operated by June Company.
- “We,” “us,” “our” refers to June Company.
- “Merchant” refers to any developer, agency, or plugin author who installs LicenShield on their WordPress site to sell and manage licenses for their own plugins or digital products.
- “End Customer” refers to any individual or business that purchases a plugin or digital product license through a Merchant’s LicenShield-powered website.
- “License Key” refers to any unique key generated by LicenShield for either a Merchant’s own LicenShield subscription or an End Customer’s plugin purchase.
- “Client Plugin” refers to the WPLS Client SDK included in a Merchant’s plugin that communicates with their LicenShield installation for license validation.
- “License Server” refers to the LicenShield WordPress installation on a Merchant’s own domain that handles their product licensing.
2. What LicenShield Does
LicenShield is a self-hosted WordPress plugin licensing platform. It allows Merchants to:
- Create and manage products with license-gated features
- Accept payments through their own connected Stripe account
- Automatically generate and email license keys to End Customers upon purchase
- Validate license keys from End Customers’ WordPress sites via a REST API
- Manage renewals, expirations, and license activations
- Deliver secure plugin downloads to paying customers
- Embed checkout and license management into their own WordPress site
LicenShield is a self-hosted tool. Each Merchant runs their own independent License Server on their own domain. We do not operate a shared or centralized licensing infrastructure — each Merchant’s installation is entirely separate.
3. License Tiers — What Each Plan Includes
3.1 Starter Plan
The Starter license grants a single individual or entity the right to install and operate LicenShield on one WordPress site as a License Server. Included features:
- Unlimited products
- Unlimited license key generation
- Stripe payment integration
- Automatic license key delivery via email
- REST API for license validation from client plugins
- Secure file delivery for plugin downloads
- License management dashboard
- WPLS Client SDK for inclusion in your plugins
- 1 License Server (1 domain)
- Email support
3.2 Pro Plan
The Pro license grants all Starter features plus:
- Multiple License Servers (multiple domains)
- Advanced license rules — per-site limits, expiration controls, tier-based feature gating
- Renewal management and automated renewal reminder emails
- License transfer and migration tools
- Priority email support
- Early access to new features
3.3 Agency Plan
The Agency license grants all Pro features plus:
- Unlimited License Servers
- White-label — remove LicenShield branding from customer-facing pages
- Priority support with faster response times
- Early access to all new features
4. Requirements
- WordPress 6.2 or higher
- PHP 7.4 or higher
- A Stripe account (free) connected to your LicenShield installation
- SSL certificate on your License Server domain (required for Stripe and secure API communication)
- An active LicenShield license key
5. Merchant License Terms and Restrictions
5.1 Grant of License
Upon purchase, we grant you a limited, non-exclusive, non-transferable, revocable license to install and operate LicenShield on your WordPress site(s) as specified by your plan tier, for the duration of your active subscription.
5.2 Permitted Use
- Install LicenShield on your own WordPress site(s) to sell and manage licenses for your own plugins and digital products
- Include the WPLS Client SDK in your own plugins to communicate with your License Server
- Use LicenShield to manage licenses for plugins you sell to your own clients and customers
- Customize LicenShield’s appearance and email templates for your brand
5.3 Restrictions
You may not:
- Resell, sublicense, or offer LicenShield itself as a service to third parties (i.e., you may not operate LicenShield as a licensing-as-a-service platform for other developers)
- Redistribute or resell the LicenShield plugin code itself
- Share your LicenShield license key publicly or transfer it to another party
- Use LicenShield to sell licenses for products you do not own or have rights to distribute
- Use LicenShield to distribute malicious, illegal, or infringing software
- Attempt to circumvent or reverse-engineer LicenShield’s license validation mechanisms
- Use LicenShield in violation of Stripe’s terms of service
5.4 WPLS Client SDK
The WPLS Client SDK is a PHP library included with LicenShield that Merchants embed in their own plugins to handle license activation, deactivation, and validation. The SDK is provided under the GPL v2 license and may be freely included in your GPL-licensed plugins. You may not represent the SDK as your own original work or use it to connect to any licensing server other than your own LicenShield installation.
5.5 Subscription and Renewal
LicenShield licenses are annual subscriptions billed through Stripe. Your subscription renews automatically unless cancelled before the renewal date. You will receive a reminder email before renewal. Upon cancellation or expiry, LicenShield continues to function but you will no longer receive updates or support, and license validation for your End Customers may eventually be affected if your installation becomes incompatible with updated WordPress or PHP versions.
6. Merchant Responsibilities
As a Merchant operating a License Server, you are solely responsible for:
- Your products — ensuring you have the legal right to sell and distribute the plugins and digital products you license through LicenShield
- Your customers — all obligations to your End Customers including refunds, support, and delivery of the products they purchase
- Your Stripe account — compliance with Stripe’s terms, proper business verification, and accurate tax collection where required
- Your privacy obligations — maintaining a compliant privacy policy on your License Server site and handling your End Customers’ data in accordance with applicable law
- Your server security — maintaining a secure WordPress installation, keeping software updated, and protecting End Customer data stored on your server
- Tax compliance — collecting and remitting any applicable sales tax, VAT, or other taxes on sales you make through LicenShield
- Your refund policy — you set and enforce your own refund policy for your End Customers; our refund policy covers only your purchase of a LicenShield license from us
7. End Customer Notice
If you are an End Customer who purchased a plugin license through a website powered by LicenShield, your purchase agreement is with the Merchant (the plugin author or developer) — not with LicenShield or June Company. For refunds, support, or questions about your purchase, contact the Merchant directly.
LicenShield provides the licensing infrastructure but has no access to your payment information, no ability to issue refunds, and no visibility into the terms of your purchase from the Merchant.
8. Refund Policy — LicenShield Licenses
We offer a 30-day money-back guarantee on all LicenShield license purchases. If you are not satisfied for any reason, email us at info@licenshield.com within 30 days of purchase for a full refund, no questions asked.
Refunds apply only to your LicenShield license purchase from us. We cannot issue refunds for purchases made by End Customers through a Merchant’s site.
9. Stripe Integration
LicenShield integrates with Stripe to process payments on your License Server. By connecting your Stripe account to LicenShield, you agree to Stripe’s Services Agreement. You are responsible for your Stripe account, including verification, compliance, dispute handling, and any fees charged by Stripe. We are not responsible for Stripe’s decisions regarding your account, including account restrictions or terminations.
10. Updates and Support
Active license holders receive LicenShield plugin updates for the duration of their subscription. We reserve the right to modify, add, or remove features with reasonable notice. Support is provided via email at info@licenshield.com. We do not provide support for your End Customers or for the plugins you sell through LicenShield.
11. Acceptable Use
You agree not to use LicenShield to sell or distribute:
- Software that contains malware, spyware, ransomware, or any malicious code
- Software that infringes the intellectual property rights of any third party
- Counterfeit or unauthorized copies of commercial software
- Any product that violates applicable laws or regulations
We reserve the right to terminate your license immediately and without refund if we determine you are using LicenShield for any of the above purposes.
12. Disclaimer of Warranties
LICENSHIELD IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT LICENSHIELD WILL BE ERROR-FREE, UNINTERRUPTED, OR COMPATIBLE WITH EVERY WORDPRESS CONFIGURATION. LICENSE VALIDATION DEPENDS ON NETWORK CONNECTIVITY BETWEEN YOUR END CUSTOMERS’ SITES AND YOUR LICENSE SERVER — WE CANNOT GUARANTEE UNINTERRUPTED VALIDATION.
You are responsible for maintaining backups of your LicenShield installation, including your license database. Loss of license records is your responsibility.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JUNE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF LICENSHIELD, INCLUDING BUT NOT LIMITED TO LOST REVENUE FROM YOUR PLUGIN SALES, LOSS OF END CUSTOMER DATA, OR INTERRUPTION OF YOUR LICENSE SERVER.
OUR TOTAL CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
WE ARE NOT LIABLE FOR ANY CLAIMS BY YOUR END CUSTOMERS ARISING FROM YOUR USE OF LICENSHIELD TO SELL YOUR PRODUCTS.
14. Indemnification
You agree to indemnify, defend, and hold harmless June Company from and against any claims, damages, losses, and expenses (including legal fees) arising out of or related to: your use of LicenShield; the products you sell through LicenShield; your End Customers’ claims against you; your violation of these Terms; or your violation of any third party’s rights including intellectual property rights.
15. Termination
We reserve the right to suspend or terminate your license immediately for violation of these Terms, particularly Section 11 (Acceptable Use). Termination for cause does not entitle you to a refund. You may cancel your subscription at any time through your Stripe billing portal.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Oregon, United States. Any dispute shall be resolved in the state or federal courts located in Josephine County, Oregon. Before initiating legal action, contact us at info@licenshield.com and allow 30 days for informal resolution.
17. Changes to These Terms
We may update these Terms from time to time. We will notify active Merchants by email at least 14 days before material changes take effect. Continued use constitutes acceptance of the updated Terms.
18. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and June Company regarding LicenShield. If any provision is found unenforceable, the remaining provisions continue in full force.
