The administrator’s role is to operationalize the foundation company and once this has been achieved the administrator will run the day to day operations of the Foundation.

Establishing a Foundation typically takes approximately 3 to 5 weeks, covering key steps such as entity formation, Know Your Customer (KYC) compliance, director appointments, and preparing foundational documentation.

The supervisor is appointed in the place of shareholders and has similar responsibilities. The powers of the Supervisor can however be adjusted as needed in the M&A. The Supervisor oversees the directors and will file a motion with the court if all directors are removed or directors are not meeting their duties. The Supervisor will only step in when extreme circumstances arise or where special resolutions are required.

Typically, a Foundation does not need to register with CIMA unless it engages in regulated activities, such as issuing tokens classified as securities, operating investment funds, or providing regulated financial services.
