Setting Goals and Expectations

First, we work to understand your goals for selling the business and level-set expectations for the process. We use this first step to address your questions and uncertainties about selling. After our first meeting, you’ll understand our selling process, have a realistic timeline to complete the project, and have clear communication standards.

 

Business Valuation

The valuation process is designed to build support for negotiations and helps you understand business value drivers and the state of the current market. Our Accredited in Business Valuation (ABV) advisors prioritize strategic value, and target partners who will value operational synergies. We thoroughly analyze your financials to normalize the earnings and identify your unique value proposition.

Presentation Materials and Targeting Buyers

We create a Confidential Information Memorandum (CIM) to present and describe your business to target buyers. The CIM is a comprehensive overview of your business including key facts and strengths that differentiate you from the competition. We draw from our pool of potential buyers throughout the country to present your business opportunity. 

Vetting Offers

Not every offer we receive is a good match for your company. To find suitable buyers, our advisors conduct a thorough vetting process. We filter buyers based on their infrastructure, financials, and even culture. This process can take time, as we thoroughly research and interview each potential purchaser.

Our facilitators then work with you to narrow down the remaining prospects to a potential buyer. Next steps include negotiating and executing a Letter of Intent (LOI) with one party which outlines the primary terms for the transaction.

Due Diligence

Due diligence is a process for both the buyer and seller to verify and gain comfort regarding all aspects of the transaction. Our facilitators organize and manage the due diligence process including the buyer’s examination of your organization’s financial records, and other areas under review. 

Transaction Documents and Agreements

We then work with your legal advisors to assist with the purchase agreement and related transaction documents.

Closing and Post-Closing Tasks

The work doesn’t end when you sign on the dotted line. Advisors at LB Transitions stay with you beyond closing to assist with post-closing matters and verify the terms of the contract are met. Assisting with these post-closing tasks leads to a smoother transition for you and the buyer.
