Schedule 6: Affiliate Program Terms

EFFECTIVE DATE: 13th April 2026

This Service Schedule ("Schedule") governs the Affiliate Program ("Program") operated by BatchHeader Ltd t/a EncodeDotHost ("EncodeDotHost"). This Schedule is incorporated into and governed by the Master Services Agreement (MSA).

By registering for the Program, you (the "Affiliate") agree to these terms. In the event of any conflict between this Schedule and the MSA, the terms of this Schedule shall prevail specifically regarding the Affiliate Program.

1. Eligibility and Registration 

   1. Age Requirement: By participating in the Program, the Affiliate confirms they are at least 18 years old and have the legal authority to agree to these terms.
   2. Approval: To join the Program, prospective affiliates must complete the application form. EncodeDotHost reserves the right to accept or reject applications at its sole discretion. Approved Affiliates will receive a unique referral link or code.
   3. Reseller Exclusion: Resellers of EncodeDotHost's services are strictly prohibited from participating in the Program. This exclusion applies to the Reseller entity as a whole; Resellers are ineligible to register as Affiliates or earn commissions on any referrals, regardless of the product type sold.

2. Affiliate Obligations 

   1. Compliance: Affiliates must comply with all applicable laws and regulations, including but not limited to the UK Advertising Standards Authority (ASA) guidelines, the Data Protection Act 2018, the UK GDPR, and the EncodeDotHost Acceptable Use Policy (AUP).
   2. Marketing Practices: Affiliates may not engage in fraudulent, deceptive, or unethical marketing practices, including but not limited to false advertising, spamming, or using misleading links.
   3. Prohibited Actions: Affiliates must strictly NOT:
      1. Use their own referral link for self-purchases.
      2. Bid on EncodeDotHost trademarks, brand names, or similar terms in pay-per-click (PPC) advertising campaigns.
      3. Impersonate EncodeDotHost or make unauthorised claims or guarantees about its services.

3. Commission and Payment 

   1. Qualifying Sales: Affiliates earn a commission for each qualifying sale made through their referral link. A qualifying sale is defined as one where the referred customer completes a purchase and remains an active customer beyond any applicable refund period (e.g., the standard 30-day money-back guarantee).
   2. Rates & Schedules: Commission rates and payment schedules are outlined in the Affiliate Program dashboard or communicated separately.
   3. Payment Method & Taxes: Payments will be made via bank transfer or another agreed method. Affiliates must have a valid Direct Debit or Credit/Debit card mandate on file to receive payouts. Affiliates are solely responsible for providing accurate payment details and for declaring any income to HM Revenue & Customs (HMRC) or their relevant local tax authority.
   4. Fraud & Withholding: EncodeDotHost reserves the right to withhold or reverse commission payments for fraudulent, non-compliant, or refunded referrals.

4. Intellectual Property 

   1. EncodeDotHost grants Affiliates a non-exclusive, revocable, and non-transferable licence to use its trademarks, logos, and promotional materials solely for the purpose of participating in the Program.
   2. Affiliates must not modify the intellectual property or use it in a manner that suggests formal endorsement, partnership, or employment by EncodeDotHost beyond the scope of this Program.

5. Relationship of Parties 

   1. The parties are independent contractors. Nothing in these Terms shall create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties.
   2. The Affiliate has no authority to make or accept any offers or representations on EncodeDotHost’s behalf.

6. Termination and Liability

   1. At-Will Termination: Notwithstanding the standard termination clauses in the MSA, either party may terminate this Affiliate Schedule at any time, for any reason, by providing written notice.
   2. Inactivity: If an Affiliate has not introduced any new business within the last six (6) months, EncodeDotHost reserves the right to terminate the Affiliate’s participation in the Program.
   3. Post-Termination: Upon termination, Affiliates must immediately cease using all EncodeDotHost intellectual property, referral links, and promotional materials.
   4. Liability Cap: For the purposes of this Program, EncodeDotHost's total aggregate liability under this Schedule will not exceed the total commissions paid to the Affiliate under this Agreement in the 12 months preceding the claim.
