Bribe
A form of payment or gift given or promised to someone, often a public official or a person in authority, with the intention of influencing their actions or decisions in favor of Clarios.

Confidential information
Any data, knowledge, or material that is considered private, sensitive, or not publicly available and is intended to be kept secret or protected from unauthorized access, use, or disclosure.
Conflict minerals
Minerals that are sourced from regions or countries characterized by ongoing armed conflict, human rights abuses, and environmental degradation.
Conflict of interest
A situation where an employee has competing interests, loyalties, or obligations that could compromise their ability to impartially fulfill their job responsibilities.
Corruption
The abuse of power, position, or authority for personal gain, typically involving dishonest or unethical behavior. It involves actions intended to gain unfair advantages, evade regulations or laws, or obtain illicit benefits through fraudulent, deceptive, or unethical means.
Customer information
Any data about Clarios customers that is collected, stored, or processed by Clarios.
Discrimination
Unfair or unequal treatment of individuals or groups based on certain characteristics or attributes, such as race, color, sex, gender, sexual orientation, religion, nationality, disability, age, or other characteristics.
Diversity
The presence of individuals from different backgrounds, characteristics, experiences, and perspectives within the workforce. It encompasses a wide range of differences, including race, ethnicity, gender, sexual orientation, religion, nationality, age, disability, socioeconomic status, educational background, and other unique attributes or identities.
Due diligence
Thorough investigation, research, and analysis of potential suppliers to gather information and assess the potential ethics and compliance risks associated with engaging that supplier for Clarios.
Forced labor
A situation where individuals are coerced, deceived, or otherwise forced to work against their will, often under threat of violence, intimidation, or other forms of abuse.
Government official
An officer, employee, or representative of a government, including any department or agency, or any person acting in an official capacity for or on behalf of such government, department, or agency.
Harassment
Unwelcome conduct that creates an intimidating, hostile, or offensive work environment based on a characteristic, such as race, color, national origin, sex, gender, religion, age, disability, or sexual orientation.
Hospitality
The provision of business-related entertainment, gifts, meals, travel, or other similar benefits to clients, customers, suppliers, government officials, or other business partners.
Human rights
Fundamental rights and freedoms that are inherent to all human beings, regardless of their nationality, ethnicity, religion, gender, age, or any other characteristic. Human rights are universal, inalienable, indivisible, and interrelated, and they apply to every person without discrimination.
Human trafficking
Recruitment, transportation, transfer, harboring, or exploitation of individuals using force, fraud, or coercion. Exploitation can include forced labor, sexual exploitation, domestic servitude, forced marriage, or organ trafficking.
Inclusive
Creating a supportive, equitable, and respectful environment where all individuals are valued, respected, and able to fully participate, regardless of their background, identity, or differences.
Intellectual property
Legal rights that are granted to individuals or organizations for their creations or inventions, which can be in the form of inventions, designs, trademarks, copyrights, trade secrets, or other intangible assets.
Kickbacks
Illicit payments or bribes that are given or received, often secretly or dishonestly, in exchange for favorable treatment, business advantage, or personal gain.
Personal information
Any data or information that can be used to identify an individual. This may include name, address, phone number, email address, Social Security number, date of birth, financial information, and other details that can uniquely identify a person.
Retaliation
Taking adverse action against an individual in response to their reporting of an ethics and compliance concern or participation in an investigation.
Slavery
Exploitation and control of individuals for forced labor, human trafficking, debt bondage, domestic servitude, forced marriage, and other forms of exploitation, often in violation of human rights and labor laws.
Sustainability
Meeting the needs of current generations without compromising the ability of future generations to meet their own needs, while balancing economic, social, and environmental considerations.
Whistleblower
A whistleblower is an individual—often an employee—who reports or discloses information about potential wrongdoing, misconduct, or illegal activities within an organization. This can include fraud, corruption, safety violations, or unethical practices. The disclosure may be made internally (to supervisors or compliance teams) or externally (to regulators, law enforcement, or the public).
Workplace hazards
Any conditions, situations, or factors in the work environment that have the potential to cause harm, injury, illness, or damage to workers’ health and safety.
