Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of AxiaChat AI ("Software", "Plugin", "Service"), developed and owned by Esteban García ("Company", "we", "us", or "our").

By purchasing, installing, or using the Software — in any of its distributed versions — you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Software.

2. Software Distribution & Versions

AxiaChat AI is distributed in two separate plugin packages:

• WordPress.org Version (GPL). The version available on the official WordPress plugin directory is released under the GNU General Public License (GPL). It includes the core chatbot features and several free add-ons that are also released under the GPL license. You can install it directly from the WordPress plugin directory or download the ZIP file from WordPress.org. This version is free to use and does not require a license key.
• Premium Version (Freemius). When purchasing a paid plan, you receive a separate premium plugin ZIP file delivered by email from Freemius. This version includes additional features not available in the WordPress.org package, such as advanced integrations, LiveChat, extended multi-site limits, GDPR compliance tools, and premium add-ons. A valid and active Freemius license is required to use the premium version.

Both versions use the same database settings inside WordPress. Activating the premium version does not delete your existing configuration — it unlocks additional features while preserving all stored data (chatbot configuration, training context, conversation logs, leads, appointments, usage limits, and analytics).

You should not run both versions simultaneously. When upgrading to the premium version, deactivate the WordPress.org version before activating the premium one.

3. License Grant

The WordPress.org version of AxiaChat AI is distributed under the GNU General Public License (GPL) and may be used freely under the terms of that license.

Purchasing a premium license through Freemius grants you:

• Access to premium features and premium add-ons
• Access to updates for the premium version
• Access to technical support
• Activation for the number of websites specified in your purchased plan

You are purchasing a license to access premium services associated with the Plugin, not ownership of the Software.

A valid and active license is required to receive premium updates and support.

4. Agency & Multi-Site License Policy

Multi-site licenses are intended for developers, freelancers, or agencies building websites for clients. The license remains owned by the original purchaser.

• End clients do not receive separate license ownership.
• End clients are not entitled to direct support from us.
• Support is provided exclusively to the license holder.
• Multi-site licenses may not be split, sublicensed, or redistributed.

You may create websites for clients using AxiaChat AI and charge for development services. However, you may not:

• Resell the plugin as a standalone product.
• Redistribute the plugin as part of a commercial bundle or mass-distributed product.
• Provide activated license keys to third parties.
• Rebrand and sell the plugin as your own product.

If a client requires direct updates or support, they must obtain their own license.

5. Payments & Merchant of Record

All payments, subscriptions, billing, invoicing, and applicable taxes for the premium version are processed by Freemius, which acts as the Merchant of Record.

Freemius is responsible for:

• Payment processing
• Secure handling of payment information
• Issuing invoices
• Collecting and remitting applicable VAT/GST or sales taxes

We do not store or process payment card information. By purchasing a license, you also agree to Freemius’ terms and policies.

6. Subscriptions & Renewals

Premium licenses are sold as recurring subscriptions unless otherwise specified.

Subscriptions renew automatically unless canceled through your Freemius customer dashboard before renewal.

If a subscription expires, access to premium updates, support, and premium features will be suspended. The core chatbot functionality available in the WordPress.org version is not affected by license expiration.

7. Refund Policy

Refunds are handled exclusively through Freemius.

Refund requests must be submitted within 14 days of the initial purchase unless otherwise stated at checkout.

Upon approval of a refund, the license will be revoked and access to premium features, updates, and support will terminate.

8. Modifications & Custom Code

The WordPress.org version of the plugin is released under the GPL license, and you are permitted to modify it under the terms of that license.

The premium version distributed through Freemius contains additional proprietary code that is not covered by the GPL. You may not modify, reverse-engineer, or redistribute the proprietary components of the premium version.

In either case:

• We do not provide support for modified core plugin files.
• We may require reproduction of issues on a clean installation.
• We are not responsible for issues caused by custom modifications, third-party plugins, themes, or hosting environments.

9. Third-Party AI Providers

AxiaChat AI functions as an integration layer connecting your WordPress installation with third-party artificial intelligence providers.

AxiaChat AI does not develop, train, or operate AI models, nor does it control their behavior or pricing.

AI services may be provided by companies such as OpenAI, Google (Gemini via Google Cloud), or Anthropic.

You are solely responsible for:

• Managing your API keys
• Monitoring API usage
• Paying API-related charges
• Complying with third-party provider policies

We are not responsible for AI inaccuracies, downtime, pricing changes, or account suspensions imposed by third-party providers.

10. AI-Generated Content Disclaimer

AI-generated content may be inaccurate, incomplete, misleading, or inappropriate.

AxiaChat AI does not provide legal, medical, financial, or professional advice.

You are solely responsible for reviewing and approving any generated content before publishing or relying on it.

11. Google Cloud & Google API Services

If you connect AxiaChat AI to Google services, your use is subject to Google’s applicable terms and the Google API Services User Data Policy.

You are responsible for Google Cloud billing, quotas, and compliance requirements.

We are not responsible for Google account suspensions, quota limitations, or billing charges.

12. Changes to Pricing, Plans & Features

We reserve the right to modify pricing, subscription plans, feature sets, usage limits, and product offerings at any time.

This includes moving features between the WordPress.org version and the premium version, or between different premium plans.

Changes apply prospectively. Active subscriptions retain access until the end of the current billing period.

Due to the evolving nature of AI technologies and third-party APIs, features may change over time.

Any reference to “lifetime” refers to the lifetime of the product, not the lifetime of the purchaser.

13. Free Add-ons & Premium Add-ons

AxiaChat AI supports modular add-ons that extend the capabilities of the chatbot.

• Free add-ons are released under the GPL license and are included in the WordPress.org version. They can be enabled directly from the plugin settings without any additional download.
• Premium add-ons are included in the Freemius premium version and become available automatically when the premium plugin is installed and a valid license is activated.

The availability of specific add-ons may vary by plan. We reserve the right to change which add-ons are included in each version or plan at any time.

14. Indemnification

You agree to indemnify and hold harmless Esteban García from any claims or liabilities arising from your use of the Software, including content generated through the Software.

15. Acceptable Use & Abuse Prevention

You agree not to use the Software for unlawful purposes, spam, abuse, or to bypass licensing systems.

We reserve the right to suspend or terminate licenses in cases of fraud or misuse.

16. Disclaimer of Warranties

The Software is provided “as is” without warranties of any kind.

We do not guarantee uninterrupted or error-free operation.

17. Limitation of Liability

Our total liability shall not exceed the amount paid by you in the preceding 12 months.

We are not liable for indirect, incidental, or consequential damages.

18. Termination

We reserve the right to suspend or terminate licenses if payment fails, fraud is detected, or these Terms are violated.

19. Changes to These Terms

We may update these Terms at any time. Continued use constitutes acceptance of the revised Terms.

20. Governing Law

These Terms shall be governed by the laws of Spain.
