Terms of Use

The following are the terms of use (“Terms”) that govern your use of the Account Manager website (the “Site”), which features advanced ticketing transaction technologies and services (collectively referred to as “Advanced Services”). Some of the Advanced Services are provided by Reign FC, and some of the Advanced Services are provided by Ticketmaster (“us” or “we”). Our Privacy Policy and any other policies, rules or guidelines that may be applicable to particular offers or features on the Site are also incorporated into these Terms. These Terms shall constitute a valid, binding and enforceable legal agreement among you, Reign FC and us. There shall be no oral or implied agreement between you and us, you and Reign FC, or you, us and Reign FC, that shall be binding or enforceable. By visiting or using the Site, you expressly agree to these Terms, as may be updated from time to time.

We may make changes to these Terms at any time. Any changes we make will be effective immediately when we post a revised version of these Terms on the Site. The “Last Updated” date above will tell you when these Terms were last revised. By continuing to use this Site after that date, you agree to the changes.

COVID-19 WARNING:

An inherent risk of exposure to COVID-19 exists in any place where people gather. COVID-19 is an extremely contagious disease that can lead to severe illness and death. You assume all risks, hazards, and dangers arising from or relating in any way to the risk of contracting COVID-19 or any other communicable disease or illness, or a bacteria, virus or other pathogen capable of causing a communicable disease or illness, whether occurring before, during, or after the event, however caused or contracted, and voluntarily waive all claims and potential claims against Ticketmaster, Live Nation, Event Providers, and their affiliated companies relating to such risks.

Please note that while some of the events listed on the Site may appeal to children, the Site is not targeted at children under the age of 13, and they are not permitted to use the Site. We strongly encourage all parents and guardians to monitor the Internet use by their children. If you use the Site, you affirm you are at least 13 years old.

Purchase Policy

Balls, pucks, and other objects may fly into the spectator area during an event. Despite spectator shielding, injury can occur. Stay alert at all times before, during and after play or performance. If struck, immediately ask an usher for directions to a medical station. You voluntarily assume all risks and danger incidental to the event for which the ticket is issued, whether occurring before, during or after the event, and you waive any claims for personal injury or death against us, management, facilities, leagues, artists, other participants, and all of our respective parents, affiliated entities, agents, officers, directors, owners and employees on behalf of yourself and any accompanying minor. You bear all risks of inclement weather. Event date and time are subject to change. See the Limitation of Liability section in the Terms of Use for additional limits on our liability.

You assume all risks, hazards, and dangers arising from or relating in any way to the risk of contracting a communicable disease or illness (including exposure to COVID-19, a bacteria, virus, or other pathogen capable of causing a communicable disease or illness), whether occurring before, during, or after the event, however caused or contracted, and hereby waives all claims and potential claims against Ticketmaster, Live Nation, and Event Providers relating to such risks.

Account Registration

You will be required to register for an account to use the Site. Your account username may not include the name of another person with the intent to impersonate that person, or be offensive, vulgar or obscene. Your account username and password are personal to you. You will be responsible for the confidentiality and use of your username and password, and for all activities (including purchases) that are conducted through your account. You may not transfer or sell access to your account. We will not be liable for any harm related to disclosure of your username or password or the use by anyone else of your username or password. You may not use another user’s account without that user’s permission. You will immediately notify us in writing if you discover any unauthorized use of your account or other account-related security breach. We may require you to change your username and/or password if we believe your account is no longer secure or if we receive a complaint that your username violates someone else’s rights. You will have no ownership in your account or your username. We may refuse registration, cancel an account or deny access to the Site for any reason.

Code of Conduct

You agree that you will comply with all applicable laws, rules and regulations, and that you will not:

  • Restrict or inhibit any other person from using the Site;
  • Use the Site for any unlawful purpose;
  • Express or imply that any statements you make are endorsed by us, without our prior written consent;
  • Impersonate any person or entity, whether actual or fictitious, including any employee or representative of our company;
  • Submit (a) any content or information that is unlawful, fraudulent, libelous, defamatory, or otherwise objectionable, or infringes our or any third party’s intellectual property or other rights; (b) any non-public information about companies without authorization; or (c) any advertisements, solicitations, chain letters, pyramid schemes, surveys, contests, investment opportunities or other unsolicited commercial communication;
  • Submit, or provide links to, any postings containing material that could be considered harmful, obscene, pornographic, sexually explicit, indecent, lewd, violent, abusive, profane, insulting, threatening, harassing, hateful or otherwise objectionable, includes the image or likeness of individuals under 18 years of age, encourages or otherwise depicts or glamorizes drug use (including alcohol and cigarettes), characterizes violence as acceptable, glamorous or desirable, or contains any personal contact information or other personal information identifying any third party;
  • Submit, or provide links to, any postings containing material that harasses, victimizes, degrades, or intimidates an individual or group of individuals on the basis of religion, race, ethnicity, sexual orientation, gender, age, or disability;
  • Engage in spamming or flooding;
  • Harvest or collect information about Site users;

Ownership of Content and Grant of Conditional License

The Site and all data, text, designs, pages, print screens, images, artwork, photographs, audio and video clips, and HTML code, source code, or software that reside or are viewable or otherwise discoverable on the Site, and all tickets obtained from the Site, (collectively, the “Content”) are owned by us, Reign FC or our licensors. We own a copyright and, in many instances, patents and other intellectual property in the Site and Content. We may change the Content and features of the Site at any time.

We grant you a limited, conditional, no-cost, non-exclusive, non-transferable, non-sublicensable license to view this Site and its Content as permitted by these Terms only if, as a condition precedent, you agree that you will not:

  • Submit any software or other materials that contain any viruses, worms, Trojan horses, defects, date bombs, time bombs or other items of a destructive nature;
  • Manipulate identifiers, including by forging headers, in order to disguise the origin of any posting that you submit;
  • Link to any portion of the Site other than the URL assigned to the home page of the Site;
  • “Frame” or “mirror” any part of the Site;
  • Modify, adapt, sub-license, translate, sell, reverse engineer, decompile or disassemble any portion of the Site or otherwise attempt to derive any source code or underlying ideas or algorithms of any part of the Content;
  • Remove any copyright, trademark or other proprietary rights notices contained on the Site;
  • Use any robot, spider, offline reader, site search/retrieval application or other manual or automatic device, tool, or process to retrieve, index, data mine or in any way reproduce or circumvent the navigational structure or presentation of the Content or the Site, including with respect to any CAPTCHA displayed on the Site. Operators of public search engines may use spiders to copy materials from the Site for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of the materials, but not caches or archives of such materials. We may revoke this exception at any time and require removal of archived materials gathered in the past;
  • Use any automated software or computer system to search for, reserve, buy or otherwise obtain tickets or any other items available on the Site, including sending information from your computer to another computer where such software or system is active;
  • Take any action that imposes or may impose (in our sole discretion) an unreasonable or disproportionately large load on our infrastructure;
  • Reproduce, modify, display, publicly perform, distribute or create derivative works of the Site or the Content;
  • Reproduce or scan tickets in a format or medium different from that provided by the Site;
  • Decode, decrypt, modify, or reverse engineer any tickets or underlying algorithms or barcodes used on or in production of tickets or the Site;
  • You may not attempt to conceal your identity by using multiple Internet Protocol addresses or email addresses, or by any other means, to conduct transactions on the Site;
  • Use the Site or the Content in an attempt to, or in conjunction with, any device, program or service designed to circumvent any technological measure that effectively controls access to, or the rights in, the Site and/or Content in any way including, without limitation, by manual or automatic device or process, for any purpose.

This license is expressly conditioned on your preexisting agreement to comply with, and your actual compliance with, each of the provisions described in this Ownership of Content and Grant of Conditional License section. This license exists only so long as you strictly comply with each of the provisions described in this section. Any use of the Site or Content by you or anyone acting on your behalf that does not strictly comply with each and every provision in this section exceeds the scope of the license granted to you herein, constitutes unauthorized reproduction, display, or creation of unauthorized derivative versions of the Site and Content, and infringes our copyrights, trademarks, patents and other rights in the Site and Content. You will not acquire any ownership rights by using the Site or the Content.

The registered and unregistered trademarks, logos and service marks displayed on the Site are owned by us, Reign FC or our licensors. You may not use our or Reign FC trademarks, logos and service marks in any way without our prior written permission.

Links

The Site contains links to other websites that may not be owned or operated by us. The fact that we may link to those websites does not indicate any approval or endorsement of those websites. We have no control over those websites. We are not responsible for the content of those websites, or the privacy practices of those websites. We strongly encourage you to become familiar with the terms of use and practices of any linked website. Your use of other websites is at your own risk and is subject to the terms of those websites. It is up to you to take precautions to ensure that whatever links you select or software you download (whether from the Site or other sites) is free of viruses, worms, Trojan horses, defects, date bombs, time bombs and other items of a destructive nature.

Access from Outside the United States

The Site is directed to people residing in the United States. We do not represent that Content available on or through the Site is appropriate or available in other locations. We may limit the availability of the Site or any service or product described on the Site to any person or geographic area at any time. If you choose to access the Site from outside the United States, you do so at your own risk.

Purchasing Tickets

The Advanced Services offer you the ability to purchase tickets from individuals and businesses that hold tickets purchased from Reign FC. These individuals and businesses are the sellers of the tickets, not us or Reign FC. Although we or Reign FC may process your payment, or may be the name that you see on your credit card statement, neither we nor Reign FC is the seller of the ticket. When you purchase a ticket from a third party via the Advanced Services, the original ticket will automatically be cancelled and invalidated, your credit card will be charged the ticket price and all applicable fees, and you will be issued a new ticket. You will not be able to obtain a refund or exchange after a ticket has been purchased, unless required by law or otherwise permitted by Reign FC.

Reign FC may require you to pay a fee, to be a season ticket holder, to be on the waiting list to be a season ticket holder or to comply with a registration or other requirement, in order to view listings of, or to purchase, some or all of the tickets posted for sale. We and Reign FC make no warranty or guarantee about the quantity or quality of tickets that will be available for purchase if you pay such a fee, are a season ticket holder, are on the waiting list to be a season ticket holder or comply with registration or other requirements. Orders are processed only after a billing address, and other billing information, has been verified. Occasionally, we receive incorrect billing or credit card account information for a ticket order that can delay processing and delivery. In these cases, we will attempt to contact you, using the information provided at the time of purchase. If we are unable to reach you after our initial attempt, we may cancel your order and may sell your tickets to another customer without further notice.

If you do not receive a confirmation number (in the form of a confirmation page or email) after submitting payment information, or if you experience an error message or service interruption after submitting payment information, it is your responsibility to confirm whether or not your order has been placed. Only you may be aware of any problems that may occur during the purchase process. We will not be responsible for losses (monetary or otherwise) if you assume that an order was not placed because you failed to receive confirmation.

Seat views displayed on the Site may not be an exact representation.

Opening acts or guests may sometimes tour with headlining performers. We are not always made aware of opening acts or the length of their performances. Opening acts, as well as festival performers, are subject to change or cancellation at any time without notice. No refund will be owed if an opening act or festival performer is changed or canceled.

You agree that you will not attempt to evade, avoid, or circumvent any refund prohibitions in any manner with regard to tickets you purchased. Without limiting the generality of the foregoing, you will not contact us to seek a refund or exchange from us when we are prohibited from providing one by its clients, and you will not dispute or otherwise seek a “chargeback” from the company whose credit card you used to purchase tickets from the Site. Should you do so, your tickets may be canceled, and we may, in its sole discretion, refuse to honor pending and future ticket purchases made from all credit card accounts or online accounts on which such chargebacks have been made, and may prohibit all persons in whose name the credit card accounts exist and any person who accesses any associated online account or credit card or who otherwise breaches this provision from using the Site.

If we issue you a refund for a ticket due to a canceled or postponed event, we will issue a refund of the ticket price paid and all service fees. In no event will delivery charges or any other amounts be refunded. If a refund is issued, it will be issued using the same method of payment that was used to purchase the tickets. We will not be liable for travel or any other expenses that you or anyone else incurs in connection with a canceled or postponed event.

Reign FC reserves the right, without refund of any amount paid, to refuse admission to, or eject, any person whose conduct management deems disorderly, who uses vulgar or abusive language or who fails to comply with Reign FC rules. Breach of terms or rules will terminate your license to attend the event without refund. A ticket is a revocable license and admission may be refused upon refunding the ticket’s face amount. A ticket is not redeemable for cash.

You agree that the event for which you purchase tickets is a public event, that your appearance and actions inside and outside the venue where the event occurs are public in nature, and that you have no expectation of privacy with regard to your actions or conduct at the event. You grant permission to us and the Event Provider(s) to utilize your name, image, likeness, acts, poses, plays, appearance, movements, and statements in any live or recorded audio, video, or photographic display or other transmission, exhibition, publication or reproduction made of, or at, the event (regardless of whether before, during or after play or performance) for any purpose, in any manner, in any medium or context now known or hereafter developed, without further authorization from, or compensation to, you or anyone acting on your behalf.

We are not responsible for providing transportation or reimbursement of travel-related expenses under any circumstances unless those items are specifically included as part of a package. We are not responsible for any delay causing you to arrive late or miss your event for any reason. If our actions result in you missing your event, we will not be liable for more than your total purchase price. We are not responsible for the conditions or the actions of the crowd at any event or for any changes made at the venue including without limitation seating arrangements, stage set-up or venue conditions.

You and your belongings may be searched on entry to the event. You consent to such searches and waive any related claims that may arise. If you elect not to consent to such searches, you may be denied entry to the event without refund or other compensation. Under certain facility rules, certain items may not be brought into the premises, including without limitation, alcohol, drugs, controlled substances, cameras, recording devices, laser pointers, strobe lights, irritants (e.g., artificial noisemakers), bundles and containers.

Unlawful resale (or attempted resale), counterfeit or copy of tickets is grounds for seizure and cancellation without compensation. Certain maximum resale premiums and restrictions may apply in some states and we cannot be responsible for providing legal advice regarding resale or pricing of tickets. You are responsible for complying with all applicable ticket resale laws.

Tickets may not be used for advertising, promotions, contests or sweepstakes, unless formal written authorization is given by us.

Posting Tickets for Sale

If you use the Advanced Services to sell a ticket, you will be the ticket’s seller, not us or Reign FC. We and Reign FC are only providing certain services that will facilitate your sale. Unlawful resale (or attempted resale), counterfeit or copy of tickets is grounds for seizure and cancellation without compensation. Certain maximum resale premiums and restrictions may apply in some states and we cannot be responsible for providing legal advice regarding resale or pricing of tickets. You are responsible for complying with all applicable ticket resale laws, rules and regulations when listing your tickets on any resale platform owned or controlled by us.

Before posting a ticket for sale via the Advanced Services, please consult the website through which you will be posting your ticket for sale, which detail the prices at which you may post tickets for sale via the Advanced Services, the amounts that will be deducted, retained or charged from or over the sale price, the amounts that will be credited or remitted to you, the method by which you will receive such credit or remission and other terms applicable to the posting, sale and funds collection, retention, deduction and payment or crediting processes. Once a ticket has been ordered by a potential purchaser, you will not be able to modify or cancel your posting of that ticket, or to stop that ticket’s sale, even though title to that ticket may not pass to the purchaser until a later time. We or Reign FC will collect funds from the purchaser, and Reign FC will transmit to you a credit or payment as described elsewhere in these Terms.

By posting a ticket using the Advanced Services, you authorize us and Reign FC, upon purchase of the ticket by another person through the Advanced Services, to cancel and invalidate your right to use or convey the ticket, and you acknowledge that the posted ticket will thereafter be invalid for entry to the applicable event by you or anyone other than the person who acquires that ticket via the Advanced Services (or any person lawfully receiving the ticket from such acquirer). Reign FC will be responsible for all payments and credits to you, you will solely hold Reign FC responsible for such payment or credit and neither we nor any other person or organization will be liable therefor.

Please note that not all members of the public may be able to purchase, or view listings for, tickets that you post for sale, as Reign FC may require potential purchasers to pay a fee, be a season ticket holder, be on the waiting list to be a season ticket holder or comply with a registration or other requirement, in order to view listings of, or to purchase, some or all of the tickets posted for sale. You will not be entitled to receive any part of any payment made in connection with having access to ticket listings or ticket purchase capabilities, or in connection with wait list or season ticket holder status.

You agree that you will not sell, convey, give away, forward, otherwise distribute, try to use or take any action that directly or indirectly allows to be cancelled or invalidated: (a) any ticket before or during any time that it is posted for sale via the Advanced Services, (b) any sold, forwarded or otherwise cancelled or invalidated tickets, or (c) any ticket that you have already sold, conveyed, forwarded or otherwise distributed to another.

If an event for which you sell a ticket via the Advanced Services is cancelled, then you will be obligated to return, within five days of notice by Reign FC, the difference between the amount of payments you collected in connection with such sale and the amount of money that Reign FC would have refunded to you had you still been the holder of (i.e., as if you had not yet sold) such ticket when the event was cancelled. In such a case, if you did not receive a payment from Reign FC but instead received a credit, then the credit will be reduced so that it instead equals the amount of money that Reign FC would have refunded to you had you still been the holder of such ticket when the event was cancelled. If an event for which you sell a ticket via the Advanced Services is postponed and the purchaser of such ticket is given a refund of the amount that that purchaser has paid, then you will be obligated to return, within five days of notice by Reign FC, all of the payments you collected in connection with such sale, but Reign FC will return the ticket to you that you sold so that you can then use it to attend the event. In such a case, if you did not receive a payment from Reign FC but instead received a credit, then the credit will be entirely reversed (so that you will no longer have a credit), but Reign FC will return the ticket to you that you sold so that you can then use it to attend the event. Any failure by you to pay any amounts owed under this paragraph within such five days will constitute a material breach of these Terms.

The following applies only to resale tickets to Illinois events: If you purchase resale tickets to an event located in Illinois, you will receive a refund of the amount you paid for that resale ticket if (a) the ticketed event is canceled (in which case you will not receive a refund of any delivery fees), (b) that ticket does not allow you to enter the ticketed event for reasons that may include, without limitation, that the ticket is counterfeit or that the ticket has been canceled by the issuer due to non-payment, unless the ticket is canceled due to an act or omission by you, (c) that ticket fails to conform to its listing description, or (d) you failed to receive that ticket.

The following applies only to resale tickets to New York events: If you purchase a resale ticket to an event located in New York, you will receive a refund of the amount you paid for that resale ticket if: (a) the ticketed event is canceled (in which case you will not receive a refund of any order processing and delivery fees); (b) that ticket does not allow you to enter the ticketed event, unless the ticket is canceled due to an act or omission by you; or (c) that ticket fails to conform to its listing description unless you have pre-approved a substitution of tickets.

Sold Tickets

Before we can pay you, we will need to collect your taxpayer information in accordance with applicable laws. Ticketmaster is generally required to file a Form 1099-K report with the IRS if the gross amount of your transactions on our marketplaces is $600 or more in a calendar year. Ticketmaster will generally provide you a copy of the Form 1099-K by January 31 of the following year. Many states may also require Ticketmaster to report when you have made at least $600 in transactions on our marketplaces, although some states may require reporting based on different thresholds. Other Purchases and Services

You may be able to access Advanced Services to:

  • purchase or renew season tickets
  • register for season ticket waiting lists
  • purchase rights of refusal for post season event tickets
  • purchase additional suite seats
  • purchase parking
  • purchase ticket packages or single event tickets
  • pay ticket or waiting list deposits
  • engage in other activities

If you elect to engage in any such transaction, then additional terms may apply. Please consult Reign FC for additional terms and requirements.

Group Tickets

Reign FC may allow a designated person (“Group Manager”) to distribute group tickets. If you are in the group ticket distribution, the Group Manager will send you an email to retrieve print-at-home tickets. You will be responsible for printing out and using your tickets. Either you or the Group Manager will be responsible for paying for the tickets, as applicable. If the Group Manager pays for a ticket, then the Group Manager may cancel ticket distribution at any time, even after you have already retrieved your ticket, in which case you will not be able to use it to attend the event. If you are responsible for paying for a ticket, then the Group Manager may only cancel ticket distribution before you pay for the ticket; once you pay for a ticket the Group Manager will not be able to cancel it. You will not be able to obtain a refund or exchange after a ticket has been purchased, unless required by law or otherwise permitted by Reign FC.

Season Ticket Forwarding

The Advanced Services may permit you to forward your season tickets to another person. You can send an email invitation with a link to transfer your tickets and if the recipient accepts your offer, the tickets will be placed into the recipient’s Ticketmaster account. Once the recipient accepts your offer, you will not be able to cancel the tickets.

Tickets forwarded using the Advanced Services are subject to the ticket authentication and delivery fees as disclosed to you by us or Reign FC. You may be required to provide your credit card number and other information in order to pay such fees, which will be processed or collected by us or Reign FC. Such fees are not refundable under any circumstances.

If Reign FC offers a program that allows you to forward your tickets to a charity, you should read the rules posted relating to such program on Reign FC website. You should not assume that you will receive a tax deduction for forwarding tickets to a charity or any documents that can be used to support a tax deduction.

Violation of these Terms

We may investigate any violation of these Terms, including unauthorized use of the Site. We may provide law enforcement with information you provide to us related to your transactions to assist in any investigation or prosecution of you. We may take legal action that we feel is appropriate. You agree that monetary damages may not provide us a sufficient remedy and that we may pursue injunctive or other relief for your violation of these Terms. If we determine that you have violated these Terms or the law, or for any other reason or for no reason, we may cancel your account and prevent you from accessing the Site at any time without notice to you. If that happens, you may no longer use the Site or any Content. You will still be bound by your obligations under these Terms.

You agree that we will not be liable to you or any third party for termination of your access to the Site or to your account or any related information, and we will not be required to make the Site or your account or any related information available to you. If you violate these Terms, your transactions, distributions, deliveries, credit authorizations, payments, payment receipts, registrations, log-ins, ticket forwards, ticket postings, ticket sales, ticket purchases, ticket forwarding receptions, ticket orders, group management or participating or ticket management (any of the foregoing, or any other activities or transactions for which you use the Advanced Services, each an “Activity”), or season, package, group or other tickets, may be cancelled, set-offs and debits may be taken against your accounts and credits and payments that would otherwise be owed to you, and we may exercise any other remedy available to us.

Disclaimer of Warranties

WE PROVIDE THE SITE AND THE CONTENT TO YOU “AS IS” AND “AS AVAILABLE”. WE TRY TO KEEP THE SITE UP, BUG-FREE AND SAFE, BUT YOU USE IT AT YOUR OWN RISK. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, AND TO THE EXTENT THAT APPLICABLE LAW PERMITS THE DISCLAIMER OF EXPRESS OR IMPLIED WARRANTIES, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF TITLE, NON-INFRINGEMENT, ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR WARRANTIES THAT MAY ARISE FROM COURSE OF DEALING OR COURSE OF PERFORMANCE OR USAGE OF TRADE. WE DO NOT GUARANTEE THAT THE SITE WILL ALWAYS BE SAFE, SECURE OR ERROR-FREE OR THAT THE SITE WILL ALWAYS FUNCTION WITHOUT DISRUPTIONS, DELAYS OR IMPERFECTIONS. WE ARE NOT RESPONSIBLE FOR THE ACTIONS OR INFORMATION OF THIRD PARTIES, AND YOU RELEASE US FROM ANY CLAIMS AND DAMAGES, KNOWN AND UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH ANY CLAIM YOU HAVE AGAINST ANY SUCH THIRD PARTIES. IN NO EVENT WILL WE OR Reign FC, SUPPLIERS, ADVERTISERS AND SPONSORS, BE RESPONSIBLE OR LIABLE TO YOU OR ANYONE ELSE FOR, AND YOU HEREBY KNOWINGLY AND EXPRESSLY WAIVE ALL RIGHTS TO SEEK, DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES OF ANY TYPE OTHER THAN OUT OF POCKET EXPENSES, AND ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED, ARISING OUT OF OR IN CONNECTION WITH THE SITE, THE CONTENT, OR ANY PRODUCT OR SERVICE PURCHASED THROUGH THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF WHETHER THE CLAIM IS BASED UPON ANY CONTRACT, TORT, OR OTHER LEGAL OR EQUITABLE THEORY. WITHOUT LIMITING THE FOREGOING, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT WE WILL HAVE NO LIABILITY OR RESPONSIBILITY WHATSOEVER FOR (a) ANY FAILURE OF ANOTHER USER OF THE SITE TO CONFORM TO THE CODES OF CONDUCT, (b) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, WHETHER ARISING IN CONTRACT OR IN TORT, RESULTING FROM YOUR ACCESS TO AND USE OF OUR SITE, (c) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (d) ANY BUGS, VIRUSES, WORMS, TROJAN HORSES, DEFECTS, DATE BOMBS, TIME BOMBS OR OTHER ITEMS OF A DESTRUCTIVE NATURE WHICH MAY BE TRANSMITTED TO OR THROUGH OUR SITE, (e) ANY ERRORS, MISTAKES, INACCURACIES OR OMISSIONS IN ANY CONTENT, OR (f) ANY LOST, STOLEN OR DAMAGED TICKETS, OR THE FAILURE OF A VENUE TO HONOR A TICKET. YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SITE IS TO STOP USING THE SITE. THE LIMITATIONS IN THIS SECTION WILL APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THE ALLOCATION OF RISK BETWEEN US IS AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN US. OUR AGGREGATE LIABILITY ARISING OUT OF THESE TERMS OR THE USE OF THE SITE WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU HAVE PAID US IN THE PAST TWELVE MONTHS. IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE. OUR LIABILITY WILL BE LIMITED UNDER THIS PARAGRAPH TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AND THE PROVISIONS OF THIS PARAGRAPH WILL NOT APPLY TO THE EXTENT APPLICABLE LAW PERMITS THE RECOVERY OF DAMAGES, ATTORNEYS’ FEES OR COSTS OTHERWISE PROHIBITED UNDER THIS PARAGRAPH. THE PROVISIONS OF THIS PARAGRAPH THAT (A) PROHIBIT DAMAGES TO BE MULTIPLIED OR OTHERWISE INCREASED, (B) IMPOSE A DAMAGES LIMITATION OF THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU HAVE PAID US IN THE PAST TWELVE MONTHS, AND (C) PROHIBIT THE RECOVERY OF ATTORNEYS’ FEES AND COSTS, DO NOT APPLY IN CERTAIN STATES, INCLUDING WITHOUT LIMITATION NEW JERSEY, TO CLAIMS BROUGHT UNDER STATUTES PERMITTING SUCH RECOVERY.

Indemnification

If anyone brings a claim against us related to your use of the Site or the content, or your violation of these Terms, you agree to indemnify, defend and hold us and our affiliated companies, Reign FC, suppliers, advertisers and sponsors, and each of our officers, directors, employees, and agents, harmless from and against any and all claims, damages, losses and expenses of any kind (including reasonable legal fees and costs). We reserve the right to take exclusive control and defense of any claim, and you will cooperate fully with us in asserting any available defenses.

Disputes, Including Mandatory Arbitration and Class Action Waiver

Any dispute or claim relating in any way to your use of the Site, or to products or services sold or distributed by us or through us, will be resolved by binding arbitration rather than in court, with the following exceptions:

  • You may assert claims in small claims court if your claims apply;
  • If a claim involves the conditional license granted to you as described in the Ownership of Content and Grant of Conditional License section above, either of us may file a lawsuit in a federal or state court located within Los Angeles County, California, and we both consent to the jurisdiction of those courts for such purposes; and
  • In the event that the arbitration agreement in these Terms is for any reason held to be unenforceable, any litigation against us (except for small-claims court actions) may be commenced only in a federal or state court located within Los Angeles County, California, and we both consent to the jurisdiction of those courts for such purposes.

The arbitration agreement in these Terms is governed by the Federal Arbitration Act (FAA), including its procedural provisions, in all respects. This means that the FAA governs, among other things, the interpretation and enforcement of this arbitration agreement and all of its provisions, including, without limitation, the class action waiver discussed below. State arbitration laws do not govern in any respect.

This arbitration agreement is intended to be broadly interpreted, and will survive termination of these Terms. The arbitrator, and not any federal, state or local court or agency, shall have exclusive authority to the extent permitted by law to resolve all disputes arising out of or relating to the interpretation, applicability, enforceability or formation of this Agreement, including, but not limited to any claim that all or any part of this Agreement is void or voidable. There is no judge or jury in arbitration, and court review of an arbitration award is limited. However, an arbitrator can award on an individual basis the same damages and relief as a court (including injunctive and declaratory relief or statutory damages), and must follow these Terms as a court would.

The arbitration will be conducted by JAMS under its Streamlined Arbitration Rules and Procedures or, if applicable, its Comprehensive Arbitration Rules and Procedures, and any applicable supplemental rules including its Consumer Arbitration Standards of Minimum Fairness. The JAMS Rules are available online at https://www.jamsadr.com or by calling (800) 352-5267. Payment of all filing, administration and arbitrator fees will be governed by JAMS’s rules. We will reimburse those fees for claims totaling less than $10,000 unless the arbitrator determines the claims are frivolous, but in no event will we pay for attorneys’ fees. You may choose to have the arbitration conducted by telephone, based on written submissions, or in person in the county where you live or at another mutually agreed location.

We each agree that the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding, and that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated or representative action. You agree to waive any right to a jury trial or to participate in a class action. If this specific provision is found to be unenforceable, then the entirety of this arbitration section will be null and void and neither of us will be entitled to arbitrate our dispute.

You agree that these Terms evidence a transaction involving interstate commerce and will be governed by and construed in accordance with federal law to the fullest extent possible. However, if your dispute is regarding the re-sale of a ticket for any event located in Illinois, then these Terms will be governed and construed in accordance with the laws of Illinois, without regard to conflict or choice of law rules, and you consent to personal jurisdiction, and agree to bring all actions, exclusively in Chicago, Illinois. SEATTLE REIGN FC TICKET PURCHASE POLICY AND SPECTATOR WAIVER

Update: October 1, 2025

The following ticket purchase terms and conditions (this “Ticket Policy”) apply to all tickets purchased (each a “Ticket”) to a Reign FC Event (as defined below). Each Ticket constitutes a limited revocable license that only grants Ticket Holder one-time entry into Stadium for a spectator seat, standing room, or other viewing area for a specified Event and may be revoked at any time by Reign FC for any reason in Reign FC’s sole discretion. Reign FC expressly reserves the right not to Refund or reissue any Ticket purchased through ticket resellers or secondary markets. All Ticket sales are final. Reign FC reserves the right not to replace or honor lost, destroyed, counterfeit or stolen Tickets. This Ticket Policy may be amended and updated from time to time at the sole discretion of Reign FC or National Women’s Soccer League, LLC (“NWSL”).


  1. Definitions.

“Account” shall mean the electronic file record together with certain data and information provided by an individual (“Account Holder”) who is an Original Purchaser for the purchase of any Tickets online or over the phone, that may be provided at the time of purchase or at any point thereafter.

“Account Data” shall mean data collected from an Account Holder that may include but is not limited to Account Holder’s name, birthdate, address, phone number, email, payment information, excluding full credit/debit card numbers, and other information which may otherwise be known as “personally identifiable information,” biographical or qualitative information, records of customer service inquiries, past transactions and invoices, and any and all other information provided voluntarily by Account Holder or as required by Reign FC or Ticket Agent to maintain an active Account in Good Standing.

“Account Manager” shall mean the online/website based portal provided by Reign FC and Ticket Agent which may contain some or all of the Account Data together with other Account Holder information, and which serves as the primary portal for Account Holders, and Original Purchasers to access, manage, resell, and transfer their Tickets to Events, including the review of invoices and addition of or editing of required Account information.

“Club” shall mean Reign FC and its affiliates.

“Club Level” shall mean those Tickets in the Stadium designated as club level Tickets.

“Credit” shall mean a return of the full-face value amount of the Ticket price, including taxes, facility fees, or service fees associated with the original charge, to the Original Purchaser’s Account.

“Event” shall mean any ticketed Reign FC match or group of matches where a Ticket is required for entry, including but not limited to regular season, playoff, exhibition, international friendly, or any other competition hosted and ticketed by a Promoter.

“Event Cancellation” shall mean any circumstance which forces cancellation of one or more Events, up to the entire season, that will not be rescheduled.

“Event Disruption” shall mean any circumstance which forces a change to one or more Events, including, but not limited to disruption, interruption, or other occurrence that affects the originally scheduled Event, such as an Event that is not able to be hosted with fans or is hosted with limitations on venue capacities.

“Event Reschedule” shall mean any circumstance where the date, time, location, or opponent for a specific Event is changed by Reign FC, NWSL, or another team.

“Good Standing” shall mean Season Ticket Plan Members who: (i) provide and maintain accurate and up to date contact information, including but not limited to a current email and mailing address, (ii) are current on all installment payments and have valid and current payment information on file, (iii) are in compliance with this Ticket Policy, and (iv) do not otherwise have a Suspended Account.

“Management” shall mean the Club, the Stadium, and/or NWSL.

“Mobile Ticketing” shall mean the purchase, use, receipt, maintenance or management of any Ticket via the official mobile application of Ticket Agent and the use of features commonly referred to as a “passbook” or “wallet” on a mobile device, or other approved digital methods to access and manage tickets.

“Original Purchaser” shall mean the individual who purchases a Ticket for any Event directly from Reign FC, the ticket box office at the Stadium, or through Ticket Agent on a primary purchase basis only. Original Purchaser does not include a Ticket Broker or a   Secondary Purchaser.

Promoter” shall mean Reign FC on behalf of or in partnership with any match organizing entity, including NWSL, US Soccer Federation, CONCACAF, or FIFA or their agents, subsidiaries, and designees.

“Refund” shall mean a return of the full-face value amount of the Ticket price,  including taxes, facility fees, or service fees associated with the original charge, to the Original Purchaser in the original form of payment. Reign FC does not provide cash or cash equivalent refunds on Ticket purchases, including, but not limited to Single Match Ticket, Season Ticket Plan, Flex Plan, and Partial Plan.

“Reign FC” shall mean Reign FC LLC, a Delaware limited liability company dba Seattle Reign FC.

“Secondary Purchaser” shall mean any individual or entity who purchases a Ticket for an Event from an Original Purchaser, a ticket reseller or other vendor in the secondary ticket market, or who receives a Ticket for an Event by transfer from any person or entity, including but not limited to the Original Purchaser through any platform, including but not limited to Ticket Agent account manager or Reign FC’s mobile application.

“Stadium” shall mean all locations or venues where a Ticket to an Event is offered for sale by Reign FC, including primarily Lumen Field located in Seattle, Washington which is managed and operated by First and Goal, Inc. on behalf of the Washington State Public Stadium Authority (“Lumen Field”), but may include additional venues on an Event-by-Event basis.

“Ticket” shall mean any ticket purchased to a Reign FC Event, including but not limited to Season Tickets, Single Match Tickets, and Flex Plan Tickets.

“Ticket Agent” shall mean Reign FC’s designated third-party ticket provider, which is subject to change in Reign FC’s sole discretion.

“Ticket Holder” shall mean any individual who possesses a valid Ticket together with anyone attending the Event with the Ticket Holder (which persons the Ticket Holder represents have authorized the Ticket Holder to act on their behalf for purposes of agreeing to the terms herein) including, but not limited to, minors whom the Ticket Holder is accompanying, and other persons acting or purporting to act on the Ticket Holder’s behalf.

“Ticket Transfer” shall mean forwarding, distributing, transferring or selling a Ticket, in any format, to any person. For example, a Ticket Transfer may occur through a Ticket Holder’s Account Manager or Mobile Ticketing platform.


       2. General Terms. The Ticket Holder agrees that: admission is contingent on Ticket Holder’s agreement to this Ticket Policy, the Code of Conduct (as defined in Section 11), and the Reign FC Spectator Waiver (as applicable) (collectively, the “Terms”); and by using a Ticket to enter the Stadium, Ticket Holder is deemed to have read the Terms and agrees to be bound by them with the same force and effect as if Ticket Holder signed this Ticket Policy. Failure to comply with any of this Ticket Policy shall result in forfeiture of the license and all rights arising hereunder without Refund and shall entitle Management to pursue all additional legal remedies available to them. Admission may be refused or withdrawn or Ticket Holder ejected, without Refund, at the sole discretion of Management. Ticket Holder may not use its ticket for advertising, promotion or other commercial purposes (including contests, sweepstakes and giveaways) without the express written consent of Management. Ticket Holders may be provided access to a mobile version of Ticket Holder’s Account through a Mobile Ticketing platform. Access to Mobile Ticketing may require opting-in to certain tracking features or location services or notification services and separate data privacy policies. Reign FC is not obligated to provide Mobile Ticketing to any Account Holder.


     3. Ticket Purchase.


     3.1 Season Ticket Plan. A “Season Ticket Plan” is a ticket purchase option where a season Ticket (“Season Ticket”) is purchased for all Events included in the then-current Reign FC season, as designated in advance by Reign FC. Original Purchasers of a Season Ticket Plan (each a “Season Ticket Plan Member”) shall be governed by this Ticket Policy.


     3.2 Single Match Ticket. A “Single Match Ticket” is a ticket purchase option where a single match Ticket (“Single Match Ticket”) is purchased for an individual Event during the then-current Reign FC season.


     3.3 Flex Plan. A “Flex Plan” is a flexible ticket purchase option which includes a specific number of tickets (“Flex Plan Tickets”) or specific amount of credit on an Account to purchase some or all ticketing products, or other flexible products offered by Reign FC at any time during the then-current Reign FC season. Flex Plans are designated and confirmed at the time of sale.


     3.4 Group Ticket. A “Group Ticket” is a group ticket option with special pricing that is purchased for a single match and is designated by Reign FC at the time of sale as a Group Ticket package or purchase. Reign FC may make available a Group Ticket purchase option for one or more Events. Reign FC does not warrant that Group Tickets will be available in any specific quantity or section location or for any specific Event, and all Group Tickets are subject to inventory availability. Group Ticket leaders who purchase Group Tickets on behalf of a group hereby warrant that they have read this Ticket Policy and are responsible for communicating all information provided by Reign FC with respect to the Group Tickets experience to all members of their group. All experiences associated with Group Tickets are subject to availability and cancellation due to restricted access to certain portions of the Stadium, team schedule changes or other circumstances outside the control of Reign FC and may not be replaced. Group Tickets purchases may require execution of additional release and waivers of liability and other rights. If so required, Reign FC shall not be obligated to provide the experience to any member of the group who does not return a completed waiver and release. For purposes of an Event Reschedule, Event Cancellation, or Event Disruption, please contact the Group Ticket representative for more information on options, otherwise, all Group Tickets shall be treated as Single Match Tickets.


     3.5 Partial Plan. A “Partial Plan” is a ticket purchase option that is purchased for a specific group of Events, that is offered as a multi-match package which includes more than one (1) match and less than all matches. Partial Plans are designated and confirmed at time of sale by Reign FC.


     4. Season Ticket Plan Benefits and Programs.


     4.1 Parking. Reign FC may make available on an annual basis for all or some Season Ticket Plan Members pre-purchased season-long parking passes in specific locations for all home match Events played at the Stadium. When made available, Season Ticket Plan Members must purchase parking for the entire then current season, which shall be payable in installments in accordance with the Season Ticket Plan purchase. All Renewal Invoices provided during the Renewal Period shall include the same parking as purchased by Season Ticket Plan Members during the then-current season, unless Season Ticket Plan Members amend their preferences during the Renewal Period. Parking passes are single use for a specified Event and unused passes shall not be Refunded and shall be void at the conclusion of the Event for which they are issued. In addition, all parking passes constitute separate revocable licenses and all individuals parking vehicles pursuant to a Reign FC issued parking pass agree to be bound by the parking operator terms and conditions.  Reign FC shall assume no liability for any damage to person or property as a result of parking in any garage or parking lot pursuant to a parking pass. Tailgating is not permitted except where specifically designated. Reign FC and its agents and assigns reserve the right to implement additional, temporary, or permanent additional security and safety screening procedures and restrictions at any time, with or without notice. Access to certain parking areas, lots or portions thereof, may be limited or restricted on an Event-by-Event basis, outside the control of Reign FC, however all parking passes shall be honored at the replacement locations communicated to Season Ticket Plan Members in advance of the effected Event. All replacement locations will be the closest comparable location and price code. Height and vehicle size restrictions may apply, and Reign FC makes no warranty, express or implied, regarding the suitability of any vehicle for parking in any lot or garage for which a parking pass may be sold by Reign FC or Stadium.


     4.2 Pay-As-We-Play Program. All Season Ticket Plan Members, in Good Standing, shall be automatically enrolled in the Pay As We Play program (“Pay-As-We-Play Program”) to purchase  Tickets for any Events which fall outside the designated Season Ticket Plan and which may include one or more rounds of competition at Reign FC’s discretion, including but not limited to NWSL Playoff matches, and other similar matches designated by Reign FC (collectively, the “Pay-As-We-Play Matches”). All Pay-As-We-Play Program invoices will be generated on an Event or category of Events basis at Reign FC’s sole discretion. Following the public announcement of one or more Pay-As-We-Play Matches, Reign FC shall provide Season Ticket Plan Members with notice that such Event(s) constitute a Pay-As-We-Play Match and shall further provide Season Ticket Plan Members with an invoice for the price of such Tickets to the Pay-As-We-Play Match(es). Each invoice shall include a review period where Season Ticket Plan Members shall have the opportunity to opt-out of the Pay-As-We-Play Match(es) therein (“Opt-Out Period”). Where Season Ticket Plan Member does not opt-out of such Pay-As-We-Play Match(es) during the Opt-Out Period, Season Ticket Plan Member authorizes Reign FC and Reign FC’s Ticket Agent to charge Season Ticket Plan Members for the amount described in the then current Pay-As-We-Play Match(es) invoice. Invoices generated during any Opt-Out Period shall be for the same seats associated with Season Ticket Plan Member’s Account for the then-current season, and the invoice shall list the per seat price for all associated Pay-As-We-Play Match(es). Season Ticket Plan Members who elect to opt-out of the Play-As-We-Play Match(es) shall release Season Ticket Plan Member’s Tickets back to Reign FC for sale as part of general Single Match Ticket inventory. If multiple Pay-As-We-Play Matches are offered to Season Ticket Plan Member, for example all home NWSL Playoff match Events, and Season Ticket Plan Member elects to opt-out of the first Pay-As-We-Play Match in the series, then Season Ticket Plan Member’s opt-out shall constitute an opt-out for all Pay-As-We-Play Matches in the series, including for example, the later rounds of competition, such as the CONCACAF W Champions Cup. Season Ticket Plan Member shall not be guaranteed any subsequent opportunity to purchase Tickets on a Single Match Ticket basis.


     4.3 Referral Program. All Season Ticket Plan Members who are in Good Standing are eligible to participate in the Season Ticket Plan Member referral program (“Referral Program”). Beginning on the first date of the Renewal Period and continuing until Reign FC ceases to sell Season Ticket Plans, for each new Account Holder who is referred by an eligible Season Ticket Plan Member and purchases a Season Ticket Plan for the upcoming season (the “Referral”), such eligible Season Ticket Plan Member shall receive a $100.00 referral credit, and the Referral shall receive a $50.00 referral credit (each a “Referral Credit”). The Referral must include the full name of the referring Season Ticket Plan Member at the time of their new Season Ticket Plan purchase. Referral Credit will be issued once Season Ticket Plan Member and Referral’s invoices are paid in full. All Referral Credits received in a season must be used during the then purchased Season Ticket Plan year. Unused Referral Credits will expire on December 31 of the then purchased Season Ticket Plan year. Season Ticket Plan Member and Referral must maintain their Account in Good Standing, which includes remaining current on all payments and must not drop any seats on their Account at any time in order to receive the Referral Credit. If, after the Referral Credit has been issued, Season Ticket Plan Member or Referral becomes ineligible to receive a Referral Credit under this Referral Program, Reign FC reserves the right to immediately cancel and revoke any Referral Credit on Account yet unused by Season Ticket Plan Member or Referral.


     4.4 Seat Relocation/Additional Seats. At the conclusion of the Renewal Period (as defined below), all renewed Season Ticket Plan Members’ Accounts shall have the first opportunity to move seat(s) or add additional seats from any available inventory before such inventory is made available to new purchasers (“Seat Relocation”). During the Seat Relocation period, which will be communicated to all renewed Season Ticket Plan Members Accounts. Season Ticket Plan Members may relocate any or all of their seats to another section, row or price level of tickets, subject to availability and accessible seating location restrictions. Upon electing a Seat Relocation and/or additional seats, the price of the seats shall be due and payable and/or refunded upon confirmation of the Seat Relocation, as the case may be, and paid in the same number of installments selected or accepted during the Renewal Period. To the extent a Season Ticket Plan Member elects to relocate, add, or change seats during the Seat Relocation period which would alter the total amount due under the Renewal Invoice, Reign FC shall provide a new Renewal Invoice which will take into account the amounts paid to date (if any) and adjust the outstanding payment plan installment schedule to reflect the new total. This updated Renewal Invoice shall not affect any preauthorized credit charges and the new amounts arising shall be deemed preauthorized pursuant to and consistent with the other terms of this Ticket Policy.  


     4.5 Season Ticket and Revocation. Ticket sharing allows a Season Ticket Plan Member with a Season Ticket Plan to share one (1) or more Tickets, for a specific Event(s) or for the entire season through the Season Ticket Plan Member’s Account Manager (including the Reign FC mobile application). Once a Ticket is shared with another individual, the Ticket Holder is granted full rights to entry for that Event(s) and to manage the designated Ticket(s). However, Season Ticket Plan Member shall retain all rights to direct management, including the revocation of a designation or assignment of each single seat and Ticket in the Season Ticket Plan associated with Season Ticket Plan Member’s Account. Reign FC will process Season Ticket Plan Member’s revocation of shared rights upon request to Reign FC customer service representative. Any Tickets shared via Reign FC’s Mobile Ticketing platform utilizing the mobile device’s wallet, passbook or the like, may require the issuance of new barcodes for the remaining matches in the then-current season. Sharing Tickets under this paragraph on a season-long basis does not entitle the recipient to direct any management of the Account during the Renewal Period. In the event a Season Ticket Plan Member wishes to permanently transfer one or more Tickets to such recipient, such transfer may only occur during the Renewal Period, must conform with the Ticket Transfer policy as outlined in this Ticket Policy, and must be confirmed in writing by the Season Ticket Plan Member prior to confirmation and transfer by Reign FC.


     4.6. 2026 Price Lock. All 2026 Season Ticket Plan Members who Auto-Renew their Season Ticket Plan for the 2027 season shall receive their 2027 Season Ticket Plan at the 2026 price, provided that such Season Ticket Plan is of the same or lesser price level as the 2026 season, subject to availability.


     5. Renewals and Payment Policies.


     5.1 Auto-Renewals. Season Ticket Plans for Season Ticket Plan Members, whose Accounts are in Good Standing shall be automatically renewed on an annual basis and shall include the same Season Ticket Plan benefits, including any parking as the then-current season (“Auto-Renewal” or “Auto-Renew”). Auto-Renewal shall include all procedures, processes, information requests and updates designated by Reign FC in order to repurchase the same seats, together with all activities, elections, confirmations, selections, communications and transactions which arise during the Renewal Period. Subject to any changes or opt-out made during the Renewal Period, Auto-Renewal will be processed by automatically defaulting to the payment plan and number of installments selected by Season Ticket Plan Member for the then-current season.


     5.2 Renewal Invoices. During a period designated annually by Reign FC but prior to Auto-Renewal (the “Renewal Period”), Season Ticket Plan Member will receive an invoice detailing all existing seat locations (subject to availability), parking passes, food and beverage, and associated taxes and fees for the upcoming season (the “Renewal Invoice”). The Renewal Invoice for the upcoming Season Ticket Plan shall include any existing Season Ticket Plan Member Account credits, service fees, or discounts and shall provide available installment payment plans and methods of payment options. All payment plan installments shall be calculated after any existing credits have been applied to Season Ticket Plan Member’s Account. Where a credit exists on a Renewal Invoice and Season Ticket Plan Member does not want it applied towards the current Renewal Invoice, Season Ticket Plan Member must submit a request to a ticketing agent at 866-997-3446 or tickets@reignfc.com before the end of the Renewal Period. At the close of the Renewal Period, Auto-Renewal will commence, and Season Ticket Plan Member will be responsible for all products described in the Renewal Invoice.


     5.3 Renewal Opt-Out and Requirements. Season Ticket Plan Members who do not wish to renew must submit the official opt-out form during the Renewal Period, as provided with the Renewal Invoice. Opt-outs received after the Renewal Period are invalid, and failure to submit a valid opt-out will result in Auto-Renewal and full responsibility for all products in the Renewal Invoice. Auto-Renewals are complete when all required information is provided by Season Ticket Plan Member to Reign FC. Season Ticket Plan Member agrees that any incomplete Auto-Renewals may result in the return of some or all Tickets to the general ticket inventory that may be sold by Reign FC through any channel. Any Season Ticket Plan Member Account which has been determined to be a Ticket Broker shall not be eligible for Auto-Renewal.


     5.4 Payment Policies. Auto-Renewals must have a fully processed payment accepted by Season Ticket Plan Member’s banking institution for the balance of the Renewal Invoice or the first installment thereof. Tickets shall not be issued until: (i) the entire outstanding Renewal Invoice is paid in full by the Season Ticket Plan Member; or (ii) Season Ticket Plan Member selects a payment plan and the then most current and up to date installment of the payment plan is paid. By electing to pay in full, Season Ticket Plan Member authorizes Reign FC and Reign FC’s Ticket Agent to process the full Renewal Invoice amount on the first scheduled payment day following the close of the Renewal Period. For any Renewal Invoice paid via an installment plan, Season Ticket Plan Member must maintain a current, active, and authorized credit card on file with Reign FC’s Ticket Agent. Reign FC does not store any payment information for any Season Ticket Plan Member. By electing an installment payment plan during the Renewal Period, Season Ticket Plan Member authorizes Reign FC and Reign FC’s Ticket Agent permission to automatically charge the credit card on file with the then current installment amount due on the dates identified on the Renewal Invoice. Reign FC shall not be liable for any damage caused by or arising out of processing any charge against any credit card or bank account on file with Reign FC’s Ticket Agent for a Season Ticket Plan Member, in its normal course of business related to Ticket purchases, including but not limited to declined charges and bank holds.


     5.5 Payment Default. In the event that Season Ticket Plan Member’s payment is not valid or fully processed, Reign FC shall only be obligated to make one (1) good faith attempt to reach Season Ticket Plan Member to secure updated information prior to Season Ticket Plan Member’s seats being released back to available inventory for sale by Reign FC at its sole discretion. If at any time Season Ticket Plan Member fails to make an installment payment for any reason, Season Ticket Plan Member’s Account will be suspended by Reign FC (“Suspended Account”), and Season Ticket Plan Member shall be required to make its Account current prior to being able to access any Tickets or Season Ticket Plan Member events, including the right to secure seats pursuant to the Pay-As-We-Play Program, purchase additional Single Match Tickets, or utilize other Season Ticket Plan Member benefits. Reign FC reserves the right to revoke, and hold issued Tickets for any Suspended Account and shall have no liability to a bona fide Ticket Holder of any Tickets in a Suspended Account which Reign FC shall be entitled to hold invalid.


     5.6 Payment Authorization. By electing an installment payment plan, pursuant to Section 205.10(d) of the Electronic Fund Transfer Act (EFTA), Season Ticket Plan Member hereby authorizes Reign FC and Reign FC’s Ticket Agent to charge them the full value of the Ticket purchase price, plus the cost of parking, if any are selected, plus any taxes or fees associated with the purchase as described on the Renewal Invoice in the number of installments selected by them as indicated on the Renewal Invoice provided during the Renewal Period or other invoice for Pay-As-We-Play Program and accepted by Season Ticket Plan Member and further waives the right to receive any additional notice of such preauthorized charge(s); and further authorizes Reign FC and Reign FC’s Ticket Agent to charge their credit card or bank account at a variable amount dependent upon the number and class of seats purchased, the number of installments (between 2 and 6, or as otherwise determined by Reign FC in its sole discretion) selected and whether or not Season Ticket Plan Member has added parking to its purchase. This preauthorization applies to credit cards, electronic checks, electronic funds transfers facilitated by the Automated Clearing House (“ACH”), and other like forms of electronic non-cash payment(s).      5.7 Consent to Renewal Terms. All Auto-Renewals whether conducted over the phone, by mail, in person, or through an electronic interface shall be subject to this Ticket Policy. No Auto-Renewal shall be considered complete without an attestation by the Season Ticket Plan Member that they agree to be bound by this Ticket Policy. Acceptance, acknowledgement and consent to be bound by this Ticket Policy shall be deemed binding upon Season Ticket Plan Member upon the date the first payment is made by Season Ticket Plan Member following the Renewal Period and continue until the conclusion of the then purchased Season Ticket Plan year.


     6. Stadium Security and Entrance Requirements. All Ticket Holders acknowledge and agree that Lumen Field, Starfire Sports, NWSL, US Soccer Federation, CONCACAF, FIFA and Reign FC, or any federal, state, or local governmental jurisdiction, may at any time deploy any measure to keep fans, Event participants, and employees and staff safe at any of the above identified entity venues including but not limited to Lumen Field and Starfire Sports, or any other venue where Reign FC or any other ticketed Event operated by Reign FC may arise. Ticket Holder and Ticket Holder’s belongings may be searched upon entry, prohibited items may be confiscated and Ticket Holder waives all claims relating to such search and/or confiscation. This Ticket Policy may utilize, employ, change, alter, or amend security screening, ingress and egress, including but not limited to health check points, temperature screenings, vaccine verification requirements, mask requirements and other safety and security policies, including the size, shape, and type of bags allowed inside and any items prohibited from any or all Events. In addition to security screenings, health screening policies may be developed, amended, adapted or modified at any time and with little notice to fans to limit the spread of communicable disease, pathogen or virus, as required by local authorities. Lumen Field, Starfire Sports and any other venue for a Reign FC Event may refuse or deny entry to any person for any reason at any time.


     7. Data Privacy and Security.


     7.1 Account Data. In exchange for the purchase of any Ticket for any Event, all Original Purchasers agree to provide Reign FC and Ticket Agent with Account Data comprised of complete and accurate information that shall be up to date at the time of purchase. All Original Purchasers are solely responsible for updating that Account Data and ensuring that it remains current and accurate. Reign FC is not responsible for inaccurate data that delays or prevents an individual or entity from purchasing Tickets to an Event. Secondary Purchasers may also be required to provide data through the purchase process which by agreement with Reign FC, Reign FC may acquire. Any such data acquired through a secondary purchase transaction for any Ticket(s) that is actually received by Reign FC shall be treated in accordance with this Section. All non-required information requested by Reign FC or Ticket Agent is provided by Original Purchaser on a voluntary basis. Any data collected by Ticket Agent from Ticket Holders is separate and distinct from Reign FC and is processed in accordance with Ticket Agent’s own privacy policy.


     7.2 Data Use. Reign FC reserves the right to collect, store and use any information, including Account Data, for the purpose of notifying Ticket Holder about a transaction, including Event details, Event Reschedules, Event Cancellations, and other communications related to the fulfillment, management and administration of Tickets and Events. By purchasing a Ticket, Ticket Holders consent to receive commercial and promotional emails, including but not limited to, information about upcoming Events and the sale of goods and services, from Reign FC, Ticket Agent and NWSL marketing, promotions, and sponsors, unless Ticket Holder expressly opts out in accordance with the then current opt-out procedures as provided in each communication. Reign FC has the right to process aggregate anonymized Account Data (“Aggregated Data”) for analytical purposes, including to evaluate, improve, and review ticket sales, products, marketing, and for other internal business purposes. Reign FC may share Aggregated Data with Ticket Agent or other third parties necessary to process Ticket purchase, distribution, or other means, including security or other screening requirements at the point of entry in the Stadium or any venue, and unless otherwise limited, for any other commercial purposes. Notwithstanding the foregoing, Reign FC does not sell Account Data for any commercial purpose.


     7.3 Account Administrative Communications. Certain communications, including but not limited to email and SMS text messages, pertaining to the administration of Tickets, the fulfillment, management or administration of Season Ticket Plan benefits, and/or communication about specific Events, renewals, account updates, legally required messaging and disclosures, and match day related information are collectively considered “Account Administrative Communications.” Each Ticket Holder hereby consents and agrees to receive all Account Administrative Communications by email, which is a required component to purchase a Ticket and/or maintain a valid Season Ticket Plan. Season Ticket Plan Members may also receive Account Administrative Communications by SMS text message if a mobile number is provided. Season Ticket Plan Members may opt out of receiving Account Administrative Communications by SMS at any time by following the instructions provided in the message (e.g., replying STOP), but understand that doing so may result in missing important information regarding their Season Ticket Plan. In the event that Season Ticket Plan Member amends their privacy settings, email receipt preferences, SMS preferences, or the like in a manner which prevents the receipt of Account Administrative Communications, Reign FC shall not be liable in the event that such Season Ticket Plan Member subsequently misses necessary information regarding their Season Ticket Plan, including the communication of deadlines for opting-out of any Renewal Period or Opt-Out Period. Each Ticket Holder acknowledges and agrees that standard message and data rates may apply to SMS text messages.


     7.4 Data Privacy Policy. All Account Data processed by Reign FC shall be subject to the Reign FC Privacy Policy located at https://www.reignfc.com/privacy-policy and the NWSL Privacy Policy located at https://www.nwslsoccer.com/privacy-policy.  Reign FC does not solicit or intend to store any information for children under the age of thirteen (13) in compliance with COPPA and other state and local law as part of its Ticket purchasing process or in Accounts. Certain Account Data must be maintained and used by Reign FC, Ticket Agent, and NWSL in order to process, manage and administer the Account, the Ticket or the Event as permitted by law, even where Account Holder otherwise opts out from certain communications or data usage. Reign FC may be required to share Ticket Holder Account Data to judicial or governmental agencies through subpoenas, warrants or orders. In addition, Reign FC, Ticket Agent, NWSL, and Promoter reserve the right to use, disclose or share Ticket Holder Account Data in order to investigate, prevent or take action regarding illegal activities, suspected fraud, potential threats to the safety of any person, or as required by law. Any attempt to misrepresent or mislead Reign FC or to provide fraudulent information may result in an immediate revocation of all ticket licenses associated with the Account.


     8. Ticket Holder Personality Release. Ticket Holder grants irrevocable permission to Management (and their sponsors, licensees, advertisers, broadcasters, designees and agents) and Promoters’ entities and their assignees or designees (“Rights Owners”) to use, publish, edit, and alter Ticket Holder’s image, likeness, voice, actions and statements (collectively, “Ticket Holder NIL”) in any medium including, without limitation, any audio, video, film, photographs, social media, exhibition, publication or reproduction of the Event for any purpose without further authorization or compensation and waives all claims and potential claims relating to such use unless prohibited by law. Ticket Holders also grants to Rights Owners irrevocable permission (except as set forth in this Section 7) in perpetuity and on behalf of Ticket Holders’ accompanied minors to use their photograph, video or audio recording, voice or likeness, to the extent captured during any Event and related activities, including but not limited to Soccer Celebration, Soundcheck promotional activities, pre/during/post-match experiences and all other in-Stadium activities, including any broadcast, in whole or in part, any derivatives thereof, in any media now in use or created afterwards, for any purpose whatsoever, including commercial purposes of Rights Owners and their licensees, sponsors, promoters, advertisers and broadcasters. Parents or guardians can revoke this license to use the image, likeness, voice, photograph or audio or video recording of their minor children or legal dependents, provided that they do so in writing to Reign FC, Attn: Minor Personality Rights, 1901 Oakesdale Ave SW, Suite 210, Renton, WA 98057, specifying the incidence of use for which permission is revoked, and with sufficient identification of the subject and specific photo, video or audio used and contact information to provide Reign FC an opportunity to reasonably comply with the request and certify its compliance.


     9. No Right to Transmit. Without Reign FC’s prior written consent, which may be withheld in Reign FC’s sole discretion, the Ticket Holder will not to create, transmit, display, distribute, exploit, misappropriate or sell (or aid in such activity) any description or account, in any form, whether text, data or visual, and including, without limitation, play-by-play data, any photographs, images, videos, livestreams, audio or other form of display or public performance or reproduction of any portion of the Event (the “Works”) for any commercial, non-personal, purpose. Notwithstanding the foregoing, Ticket Holder agrees that by using a Ticket to enter the Stadium, Ticket Holder shall be deemed to have signed such Ticket and granted Management an exclusive worldwide, irrevocable, perpetual, sub-licensable, royalty-free license to all rights associated with the Works and Ticket Holder NIL.


     10. Additional Ticket Policies.


     10.1 Ticket Resale and Transfer. Reign FC is only responsible for Tickets distributed to Original Purchaser. Any and all fraudulent resales, double distributions, and invalid copies of barcodes presented at gates, in whatever form, are invalid for entry and may be refused by Reign FC or rejected at the point of entry or ticket scan for an Event. Each Ticket Transfer or Ticket sale through www.reignfc.com, Ticket Agent, and certain other third-party secondary market sellers may generate a new, unique barcode associated with that Ticket, which may invalidate any previously issued Ticket barcode for the same seat. By instructing Reign FC or Ticket Agent to forward, distribute, transfer, or sell a Ticket, Ticket Holder authorizes Ticket Agent and Reign FC to issue to the recipient a valid Ticket complete with full rights due and owing to any valid Ticket Holder and to cancel and invalidate any ticket previously issued for the same seat at the same Event. Misuse of the transfer, resell, or forwarding features for any and all Tickets may result in a revocation of the revocable ticket license granted to a Ticket Holder. In addition, purposefully misrepresenting any seat location information by any Ticket Holder through any platform may result in the revocation of the revocable ticket license for any future matches purchased by the same Account Holder. Reign FC is not responsible for a misleading or purposely misrepresented seat location that is purchased on the secondary ticket resale market. Notwithstanding the foregoing, Reign FC and NWSL may, at any time, make any Ticket non-transferrable and disable any transfer feature within its mobile application or Ticket Agent platform.


     10.2 Children Ticket Policy. All children who are at least three (3) years of age are required to have a purchased Ticket for admittance to an Event. Children less than three (3) years of age are not required to have a Ticket but will not be guaranteed a seat. A Season Ticket may be transferred in accordance with this Ticket Policy; provided that, any individual under the age of eighteen (18), regardless of whether a Ticket has been issued or transferred in their name, must be accompanied by a parent, legal guardian, or other adult when attending any Event.


     10.3 Ticket Broker Policy. Reign FC reserves the right in its sole and exclusive discretion to prevent Ticket Brokers from purchasing tickets for any Event in any combination, including but not limited to, Season Tickets or Single Match Tickets. At any time, it is determined that an Original Purchaser purchases Tickets with the intent or effect of reselling those tickets and thereby operating as a “Ticket Broker,” Reign FC may suspend the Original Purchaser Account, suspend or revoke any outstanding unused Tickets without Refund and prevent them from purchasing any new tickets in the future. Any Original Purchaser who attempts by act, omission, actions, or effect to contravene this Ticket Policy, or whom purposefully supplies false or misleading information to Reign FC which tends to disguise the purchaser’s identity or has the intent to act as a Ticket Broker or utilizes technology to do the same, may also be deemed a Ticket Broker and have their Account immediately suspended and all unused tickets revoked, without Refund or Credit. Reign FC does not guarantee any Ticket to any Event purchased from a Ticket Broker. In no event will a Ticket Broker be treated as an Original Purchaser under this Ticket Policy. This provision shall not affect the Ticket Transfers conducted, in good faith, by any Original Purchaser. All Tickets sold by a Ticket Broker shall remain subject to this Ticket Policy.


      10.4 League Ticket Policies and League Events. This Ticket Policy may be amended from time to time in order to comply with NWSL and Promoter rules regarding ticket purchases (collectively “League Rules”). If at any time League Rules conflict with this Ticket Policy, then League Rules shall control. Some Events may be controlled and ticketed by Reign FC on behalf of or as directed by NWSL, a third-party league, tournament or competition, or an Event managed by a Promoter, regardless of whether or not Reign FC is a participating team or host for the Event (“League Events”). Reign FC is not obligated to provide an opportunity to purchase a Ticket for any League Event. Reign FC reserves the right to exclude League Events from Ticket plans including any Season Ticket Plan, at its sole and exclusive discretion. All pre-sales, sales windows or other opportunities to purchase Tickets to League Events shall be governed by the terms, policies and rules published at the time of sale.


     11. Fan Code of Conduct. At all times all Ticket Holders are bound by the then-current NWSL Fan Code of Conduct and Pledge to Fans (idi8d48vs7lkbwpy3v7h.pdf (nwslsoccer.com)), Lumen Field Code of Conduct (https://www.lumenfield.com/plan-your-visit-stadium-guide/fan-code-of-conduct), and other policies as required by Reign FC, NWSL, Promoter, or other Event venues, which may be modified from time-to-time (collectively, the “Code of Conduct”). All Ticket Holders agree to comply with all directions from Lumen Field event staff, including alcohol enforcement, security services, and guest service representatives. Abusive behavior is grounds for removal from Lumen Field. Any violations of the Code of Conduct may result in immediate removal of the Ticket Holder and their companions. Other disciplinary measures, including suspension from future matches or attendance bans may be enforced. Reign FC supports an inclusive culture where all fans are and feel welcomed and will not tolerate any racist, homophobic, xenophobic, sexist, transphobic, or other hateful, demeaning speech directed at any other individual or group of people.


     12. Seats and Experience.


     12.1 Pitch Side Experience. Reign FC may sell Tickets to certain hospitality areas that include premium pitch side seating or may otherwise provide access to pitch side areas to Ticket Holders in the form of surprise and delight and experiential opportunities. All Ticket Holders who are provided access to pitch side areas at any time are advised that those areas may include uneven or slippery surfaces, walking on turf field and concrete, may include stepping over cables, cords, and other infrastructure, and are uncovered and exposed to all weather elements. Additionally, ALL TICKET HOLDERS WHO ARE PROVIDED ACCESSS TO PITCH SIDE AREAS ASSUME ALL ADDITIONAL RISKS INCLUDING THE RISK OF INJURY TO PERSON OR PROPERTY INCLUDING DEATH, AND SPECIFICALLY BUT NOT LIMITED TO CONCUSSION, WHETHER KNOWN OR UNKOWN, ASSOCIATED WITH THAT ACCESS, INCLUDING SPECIFICALLY BUT NOT LIMITED TO THE INCIDENCE OF SOCCER BALLS OR PLAYERS LEAVING THE FIELD OF PLAY AND ENTERING THE CURTILEGE SURROUNDING THE FIELD OF PLAY INCLUDING DESIGNATED PITCH SIDE AREAS.


     12.2 Seats/Standing Areas. Certain sections of the Stadium may include fan experiences where fans typically stand for the entirety of the match. Sitting and standing sections are determined by historic experience and Reign FC shall not provide any indication on any Ticket whether a section is sitting or standing. Reign FC does not make any warranty with respect to accuracy of any designated sitting or standing sections on third-party sites, including but not limited to, Ticket Broker, Ticket Agent or ticket providers. All Ticket Holders are advised to consult with Reign FC representatives if sitting versus standing is of a concern before purchase. All sales from Reign FC and Ticket Agent are final. In certain circumstances it may become necessary for Reign FC to close sections of a venue, rows within a venue or certain seats due to construction, League Rules, health and safety of fans, staff or players, security, match operations, or otherwise. In the event this occurs for any specific Event or a group of Events, the Original Purchaser of any effected Ticket product shall be contacted by Reign FC to discuss all options.


     12.3 ADA Compliant Seats. Lumen Field includes accessible seating (wheelchair convertible) and companion seats throughout the Stadium at all price levels. Accessible seating and access are fully compliant with the Americans with Disabilities Act (ADA). All ADA-compliant rows are non-standing. Please contact customer service at Reign FC to secure accessible seats for one or more Events at tickets@reignfc.com.


     13. Event Reschedule; Event Cancellation; Event DisruptionAn Event Reschedule, Event Cancellation or Event Disruption may arise for any reason whatsoever, including but not limited to any circumstances outside of Reign FC, NWSL or other Event Promoter’s control such as, player injuries, Stadium availability, acts of God (fire, flood, storms, hurricane, earthquakes, tornadoes, etc.), acts of terrorism or public enemy, war, civil disturbance, sabotage, accidents, insurrections, blockades, communicable disease or contagion (including Covid-19), acts of any governmental or quasi-governmental authority, labor strikes, lockouts or other labor disturbance or interruption or any other like event.


     13.1 Event Reschedule; Remedies. Should any Event be rescheduled for any reason, any valid, unused, issued Ticket shall either be honored for the new Event date, time, location, and/or opponent or the Ticket shall be re-issued by Reign FC to the Original Purchaser for the new Event date, time, location, and/or opponent, at Reign FC’s exclusive discretion and control. No ticket for an Event Reschedule shall be eligible for a Refund. All Original Purchasers shall automatically have the new Event date, time, location, and/or opponent loaded into their Account, Ticket Agent Account Manager, or to their Mobile Ticketing stored ticket in the Reign FC mobile application but may need to update the pass stored in their device’s “passbook” or “wallet” feature. Should Reign FC determine, in its sole and exclusive discretion, to reissue tickets for the new Event due to an Event Reschedule, all reissued tickets will be sent to the address on file for the Original Purchaser, for all seats associated with that Account. Reign FC is not responsible for shipping, forwarding or otherwise distributing reissued tickets to Secondary Purchasers or recipients of a Ticket Transfer who would not automatically receive such updates.


     13.2 Event Cancellation; Remedies. Should an Event Cancellation occur for any reason, the following shall apply: (a) an Original Purchaser of a Single Match Ticket shall automatically receive a Credit; and (b) an Original Purchaser of a Partial Plan or Season Ticket Plan shall receive a pro-rata Credit for the Event Cancellation. Reign FC, at its exclusive discretion and control, may provide Single Match Ticket, Partial Plan, and/or Season Ticket Plan purchasers with an option for Credit on Account or exchange to another Event of equal or lesser value. Notwithstanding the previous sentence, an Original Purchaser may exchange for another Event of greater value; provided that Original Purchaser pays the difference between the Credit and exchanged Event.  No ticket for an Event Cancellation shall be eligible for a Refund. Secondary Purchasers shall have no right to receive a Refund or Credit for any Event Cancellation from Reign FC, and Reign FC shall have no obligation whatsoever to Secondary Purchasers for an Event Cancellation.


     13.3 Event Disruption; Remedies. Should an Event be deemed an Event Disruption by Reign FC, the   following shall apply: (a) an Original Purchaser of a Single Match Ticket shall automatically receive a Credit; and (b) an Original Purchaser of a Partial Plan purchase or Season Ticket Plan purchase shall receive a pro-rata Credit for the Event(s) that are disrupted. Where an Event is only partially disrupted (e.g., the match is played in any part and then abandoned or replayed in part, but without fans), no Refund or Credit shall be required. No ticket for an Event Disruption shall be eligible for a Refund.


     13.4 Temporary or Permanent Demise of Seat Location. In the event Season Ticket Plan Member’s seat(s) are demised for one or more Events, Reign FC shall make every reasonable effort to offer the same or most similar seat available, in the same ticket price code, where available. There is no guarantee that Season Ticket Plan Members will sit in the same section, row, or area of the Stadium. Season Ticket Plan Members are not guaranteed relocated seats in the same price tier as demised seats (e.g., each area of the Stadium has a different seating category price associated). Season Ticket Plan Members shall be responsible for the difference for a seat located in a higher priced seat category or shall pay less for any seats located in a lesser priced seat category.


     14. Acknowledgement of Risks. Ticket Holder voluntarily assumes all risks, hazards and dangers arising from or relating in any way to the Event, whether occurring before, during or after the Event, including without limitation the risk of contracting COVID-SARS2 aka Covid-19 or any other communicable disease or illness (including exposure to a bacteria, virus or other pathogen capable of causing a communicable disease or illness), the risk of physical injury or death, however caused, whether by players, by other people, or by objects such as balls entering the spectator area, or otherwise, and the risks of lost, stolen, or damaged property. Ticket Holder hereby waives all claims and potential claims relating to such risks, hazards and dangers.


     15. Release; Waiver of Liability; Covenant Not to Sue. TICKET HOLDER HEREBY KNOWINGLY, VOLUNTARILY, IRREVOCABLY, AND FOREVER RELEASES, WAIVES, AND DISCHARGES (AND COVENANTS NOT TO SUE), EACH AND ALL OF THE RELEASED PARTIES (AS DEFINED BELOW) FROM (OR WITH RESPECT TO) ANY AND ALL CLAIMS, SUITS, CAUSES OF ACTION, AND CLAIMS FOR DAMAGES, WHETHER PAST, PRESENT, OR FUTURE, AND WHETHER KNOWN OR UNKNOWN, INCLUDING, BUT NOT LIMITED TO, CLAIMS ARISING OUT OF OR IN CONNECTION WITH DEATH, PERSONAL INJURY, ILLNESS, DISABILITY, SUFFERING OF SHORT-TERM OR LONG-TERM HEALTH EFFECTS, OR LOSS OF OR DAMAGE TO PROPERTY, WHICH TICKET HOLDER MAY HAVE OR HEREAFTER ACCRUE AGAINST ANY OF THE RELEASED PARTIES AS A RESULT OF OR THAT RELATE IN ANY WAY TO (I) EXPOSURE TO ANY COMMUNICABLE DISEASE; (II) TRAVEL TO AND FROM, ENTRY INTO, OR PRESENCE WITHIN, THE STADIUM OR COMPLIANCE WITH THE STADIUM PROTOCOLS OR ANY OTHER POLICIES OR PROTOCOLS APPLICABLE TO THE STADIUM; (III) ANY INTERACTION BETWEEN TICKET HOLDER AND ANY PERSONNEL OF ANY OF THE RELEASED PARTIES PRESENT AT THE STADIUM (INCLUDING, WITHOUT LIMITATION, ANY USHERS, TICKET-TAKERS, EVENT SECURITY, HEALTH AND SAFETY PERSONNEL, OR CLEANING, CONCESSIONS, OR PARKING PERSONNEL); OR (IV) ANY OF THE RISKS IDENTIFIED ABOVE, IN EACH CASE WHETHER CAUSED BY ANY ACTION, INACTION, OR NEGLIGENCE OF ANY RELEASED PARTY OR OTHERWISE.


AS USED HEREIN, THE “RELEASED PARTIES” ARE: (I) NATIONAL WOMEN’S SOCCER LEAGUE, LLC AND ITS AFFILIATES, THE MEMBERS OF NWSL AND EACH OF THE NWSL TEAMS OPERATED BY THEM, AND EACH OF THEIR RESPECTIVE DIRECT AND INDIRECT AFFILIATES, MEMBERS, ADMINISTRATORS, DESIGNEES, LICENSEES, AGENTS, OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, SPONSORS, INVITEES, AND CONTRACTORS (AND ALL EMPLOYEES OF SUCH CONTRACTORS), AND OTHER PERSONNEL; (II) REIGN FC LLC AND SEATTLE REIGN FC; (III) THE DIRECT AND INDIRECT OWNERS, LESSEES, AND SUBLESSEES OF THE STADIUM; (IV) CONCESSIONAIRES, MERCHANDISERS, OTHER VENDORS, AND ALL OTHER CONTRACTORS PERFORMING SERVICES AT THE STADIUM; (V) OTHER THIRD PARTIES PRESENT AT OR FROM TIME TO TIME BROUGHT TO THE STADIUM (INCLUDING, WITHOUT LIMITATION, MEDICAL PERSONNEL); AND (VI) ANY PARENTS, SUBSIDIARIES, AFFILIATED AND RELATED COMPANIES, AND OFFICERS, DIRECTORS, OWNERS, MEMBERS, MANAGERS, PARTNERS, EMPLOYERS, EMPLOYEES, AGENTS, CONTRACTORS, SUB-CONTRACTORS, INSURERS, REPRESENTATIVES, SUCCESSORS, AND/OR ASSIGNS OF EACH OF THE FOREGOING ENTITIES AND PERSONS, WHETHER PAST, PRESENT, OR FUTURE, AND WHETHER IN THEIR INSTITUTIONAL OR PERSONAL CAPACITIES.

     16. Indemnification. Ticket Holder agrees to indemnify and hold the Released Parties harmless from any liability, claims, demands, costs, expenses, and attorneys’ fees incurred by any of the Released Parties as a result of (a) Ticket Holder’s assertion of any claims arising from, relating to, or in connection with activities that Ticket Holder has acknowledged and assumed risk and/or which is covered by the waiver and release; and (b) all claims and amounts related to legal and other actions brought against any of the Released Parties, to the extent such claims are attributable to Ticket Holder’s negligence or willful misconduct or a violation or breach of this Ticket Policy.


     17. Limitation of Liability. IN NO EVENT SHALL REIGN FC OR MANAGEMENT BE LIABLE FOR ANY SPECIAL, CONSEQUENTIAL, INCIDENTAL, INDIRECT OR EXEMPLARY DAMAGES OF ANY KIND, OR ANY DAMAGES BEYOND THE FACE VALUE OF THE TICKET. ANY DISPUTE OR CLAIM RELATED TO, OR ARISING FROM, THIS TICKET POLICY OR THE PURCHASE OR USE OF A TICKET SHALL BE RESOLVED BY MANDATORY, CONFIDENTIAL, FINAL, AND BINDING ARBITRATION. TICKET HOLDER AND MANAGEMENT EACH AGREE THAT ALL DISPUTES SHALL BE ARBITRATED ON AN INDIVIDUAL BASIS AND EACH WAIVES ANY RIGHT TO LITIGATE IN COURT OR ARBIRTRATE ANY CLAIM AS A CLASS ACTION, REPRESENTATIVE ACTION, OR CLASS ARBITRATION. IF TICKET HOLDER DOES NOT CONSENT TO THIS CLAUSE, TICKET HOLDER MUST LEAVE OR NOT ENTER THE STADIUM. THIS CLAUSE IS GOVERNED BY THE FEDERAL ARBITRATION ACT.

THE DATE AND TIME OF THE EVENT AS WELL AS THE OPPONENT ARE ALL SUBJECT TO CHANGE BY REIGN FC, NWSL, OR OTHER EVENT PROMOTER IN THEIR SOLE DISCRETION, OR AS A RESULT OF OTHER ACTIONS OR EVENTS BEYOND THEIR CONTROL, WITHOUT REFUND. NO REFUND WILL BE PROVIDED IF TICKET HOLDER CANNOT ATTEND. IF GAME OR EVENT IS CANCELLED AND NOT REPLAYED, THE SOLE AND EXCLUSIVE REMEDY IS A CREDIT OF THE FACE VALUE OF THE TICKET TO THE ORIGINAL PURCHASER OF THE TICKET.

     18. Governing Law. Ticket Holders acknowledge and agree that this Ticket Policy and all aspects of the relationship between Reign FC and Ticket Holder regarding the acquisition, use, and repurchase of a revocable ticket license shall be governed by the laws of the State of Washington, without regard to conflict of laws, and jurisdiction shall be situated in King County, Washington. Ticket Agent may have a different choice of law and jurisdiction imposed upon Ticket Holder which it will make available through its platform.


     19. Severability. Ticket Holder and Reign FC agree that if any provision or part thereof contained in this Agreement is declared illegal, unenforceable, or ineffective, such provision or part thereof shall be modified, if possible, in order to achieve the intentions of the parties, and, if necessary, such provision or part thereof shall be deemed severable, such that all other provisions contained in this Agreement shall remain valid and binding.


     20. 2026 Season Ticket Plan Member Deposits. Individuals may deposit One Hundred Dollars ($100) with Reign FC (“Season Member Deposits”) to reserve priority access to Season Ticket Plans for the 2026 season before Tickets go on sale to the general public. Season Member Deposits are available for purchase until October 14, 2025. Season Member Deposits are non-refundable and are eligible to be converted to a (i) 2026 Season Ticket Plan, Single Match Ticket, Flex Plan, Group Ticket, Partial Plan or suite rental, or (ii) 2025 Season Ticket Plan, Single Match Ticket, Flex Plan, Group Ticket, or Partial Plan, to the extent available. Deposits cannot be applied towards parking, concessions, catering, or merchandise. All unused Season Member Deposits expire at the end of the 2026 Reign FC season.
