Each project’s scope, pricing, and deliverables are detailed in a signed proposal, statement of work, or written agreement between both parties.
3. Client Responsibilities
Clients agree to:
- Provide accurate, complete, and timely information required for the project.
- Respond promptly to requests for approvals, content, or feedback needed to complete services.
- Make themselves or designated team members available for meetings or clarifications when required.
- Understand that AI Expert Solutions is not responsible for delays, missed deadlines, or performance issues resulting from the client’s failure to provide approvals, feedback, or materials in a timely manner.
- Obtain all necessary rights and permissions for any data, systems, or materials shared with AI Expert Solutions.
- Use our services solely for lawful business purposes.
- Not reproduce, resell, or distribute proprietary systems, software, or automations without prior written consent.
4. Intellectual Property
All materials, workflows, software code, and documentation created by AI Expert Solutions remain the property of the Company until full payment is received.
Upon full payment, the client receives a non-exclusive license to use the deliverables internally, unless otherwise agreed in writing.
5. Payment Terms
Payments are due as outlined in the project proposal or invoice. Late payments may incur a 1.5% monthly interest fee.
Projects may be paused or terminated for non-payment. Deposits are non-refundable unless otherwise agreed in writing.
6. Confidentiality
Both parties agree to maintain confidentiality regarding proprietary or sensitive information exchanged during the engagement.
Confidential information will not be disclosed to third parties without written consent, except as required by law.
7. Data Security & Liability Disclaimer
While AI Expert Solutions employs reasonable technical and organizational safeguards, no system is completely secure.
By using our services, you acknowledge that:
- The storage and transmission of data online involves inherent risks.
- AI Expert Solutions is not responsible for any data leaks, cyberattacks, or breaches caused by third-party systems, hosting providers, or client-side vulnerabilities.
- Clients are responsible for maintaining their own data backups, system access controls, and internal cybersecurity measures.
8. Warranties & Disclaimers
All services are provided “as is.” AI Expert Solutions does not guarantee specific business outcomes, performance metrics, or financial gains.
The Company shall not be liable for indirect, incidental, or consequential damages.
Total liability shall not exceed the total fees paid for the specific project in question.
9. Termination
Either party may terminate services with written notice. The client remains responsible for payment of all completed work and approved deliverables up to the termination date.
10. Governing Law
These Terms & Conditions are governed by the laws of the State of New York and the State of New Jersey, without regard to conflict-of-law principles.
Any disputes shall be resolved exclusively in the state or federal courts of New York County, NY, or Middlesex County, NJ, depending on the service location.
11. Modifications
AI Expert Solutions reserves the right to update these Terms & Conditions at any time. Updates will be posted on our website, and continued use of our services constitutes acceptance of the revised terms.
