1. Introduction

Welcome to Yapper^TM, a product of Dream Vision Labs, Inc. These Terms and Conditions govern your use of our website and services. By using our site, you agree to comply with and be bound by these terms.

By creating an account, accessing, or using any part of Yapper^TM, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree, you may not use our platform.

Age Requirement: You must be at least 13 years old to use Yapper^TM. By using our services, you represent and warrant that you are at least 13 years of age. If you are between 13 and 17 years old, you represent that you have obtained parental or guardian consent to use our services. Users under 18 may not enter into paid subscriptions or make purchases without parental consent and supervision.

3. Services

Yapper^TM provides personalized deepfake videos for satire and entertainment purposes. We offer both one-time purchases and subscription plans. Our services include AI-powered video generation, lip-syncing, image-to-video conversion, and related content creation tools.

Service Availability: We strive to maintain continuous service availability but do not guarantee uninterrupted access. We may perform scheduled maintenance, updates, or experience unplanned outages. We reserve the right to modify, suspend, or discontinue any feature or service at any time with or without notice.

Beta and Experimental Features: We may offer beta or experimental features that are still in development. These features may be unstable, have limited functionality, or be discontinued at any time. Use of beta features is at your own risk, and we make no warranties regarding their performance or availability.

3.1 AI Assistant (Yapper^TM AI)

Our platform includes an AI-powered conversational assistant that helps you create images and videos. The AI assistant can propose generations, analyze content you share, provide creative suggestions, and answer questions about our Services.

Proposals Require Approval: The AI assistant provides suggestions and proposals only. All image and video generations require your explicit approval before processing begins.
Accuracy Not Guaranteed: AI responses may contain inaccuracies, errors, or hallucinations. You are responsible for reviewing and verifying any information or suggestions provided by the AI assistant.
Not Professional Advice: The AI assistant does not provide legal, financial, medical, or other professional advice. Any information provided is for general informational purposes only.
Prohibited Manipulation: Attempting to manipulate, "jailbreak," extract system instructions, or circumvent the AI's safety guidelines is prohibited and may result in account suspension.
Content Restrictions Apply: All content restrictions outlined in Section 5 apply equally to your interactions with the AI assistant.

External Content Analysis: When you provide URLs or request the AI assistant to analyze content from third-party platforms (including websites, YouTube, TikTok, Instagram, and others), you represent that you have the right to access such content. We are not responsible for the accuracy of information extracted from third-party sources, and your use of such analysis is subject to the terms of the respective platforms.

3.2 AI Model Availability and Discontinuation

Our platform integrates a variety of third-party AI models for video generation, image generation, lip-syncing, and other content creation features. The availability of any specific AI model is not guaranteed and may change at any time. AI models may be discontinued, replaced, or become unavailable for reasons including but not limited to:

The model becoming legacy, outdated, or superseded by newer versions.
Third-party providers restricting, suspending, or terminating access to the model.
Changes to third-party licensing, pricing, or terms of service that make continued access commercially unreasonable.
Technical incompatibilities, security vulnerabilities, or performance issues with the model.
Regulatory, legal, or compliance requirements that prohibit or restrict use of the model.
The model provider ceasing operations or discontinuing the model entirely.

When an AI model is discontinued we do not guarantee that replacement models will produce identical results or offer the same capabilities. The discontinuation of any AI model does not entitle you to a refund, credit, or compensation, and does not constitute a breach of these Terms.

4. User Conduct

Users are prohibited from creating videos for harassment, cyberbullying, identity theft, or any mean-spirited or criminal behavior. Our platform is strictly for satire, entertainment, and educational purposes only. Users must not attempt to pass off a video as a real person speaking. Yapper^TM as an online platform provides users with the ability to create satirical deepfakes that abide in good faith with the DEEPFAKES Accountability Act of 2024. By accepting these terms and conditions, users accept full legal liability for the content they create and share, as well as full legal liability for any damages or claims arising due to their content. Users are solely responsible for confirming they have all necessary rights, permissions, and consent before uploading, generating, publishing, or sharing any content, including any content involving a real person or their likeness. Yapper^TM does not verify consent, clear rights, or approve the legality of user-generated content. Users agree to abide by the relevant disclosure rules when sharing content created and always to act in good faith.

5. Content Restrictions

The following content is strictly prohibited on our platform and violates our terms of service:

Child Sexual Abuse Material (CSAM): Any content depicting, suggesting, or sexualizing minors in any way is absolutely prohibited.
Non-consensual Content: Content depicting real individuals without their explicit consent that isn't allowed under satire or local deepfake laws. Sexualized content is permitted only when it does not sexualize a real person without their consent; non-consensual sexual deepfakes or compromising depictions of real people are prohibited.
Violence and Harm: Content promoting, glorifying, or depicting extreme violence, torture, self-harm, or illegal activities.
Explicit Hate Speech: Content that promotes hatred, violence based on race, religion, gender, sexual orientation, or other protected characteristics.
Illegal Activities: Content that facilitates or promotes illegal terrorism, human trafficking, or other extreme criminal activities.
Harassment and Abuse: Content created to harass, threaten, intimidate, or abuse specific individuals.

Note: Sexualized content is permitted when it does not violate the restrictions above, including content involving obviously adult fictional characters or consenting real people. Sexualized content must not depict, imply, or target minors, and it must not sexualize a real person without their consent. You are solely responsible for ensuring you have that consent and any other rights required for your content. All content must comply with applicable laws and regulations.

Violation of these policies will result in immediate account suspension or termination without warning or refund, and may be reported to law enforcement where required by law.

Creator campaign submissions may be reviewed by Yapper, the campaign owner, or a third-party reward, moderation, or payout partner. Those reviewers may apply campaign-specific requirements, fraud prevention checks, payout eligibility rules, and the content restrictions described in these Terms.

6. User Accounts

Users must authenticate with their Google account, Apple ID, email and password, or email link (magic link) to access our services.
We store the user's name and email provided by your authentication provider, as well as generated content including videos, audio, images, scripts, and related metadata.
Account Sharing Prohibited: Each account is licensed for use by a single individual only. You may not share your account credentials with others or allow multiple users to access your account.
No Resale: You may not resell, transfer, or sublicense your account or subscription to any third party. Accounts found to be resold or shared across multiple users will be immediately terminated without refund.
Team Use: If you wish to use Yapper^TM as part of a team or organization, each team member must purchase and maintain their own individual account. Sharing a single account across multiple team members is strictly prohibited.
Single Active Subscription: Each account may only maintain one active subscription at a time. You may not stack or maintain multiple concurrent subscriptions on the same account, whether purchased directly through Yapper^TM, mobile app stores, or external providers such as AppSumo. If multiple subscriptions are detected on a single account, we reserve the right to cancel the excess subscriptions without refund.
One Lifetime Subscription Per Person: Each individual person is entitled to only one lifetime subscription across all accounts. You may not create multiple accounts to obtain additional lifetime subscriptions or to circumvent usage limits. If we determine that a single individual holds lifetime subscriptions on multiple accounts, we reserve the right to terminate all but one of those accounts and revoke the associated lifetime subscriptions without refund.

7. Payments and Refunds

Payments are accepted via Stripe for web purchases (all major credit and debit cards), Apple In-App Purchases for iOS, Google Play Billing for Android, and through authorized third-party platforms such as AppSumo.
Subscriptions purchased through mobile app stores (Apple App Store or Google Play Store) are subject to the terms and conditions of those platforms. Refunds for mobile subscriptions must be requested through the respective app store.
We offer refunds only if you were unable to generate a video due to a technical issue with our platform. If you successfully generated a video, refunds are not available.
For subscriptions, once a subscription has been renewed and the monthly credits have been issued to your account, we cannot offer refunds. However, your access will remain active for one month after the last payment.

8. Credits and Usage

One-Time Credit Bundles: Credits purchased through one-time credit bundles never expire and will remain in your account until used.
Monthly Subscription Credits: Monthly subscriptions provide a fixed number of credits that reset to the subscription amount at the start of each billing cycle. For example, if your subscription includes 3,000 credits per month, your account will reset to 3,000 credits (plus any remaining one time credits) each month regardless of usage. Subscription credits do not accumulate from month to month if they are not used.
Credit Consumption: Credits are consumed when you perform operations on the platform, including but not limited to: generating videos, creating images, lip-syncing content, converting images to video, and other AI-powered content generation features. The cost per operation varies depending on the type of content, the selected model, duration, complexity, and other factors. Credit costs for the same operation may vary across different subscription plans, user tiers, time of day, day of the week, or other factors at the sole discretion of Dream Vision Labs, Inc.
Credit Cost Changes: Dream Vision Labs, Inc. reserves the right to modify credit costs for any operation or feature at any time, with or without notice. Credit costs may increase or decrease based on factors including but not limited to: operational costs, model availability, feature complexity, and market conditions. Changes to credit costs will apply to all future operations but will not affect credits already purchased or allocated to your account.
Usage Limits and Restrictions: In addition to credit-based limitations, Dream Vision Labs, Inc. may impose additional usage limits and restrictions at its sole discretion, including but not limited to: maximum number of operations per hour, day, week, month, or year; concurrent generation limits; file size limits; output duration limits; and API rate limits. These limits may vary by subscription tier, user behavior, system load, or other factors, and may be modified at any time without notice.

9. Bring Your Own API Keys (BYOK)

Yapper^TM offers the ability to connect your own third-party API keys (such as Fal AI) to use with certain video generation models. By providing, saving, or using your API keys with Yapper^TM, you acknowledge that you have read, understood, and agree to the following terms:

User Responsibility: You are solely responsible for the security, management, and proper use of your API keys. This includes setting appropriate usage limits, monitoring for unauthorized access, and revoking keys if compromised.
Third-Party Terms: Your use of third-party API keys is subject to the terms and conditions of the respective API provider (e.g., Fal AI). You must comply with their acceptable use policies, rate limits, and billing terms. Dream Vision Labs, Inc. is not responsible for any charges incurred on your third-party accounts.
Encryption: Your API keys are encrypted using industry-standard AES-256-GCM envelope encryption before being stored in our systems. Keys are never stored in plain text and cannot be viewed after saving.
Recommended Precautions: We strongly recommend that you set spending limits and usage caps directly with your API provider, use separate API keys exclusively for Yapper^TM (not shared with other services), regularly monitor your API provider dashboard for unusual activity, immediately revoke and replace keys if you suspect any compromise, and maintain your own backups of your API keys in a secure location.
Key Management: You may disable or delete your stored API keys at any time through your account settings. Upon deletion, the encrypted key data will be permanently removed from our active systems, but may remain in our backup systems for a reasonable period as required for data recovery, legal compliance, or business operations.
No Absolute Security Guarantee: While we implement robust security measures to protect your API keys, no method of electronic storage or transmission is 100% secure. We cannot guarantee the absolute security of your stored keys against all potential threats, including but not limited to data breaches, sophisticated cyber attacks, or unforeseen vulnerabilities.
Liability Disclaimer: Dream Vision Labs, Inc. shall not be liable for any unauthorized access to, use of, or disclosure of your API keys, or for any charges, damages, or losses incurred as a result of such unauthorized access or use. You agree to indemnify and hold harmless Dream Vision Labs, Inc. from any claims arising from the use or misuse of your API keys.

10. Intellectual Property

This website and application are the property of Dream Vision Labs, Inc. and is protected by copyright and trademark laws.

Content Ownership: You retain any ownership rights you have in the content you create using Yapper, including videos, images, audio, prompts, uploaded media, generated outputs, and related materials. By uploading, submitting, creating, generating, or otherwise making content available through the Services, you grant Dream Vision Labs, Inc. a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, reproduce, process, adapt, modify, create derivative works from, analyze, display, transmit, use, and otherwise exploit your content for the purposes of operating, providing, maintaining, securing, supporting, improving, developing, training, fine-tuning, testing, evaluating, promoting, and commercializing the Services and related artificial intelligence, machine learning, safety, moderation, analytics, and content-generation systems, subject to our Privacy Policy and applicable law.

Aggregated and De-Identified Data: We may create, use, disclose, license, sell, or otherwise commercialize aggregated, anonymized, or de-identified data, datasets, analytics, model signals, benchmarks, and derived information that do not identify you and are not reasonably linkable to you, subject to applicable law.

Commercial Use Rights: Commercial use rights vary by subscription tier. Users with commercial use licenses (typically Creator tier) may use generated content for commercial purposes, including marketing, advertising, and business applications, provided such use complies with these Terms and all applicable laws. Users without commercial use rights may only use content for personal, non-commercial purposes. Commercial use includes but is not limited to: selling content, using content in paid advertisements, using content to promote products or services, or any use that generates revenue or commercial benefit.

Attribution and Disclosure: When sharing content created with Yapper^TM, you must disclose that the content is AI-generated or created using deepfake technology, especially when the content could be mistaken for authentic footage. Failure to properly disclose AI-generated content may violate these Terms and applicable laws.

Watermarks: Some subscription tiers may include watermarks on generated content. Watermarks may be removed only for users with appropriate subscription tiers that include watermark removal rights. Removing watermarks without authorization violates these Terms.

11. User-Generated Content

User-generated content is stored on our servers on Google Cloud. Users are responsible for their content and agree to not upload anything that violates any law or infringes on any rights.

Content Deletion: You may delete your content at any time through your account settings. Upon deletion, content will be removed from active access immediately. However, deleted content may be retained in our database systems for a reasonable period (typically up to 90 days) for purposes including fraud prevention, abuse investigation, legal compliance, dispute resolution, and operational backlog processing. After this retention period, the content will be permanently purged from our systems, except where longer retention is required by law or for legitimate business purposes.

12. Disclaimers

Users agree to take full responsibility for the consequences of creating and sharing content. Dream Vision Labs, Inc. and its affiliates bear no liability for user actions.

Third-Party Services: Our services depend on third-party providers including cloud hosting, AI model providers, payment processors, and authentication services. We are not responsible for failures, interruptions, or changes to these third-party services that may affect your use of Yapper^TM.

Export Controls: Deepfake technology and related AI services may be subject to export control laws and regulations. You agree to comply with all applicable export and import laws and not to use our services in violation of such laws.

Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, internet failures, or failures of third-party service providers.

AI Assistant Limitations: Our AI assistant is provided "as is" without warranties of accuracy, completeness, or fitness for any particular purpose. The AI may produce incorrect, incomplete, or misleading responses. You acknowledge that AI-generated suggestions are not substitutes for professional judgment, and you assume full responsibility for any decisions made based on AI recommendations.

13. Governing Law and Dispute Resolution

These terms are governed by the laws of Delaware, United States, without regard to conflict of law principles.

Dispute Resolution: Any disputes arising from or relating to these Terms or your use of Yapper^TM shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction. You waive any right to a jury trial and agree to resolve disputes individually, not as part of a class action.

14. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be posted on our website.

15. Termination and Suspension of Accounts

Dream Vision Labs, Inc. reserves the right to suspend or terminate your account and cancel any active subscriptions without notice or refund if you are found to be in violation of these Terms and Conditions. This includes, but is not limited to, misuse of the platform, prohibited behavior outlined in Section 4, or any actions deemed by us to be abusive, unlawful, or in bad faith.

16. Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. If you believe your account has been compromised, you must notify us immediately.

17. Limitation of Liability

To the fullest extent permitted by law, Dream Vision Labs, Inc. shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use our services.

18. Indemnification

You agree to indemnify and hold harmless Dream Vision Labs, Inc. and its affiliates from any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of your use of the service or your violation of these Terms.

19. Data Privacy and Access to Content

We value your privacy and handle your data in accordance with applicable laws. By using Yapper, you grant Dream Vision Labs, Inc. and its authorized personnel the right to access, review, and process your user-generated content and account information for legitimate business purposes, including customer support and troubleshooting, safety and abuse prevention, legal and regulatory compliance, quality assurance and moderation, service improvement, AI and machine-learning development, model training and evaluation, billing, and fraud prevention. Access is limited to the minimum necessary, is subject to internal controls, and may be logged and audited. We may use automated systems to analyze content to detect abuse, improve our services, train and evaluate models, and develop safety and moderation systems. We may share limited data with vetted service providers who are bound by contractual obligations to protect your data. We do not sell identifiable user content except as described in our Privacy Policy, with your consent, or as otherwise permitted by applicable law. Where required by law, we will provide notice and choices, including the right to opt out of certain sales, sharing, or AI training uses of personal information.

20. Communications Consent

By creating an account, you consent to receive our newsletter and marketing communications via email, including product updates, feature announcements, tips, and promotional offers. You may opt out of marketing communications at any time by clicking the unsubscribe link in any email or contacting us at support@yapper.so. Opting out of marketing emails will not affect your receipt of transactional or service-related communications regarding your account.

21. Creator Campaigns and Submissions

Yapper may make brand or partner campaigns (“Campaigns”) available through the Earn area of the Service. Campaigns are operated by the brand or partner identified on the campaign (“Campaign Owner”). When you submit content to a Campaign (a “Submission”), the following terms apply in addition to the rest of these Terms and any campaign-specific requirements.

Ownership before payment. You retain ownership of your Submission unless and until it is both approved by the Campaign Owner and the corresponding payout for that Submission has been issued to you. Before that point, the Campaign Owner has no license to use your Submission.
License upon approval and payment. Once a Submission is approved and the corresponding payout has been issued, you grant the Campaign Owner a worldwide, perpetual, irrevocable, royalty-free, fully paid-up, transferable, and sublicensable license to use, reproduce, modify, adapt, edit, create derivative works from, publicly display and perform, distribute, and otherwise exploit the Submission in any media, including as paid advertising, without further attribution, approval, or compensation beyond the agreed payout.
Your representations. You represent and warrant that each Submission is your original work, that you own or have secured all rights necessary to grant the license above, that it does not infringe any third-party rights, and that any people, voices, likenesses, music, or other materials in it are used with all necessary permissions and releases.
Compliance with campaign requirements.You must follow each Campaign’s stated requirements, including any specified language, format, disclosure, and content rules. Where a Campaign specifies a language, your Submission and any spoken dialogue must be in that language even if the brief is displayed to you in translation.
Payouts.Payouts apply only to Submissions that are approved by the Campaign Owner, are subject to any per-submission rate and total campaign budget shown on the campaign, and may be withheld for Submissions that violate these Terms or a Campaign’s requirements.
Partner campaign infrastructure.Some Campaigns may be administered through third-party reward, moderation, or payout partners. By making a Submission, you authorize Yapper to send the information reasonably needed to process that Submission and related rewards, including your submitted asset URL, account email, internal user reference, campaign and submission metadata, and consent records, to the applicable partner. Your participation in those Campaigns may also be subject to the partner’s terms, privacy policy, payout rules, fraud prevention rules, and account-claiming requirements.
Acceptance. You must accept these submission terms before your first Submission. We may update these terms, and continued participation after an update constitutes acceptance of the updated terms.

Yapper provides the Earn platform but is not the Campaign Owner and is not a party to the licensing arrangement between you and a Campaign Owner except as expressly stated here.
