The Central Depository & Settlement Corporation Limited (CDSC) is Kenya’s premier Securities depository, authorized by the Capital Markets Authority (CMA) to provide automated clearing, settlement, and delivery services for transactions at the Nairobi Securities Exchange (NSE).

We are a private company operating a bespoke post-trade market infrastructure that delivers secure, efficient, and technology-driven solutions that safeguard investor assets, enhance market transparency, and support the orderly functioning and continued development of Kenya’s capital markets.

CDS Account Opening & Maintenance

Through licensed Central Depository Agents (CDAs), we open and maintain up-to-date investor records in the Central Depository System (CDS) for purposes of investing in Shares and Corporate Bonds.

Custody and Record Keeping

We hold your securities (shares) in safe electronic custody within our centralized depository system, with precise ownership records maintained and reconciled to global best-practice standards.

Clearing and Settlement

We provide secure, automated post-trade processing that ensures buyers of securities have the shares transferred to them upon confirmed payment while sellers receive their expected financial dues minimizing counterparty risk and enhancing market integrity.

Corporate Actions Processing

We facilitate the accurate execution of corporate actions including bonus issues, rights issues, share splits, consolidations, and other capital restructuring events. As the CSD, we also determine and maintain the official register of eligible shareholders as at record date, ensuring issuers and their agents administer investor entitlements like dividend payments efficiently and transparently.

Securities Lending and Borrowing (SLB)

Our regulated SLB framework enables the temporary transfer of securities between investors through SLB Agents to generate additional income to investors, support short-selling, enhance liquidity, and improve price discovery within a structured risk-managed environment.

Securities Transfers

We process private transfers (own account transfers and gift transfers), off-market transactions, as well as transmissions relating to deceased estates with strict verification controls, ensuring lawful, transparent, and efficient change of ownership.

Shares Pledging

We facilitate the electronic marking and release of pledged securities within the depository system, providing lenders with secure collateralization and investors ability to access credit at competitive rates while preserving accurate ownership records.

Share Immobilization

CDSC facilitates the immobilization of physical share certificates by converting them into secure electronic records within the central depository system. This process eliminates the risks associated with paper certificates such as loss, theft, or damage while enabling seamless participation in Kenya’s capital markets.

Guarantee Fund Management

CDSC administers the settlement guarantee established to uphold the integrity and stability of the securities market by providing an additional layer of protection against settlement default and reinforcing confidence in Kenya’s capital markets.

Nature Of Business Our Role in Kenya's Capital Markets

CDSC is Kenya’s premier securities depository. We are authorized by the Capital Markets Authority (CMA) to provide secure automated clearing, settlement, and custody services for securities trading at the Nairobi Securities Exchange (NSE). Through our fully electronic platform, securities are transferred, recorded, and held safely without the need for physical share certificates ensuring faster, efficient, and more secure transactions for investors and the entire capital markets.

As Kenya’s central securities depository, CDSC plays a foundational role in the country’s capital markets infrastructure. We operate the electronic system that records ownership of securities, facilitates clearing and settlement of trades executed on the Nairobi Securities Exchange, safeguards investor assets, and supports key market functions such as corporate actions, securities lending and borrowing, share pledging, and transfers. CDS stands for the Central Depository System. This is a computer system operated by The Central Depository and Settlement Corporation (CDSC) that facilitates holdings of shares in electronic accounts, opened by shareholders and manages the process of transferring shares traded at the Stock Exchange.

You need two recently taken passport size photographs, original National ID or passport. In the case of a company you need the original certificate of incorporation, and if you are an organization registered in any other way you need the certificate of registration. Directors of a company will also need to provide their ID Cards and passport size photographs. You need to sign the form (CDS 1) before your Central Depository Agent (CDA)

By completing and signing a securities account opening/maintenance form with your CDA. The form is called CDS 1.

Yes, if you intend to trade in shares that are listed on the Nairobi Stock Exchange. Soon, bonds will also be deposited into the CDS.

CDSC has taken measures to ensure the security of your shares. The company has offsite back up facilities and procedures that would ensure business continuity in the event of anything happening either to the computer system or its usual premises.
