Casting Workbook Site Terms

CASTING WORKBOOK SERVICES, INC.
Terms of Service and Rules of Conduct
Effective Date: May 25, 2026

These Terms of Service (“Agreement”) govern your access to, and use of the Casting Workbook website, mobile applications, and related services (collectively, the “Services”) operated by Casting Workbook Services, Inc. (“CWB,” “we,” “us,” or “our”). By accessing or using our Services, you (“Participant” or “User”) agree to be bound by these terms. If you do not agree, please discontinue use immediately.

1. Acceptance of Terms

By creating an account, accessing, or using the Services, you confirm that you are at least 18 years of age (or the age of majority in your jurisdiction), have read and understood this Agreement, and agree to be legally bound by its terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

2. Rules of Conduct

As a condition of using CWB’s Services, you agree to the following:

  • You will not post, upload, or transmit any content that is defamatory, threatening, harassing, obscene, harmful, pornographic, or otherwise violates the rights of others or any applicable law or regulation.
  • You will not upload or distribute material protected by copyright, trademark, or other intellectual property rights without the express permission of the rights holder.
  • You will not engage in any activity that interferes with or disrupts the integrity or performance of the Services or the data contained therein.
  • You will not use automated tools, bots, scrapers, or other means to access or collect data from the Services without CWB’s prior written consent.
  • You will not impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • You will not use the Services to send unsolicited communications (spam) or for any unlawful commercial purpose.
  • You will comply with all applicable local, provincial, national, and international laws and regulations.

3. Prohibited Automated Access and Enforcement

This Section governs automated access to the Services and CWB’s related enforcement rights. The following definitions apply in this Agreement:

  • Automated Tool means any software, script, bot, agent, browser extension, plugin, application, or service that performs actions on the Services without requiring explicit, contemporaneous human authorization for each individual action.
  • Competing Tool or Service means any third-party application, browser extension, plugin, or service that provides automated or semi-automated talent submission, breakdown scraping, application generation, AI-driven outbound messaging, or similar functionality directed at platforms used for casting, talent representation, or entertainment production workflows, whether or not it interoperates with CWB.

3.1 Prohibited Automated Access

You agree that you will not, and will not permit any third party to:

  • Access, use, or interact with the Services through any automated means, including without limitation bots, scripts, scrapers, crawlers, agents, headless browsers, or any other automated tool or technology, except as expressly authorized in writing by CWB.
  • Use the Services through any third-party tool, plugin, browser extension, application, or service that automates submission generation, blast pitching, or any other interaction that exceeds reasonable human use, including without limitation tools that auto-submit talent to breakdowns, scrape data from the Services, or generate AI-driven content on the user’s behalf without explicit human review of each individual action.
  • Provide your login credentials, API keys, session tokens, or any other authentication information to any third-party tool or service, or authorize any such tool or service to act on your behalf in interacting with the Services.
  • Use the Services to flood, spam, or otherwise overwhelm casting directors, producers, or other users with submissions, applications, or communications that have not been individually reviewed and authorized by you for each instance.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Services, except to the extent such activity is expressly permitted by applicable law notwithstanding this prohibition.

3.2 Reservation of Rights and Enforcement

CWB reserves the right, at its sole discretion and without prior notice, to:

  • Suspend, terminate, or limit any account that CWB determines, based on reasonable evidence, has violated this Section (see also Section 15, Termination).
  • Investigate any suspected violation, including by reviewing account activity, submission patterns, IP addresses, browser fingerprints, technical telemetry, and any other data CWB lawfully collects in accordance with its Privacy Policy.
  • Pursue all available legal remedies under applicable law in any jurisdiction in which the Services are offered, including without limitation claims for breach of contract, interference with contractual relations, unauthorized access, infringement of intellectual property rights, and unfair competition or unfair commercial practices, together with any equivalent or analogous cause of action available under the laws of any jurisdiction in which the alleged violation has effect.
  • Cooperate with law enforcement, regulatory authorities, and courts of competent jurisdiction, and disclose user account information as required by applicable law or as CWB determines appropriate to enforce these terms.
  • Seek injunctive relief in any jurisdiction in which the violation has effect, in addition to monetary damages and any other remedies available at law or in equity.

3.3 User Cooperation

If you become aware that any Automated Tool or Competing Tool or Service is being used in violation of this Section by you or in connection with your account, you must:

  • Immediately cease all such use;
  • Notify CWB in writing within five (5) business days of becoming aware; and
  • Provide reasonable cooperation with any investigation or enforcement action initiated by CWB against the third-party tool, its operators, or its developers.

Your indemnification obligations in connection with any such use are set out in Section 13 (Indemnification).

4. Parties to This Agreement

Where a Participant creates an account on behalf of actors, talent, or clients, they represent that they have the authority to do so and that such individuals have consented to inclusion in the CWB database. The Participant is responsible for ensuring that any such individuals are aware of and agree to these terms.

5. Services

CWB will provide the following services to Participants:

  • Hosting and management of Participant profiles and media content within the CWB platform.
  • Access to casting breakdowns and submission tools (subject to subscription level).
  • Communication and messaging tools between industry professionals.
  • Mobile application access where available.

CWB reserves the right to modify, suspend, or discontinue any aspect of the Services at any time, with reasonable notice provided where practicable.

6. Participant Responsibilities

Participants agree to:

  • Provide accurate, current, and complete information when creating and maintaining their profile.
  • Review and verify all content submitted on their behalf and promptly notify CWB of any errors or inaccuracies.
  • Maintain the security of their account credentials and notify CWB immediately of any unauthorized access.
  • Use the Services solely for their intended purpose and in accordance with CWB’s guidelines.
  • Ensure that all media (photos, videos, audio) uploaded complies with applicable laws and does not infringe third-party rights.
  • Not share, transfer, sell, or otherwise grant access to their account or profile to any third party. Account access is strictly personal and non-transferable. Any such grant of access whether for compensation or otherwise constitutes a material breach of this Agreement and will result in immediate termination of the Participant’s account as set out in Section 15.

7. Fees and Payment

Subscription fees and other charges are as posted on the CWB website and are subject to change with reasonable advance notice. Fees are displayed in the currency applicable to your region. Participants are responsible for all applicable taxes, duties, and levies imposed by their local jurisdiction. Refunds are subject to CWB’s Refund Policy, which is available on the website. Where required by applicable consumer protection law, statutory refund rights are not affected.

8. Intellectual Property

8.1 CWB Property

All software, technology, content, trademarks, logos, and intellectual property comprising the CWB platform remain the exclusive property of CWB or its licensors. This Agreement does not grant Participants any ownership interest or license in CWB’s intellectual property.

8.2 Participant Content

Participants retain ownership of content they upload (“Participant Content”). By uploading content, Participants grant CWB a non-exclusive, worldwide, royalty-free licence to host, display, and distribute such content solely for the purpose of operating the Services. Participants represent and warrant that they have all necessary rights to grant this licence.

9. Privacy and Data Protection

CWB collects, uses, and discloses personal information in accordance with its Privacy Policy, which is incorporated into this Agreement by reference and available at www.castingworkbook.com. CWB is committed to complying with applicable privacy and data protection laws in the jurisdictions in which it operates, which may include:

  • Canada: Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation.
  • European Economic Area and United Kingdom: General Data Protection Regulation (GDPR) and UK GDPR. Where CWB processes personal data of individuals in the EEA or UK, CWB acts as a data controller. Individuals have rights including access, rectification, erasure, restriction, portability, and objection. To exercise these rights, contact privacy@castingworkbook.com.
  • California, USA: California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA). California residents have the right to know, delete, and opt out of the sale or sharing of personal information.
  • Australia: Privacy Act 1988 and the Australian Privacy Principles (APPs).
  • Other jurisdictions: CWB will comply with applicable local privacy laws as required.

Participants acknowledge that their profile data may be made available to registered casting directors and industry professionals using the platform, consistent with the purpose of the Services. Where data is transferred internationally, CWB implements appropriate safeguards such as Standard Contractual Clauses or equivalent mechanisms as required by applicable law.

10. Confidentiality

Participants agree to keep confidential any non-public information accessed through the CWB platform that is designated as confidential, including but not limited to unpublished casting breakdowns and login credentials. This obligation survives termination of the Agreement.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. CWB MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. CWB DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

CWB is not responsible for the accuracy, completeness, or reliability of any content posted by Participants or third parties on the platform.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CWB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

CWB’s total aggregate liability to any Participant shall not exceed the total fees paid by that Participant in the twelve (12) months preceding the event giving rise to the claim. CWB shall not be liable for:

  • Errors or inaccuracies in Participant-submitted content.
  • Delays or failures in transmission of Participant information.
  • Participant’s failure to review and verify their own content.
  • Interruptions or failures of third-party systems, networks, or services.
  • Unauthorized access to Participant accounts due to Participant’s failure to maintain secure credentials.

13. Indemnification

You agree to defend, indemnify, and hold harmless CWB, its parent, subsidiaries, and affiliated companies, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of or access to the Services.
  • Your violation of this Agreement or any applicable law.
  • Any content you submit, post, or transmit through the Services.
  • Your infringement of any third-party intellectual property or privacy rights.

In addition, and to the maximum extent permitted by applicable law, you agree to indemnify and hold harmless CWB from any damages, costs, or expenses (including reasonable attorneys’ fees and litigation costs) arising from any use of an Automated Tool or Competing Tool or Service in violation of Section 3, including any legal action CWB initiates against such tool or service or its operators, except to the extent such damages, costs, or expenses arise from CWB’s own negligence or willful misconduct. This obligation survives termination of this Agreement. Where you are an individual consumer, this obligation applies only to the extent permitted by applicable consumer protection law; it applies in full to Participants acting as agents, producers, casting professionals, or other business users.

14. Third-Party Links and Services

The Services may contain links to third-party websites or integrate with third-party services. CWB is not responsible for the content, privacy practices, or terms of any third-party sites or services. Participants access third-party sites at their own risk.

15. Termination

CWB reserves the right to suspend or terminate your access to the Services, with or without notice, if CWB determines in its sole discretion that you have:

  • Violated any provision of this Agreement.
  • Granted access to their account or profile to any third party, in violation of Section 6.
  • Used an Automated Tool or Competing Tool or Service, or otherwise accessed the Services by automated means, in violation of Section 3.
  • Engaged in conduct harmful to CWB, other users, or third parties.
  • Provided false or misleading information.
  • Failed to pay applicable fees.

Upon termination, your right to use the Services ceases immediately. Provisions of this Agreement that by their nature should survive termination will remain in effect.

16. Modifications to Terms

CWB may update these Terms of Service from time to time. We will notify Participants of material changes by posting the updated terms on our website and, where appropriate, sending an email notification. Continued use of the Services after changes take effect constitutes your acceptance of the revised terms.

17. Governing Law and Dispute Resolution

17.1 General

This Agreement is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles, except as provided below. Notwithstanding the foregoing, CWB reserves the right to bring enforcement actions for violations of Section 3 (Prohibited Automated Access and Enforcement) in any jurisdiction in which the violation has effect, and you agree that CWB may seek and obtain injunctive relief in any such jurisdiction without first establishing actual damages.

17.2 European Economic Area and United Kingdom

If you are a consumer resident in the EEA or UK, you may also benefit from any mandatory provisions of the law of the country in which you are resident. Nothing in this Agreement affects your rights as a consumer to rely on such mandatory local law provisions. Disputes may be referred to your local courts or to an approved alternative dispute resolution body.

17.3 United States

If you are a resident of the United States, disputes arising under this Agreement shall be resolved by binding arbitration administered under the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction. Class action and jury trial waivers apply to the fullest extent permitted by law.

17.4 Australia

If you are a resident of Australia, nothing in this Agreement excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition, implied or imposed by the Australian Consumer Law that cannot lawfully be excluded or limited.

17.5 Informal Resolution

We encourage Participants to contact us first at support@castingworkbook.com to resolve any disputes informally before initiating formal proceedings.

18. Regional Compliance and Consumer Rights

18.1 Consumer Protection

Where applicable law grants consumers rights that cannot be waived by contract (including but not limited to statutory guarantees, cooling-off periods, or mandatory remedies), those rights are preserved and nothing in this Agreement shall be construed to limit them.

18.2 Accessibility

CWB is committed to making its Services accessible to users with disabilities in accordance with applicable accessibility standards, including the Accessibility for Ontarians with Disabilities Act (AODA), the Web Content Accessibility Guidelines (WCAG 2.1), and equivalent standards in other jurisdictions.

18.3 Language

This Agreement is made in the English language. Where required by law (including in Quebec, Canada), a French version will be made available. In the event of any conflict between translated versions, the English version shall prevail to the extent permitted by law.

19. General Provisions

19.1 Entire Agreement

This Agreement, together with the Privacy Policy and any other policies referenced herein, constitutes the entire agreement between you and CWB with respect to the Services.

19.2 Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

19.3 Non-Assignment

You may not assign or transfer your rights or obligations under this Agreement without CWB’s prior written consent. CWB may assign this Agreement in connection with a merger, acquisition, or sale of assets.

19.4 Waiver

CWB’s failure to enforce any right or provision of this Agreement will not be deemed a waiver of such right or provision.
