Terms and conditions

1. Definitions

In these Terms and Conditions, the following definitions apply:

  1. “Capido”, “we”, “our”, or “us” means Tribble Media, trading as Capido, registered in the Netherlands at Korenbloem 10, Mijdrecht, with Dutch Chamber of Commerce number 51536978, providing its services to users in the United Kingdom.
  2. “Website” means the online platform (including the mobile application) through which the services described in clause 3.1 are provided.
  3. “Participant”, “you”, or “your” means a natural person who is not acting in the course of a trade, business, or profession and who enters into an agreement for a paid or unpaid Membership with Capido. Participants must be at least 18 years of age.
  4. “Buyer” means a natural person who purchases a product from the Capido web shop.
  5. “Dashboard” means the section of the Website where the Participant or their Support Person can enter information to complete their registration.
  6. “Support Person” means the individual who represents the Participant on the basis of informal care, personal coaching, or deputyship/guardianship, and who has obtained the Participant’s express written consent to register the Participant on the Dashboard of the Website.
  7. “Membership” means the agreement between Capido and a Participant for the provision of the services described in clause 3.1, whether or not in return for payment of a Membership Fee.
  8. “Product” means a product purchased from the Capido web shop and dispatched to the Participant.
  9. “Privacy Policy” means Capido’s policy regarding the processing of personal data.
  10. “Cancellation Right” means the Participant’s right to cancel the distance contract within the cooling-off period in accordance with the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

2. Applicability

  1. These Terms and Conditions apply to all access to and use of the Capido website and application (hereinafter: “Dating Platform” or “Capido”).
  2. The Participant must read these Terms and Conditions before using the Dating Platform.
  3. By accessing and using this Dating Platform, you unconditionally agree to these Terms and Conditions. If you do not agree with these Terms and Conditions, you must not use the Dating Platform.
  4. Deviations from these Terms and Conditions are only valid insofar as they have been agreed in writing. No rights may be derived from such deviations with respect to subsequent legal relationships.
  5. If any provision of these Terms and Conditions is found to be void or unenforceable, the remaining provisions shall continue in full force and effect. Capido and the Participant shall negotiate in good faith to agree on replacement provisions that achieve, as closely as possible, the purpose and intent of the void or unenforceable provision.
  6. The most recently published version of these Terms and Conditions shall always apply, unless the version in force at the time the agreement was formed provides otherwise.
  7. The applicability of any terms and conditions of the Participant is expressly rejected, unless those terms have been expressly and fully accepted in writing by Capido following consultation.
  8. These Terms and Conditions are governed by the laws of England and Wales and are drafted in accordance with the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

3. Services

  1. Capido’s services consist of providing an online platform where Participants can connect with other Participants or be matched with other Participants based on indicators determined by Capido. Capido provides a general overview of these indicators on its Website.
  2. Capido does not guarantee success or a relationship. Capido has an obligation of best efforts (duty to use reasonable skill and care) and expressly does not provide a guarantee of any particular result.
  3. Capido is transparent about the services it offers. Before entering into a Membership, Capido provides clear information about fees, automatic renewal of the Membership, the terms and conditions, and the features of the Website so that the Participant can make an informed decision.
  4. If a Participant lacks mental capacity within the meaning of the Mental Capacity Act 2005, the agreement may only be entered into by their legally authorised representative (such as a deputy appointed by the Court of Protection or a person holding a lasting power of attorney).
  5. Capido may set additional conditions for Participants who wish to use the services. These conditions will be clearly stated on the Website before the Membership is entered into. Such additional conditions are only imposed to define the target group of the Dating Platform and to increase the chances of success. The additional conditions may not conflict with these Terms and Conditions. The ability to contact other Participants may be subject to conditions, for example, requiring a paid Membership.
  6. Capido informs the Participant before the Membership is entered into about the conditions under which Participants can contact each other and about which groups of Participants can and cannot receive messages.
  7. Where the services are provided in return for a Membership Fee, this will be based on a fixed amount for a defined period, a fee per action, or a combination of both. Capido provides clear information about this on its Website before the Membership is entered into.
  8. Capido cannot guarantee or be held liable for the accuracy and completeness of information provided by Participants. Participants are solely responsible for the information they make available through the Website.
  9. Capido is never responsible for the conduct of Participants during, for example, a personal meeting arranged following initial contact through the Website.
  10. Capido acts solely as an introductory platform. Although Capido takes various safety measures, it has no control over and is not responsible for the conduct of Participants, whether online or offline. Participants are at all times responsible for their own safety when making contacts and arranging physical meetings.

4. Availability of Services

  1. Capido uses reasonable endeavours to ensure that the services operate without interruption. Capido cannot guarantee continuous availability of its services.
  2. Where maintenance is carried out on the Website, Capido will, so far as reasonably practicable, announce this in advance and minimise any disruption.

5. Participant Conduct

5.1 It is prohibited for the Participant to act in an indecent, unlawful, or illegal manner or to incite or encourage others to do so. For example, the Participant must not:

  • use threatening language towards other Participants or Capido;
  • post unlawful text, image, and/or audio material;
  • post text, image, and/or audio material that infringes the intellectual property rights of third parties;
  • engage in sexual intimidation, stalking, threatening behaviour, assault, or any other form of physical or verbal violence;
  • defraud or deceive other Participants, including ‘romance scamming’ or requesting money, cryptocurrency, or financial assistance;
  • use deepfakes or AI-generated content to create a false identity.

5.2 The Participant is furthermore not permitted to:

  • include untrue information in their profile;
  • seek or offer explicit erotic contact;
  • create more than one profile per person;
  • distribute commercial information;
  • cause harm or nuisance to other Participants or Capido;
  • make racist or offensive statements;
  • make information from another Participant’s profile publicly available, reproduce, or otherwise re-use it without the express consent of that Participant;
  • share login credentials with third parties – these are strictly personal.
  1. If a Participant acts in breach of clause 5.1 or 5.2, Capido may terminate the Participant’s Membership and immediately amend, suspend, or delete their profile. Capido will notify the Participant of the suspension or deletion, stating the reason. The Participant acknowledges that Capido may, where there is reasonable cause, review the data and conduct supplied by the Participant in connection with possible breaches of clauses 5.1 and 5.2.

6. Complaints about Participants; Misrepresentation

  1. If Capido receives a complaint about a Participant, it will investigate the complaint and may contact the Participant concerned. Capido may remove, amend, or suspend profiles of Participants that contain misrepresentation, are misleading, or that may otherwise cause harm or nuisance to other Participants, where the Participant has failed to respond to Capido’s initial notification regarding the complaint. Following suspension, the Participant may not re-register and no refund of the Membership Fee will be given.
  2. Capido uses reasonable endeavours to alert Participants to possible misrepresentation by other Participants on the Dating Platform. The Website provides information about risks and tips for avoiding harm.

7. Protection of Personal Data

  1. The use of the Dating Platform is subject to Capido’s Privacy Policy. This Privacy Policy describes how the Participant’s personal data are processed. Capido complies with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018 in this regard.
  2. Where Capido has reasonable grounds to suspect that a Participant is in breach of the rules set out in clauses 5.1 and 5.2 and other Participants may suffer or be at risk of harm or nuisance as a result, Capido is entitled to access the data exchanged between Participants through the Dating Platform. Further details are set out in the Privacy Policy.

8. Limitation of Liability

  1. Subject to clause 8.6, the liability of Capido is limited to damage that is a direct and demonstrable consequence of a failure to perform or defective performance by Capido, up to a maximum of the amount covered by Capido’s insurance or, if no insurance payment is made, up to the total Membership Fees paid by the Participant in the twelve (12) months preceding the event giving rise to the liability.
  2. Subject to clause 8.6, Capido shall not be liable for indirect or consequential loss, including but not limited to loss of profits, loss of opportunity, and loss arising from business interruption.
  3. Subject to clause 8.6, Capido shall not be liable for loss arising from work performed or goods supplied by third parties. Capido shall not be liable for the work of such third parties, whether for direct or indirect loss.
  4. The Participant shall indemnify Capido against all third-party claims arising directly or indirectly from or in connection with the performance of the agreement.
  5. Capido is not liable for any loss caused by Capido or a Participant relying on incorrect or incomplete information provided by the Participant.
  6. Nothing in these Terms and Conditions shall exclude or limit Capido’s liability for: (a) death or personal injury caused by its negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be excluded or limited under the Consumer Rights Act 2015 or other applicable law.
  7. The Participant is liable to Capido for loss resulting from a breach by the Participant of these Terms and Conditions, for example as a result of a breach of clause 5, unless such breach is not attributable to the Participant.
  8. Capido is not liable for the actions of a Support Person on the Website.
  9. Capido is expressly not liable for loss arising from criminal acts committed by Participants, including but not limited to fraud, theft, assault, or any other criminal offence.
  10. All liability of Capido for loss arising during or as a result of a physical meeting between Participants is excluded to the fullest extent permitted by law. Capido strongly advises Participants to arrange meetings in public places and to inform trusted persons.

9. Cancellation by the Participant

  1. A paid Membership may be entered into for a defined period.
  2. The paid Membership will automatically renew at the end of the period unless the Participant cancels in advance via the Website or through the App Store/Google Play.
  3. Regardless of whether the (paid) Membership is active, the Dating Platform shall, at the Participant’s request, deactivate the Participant’s profile as soon as reasonably practicable and in any event within fourteen (14) days of receipt of the request.
  4. The Participant has a right to cancel the Membership within fourteen (14) days of entering into the agreement, in accordance with the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. If the Participant exercises this right but has already made use of the paid services during this period, the Participant may be required to pay a reasonable amount for the services received. This amount will not exceed the Membership Fee for one month, depending on the Membership plan selected (1, 3, or 6 months). Capido will expressly request the Participant’s consent to commence the services before the cancellation period has expired and will inform the Participant of the amount that may be charged if the Participant subsequently exercises the right to cancel.
  5. In the event that either party becomes insolvent, enters into administration, or ceases trading, the other party is entitled to terminate the Membership immediately in writing, without prejudice to any rights to claim damages.

10. Exceptions to the Cancellation Right

Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, the cancellation right does not apply to the following, provided that Capido has clearly informed the Participant prior to the contract being entered into:

  • Service contracts after the service has been fully performed, if the performance began with the Participant’s prior express consent and the Participant acknowledged that the cancellation right would be lost once the service was fully performed.
  • The supply of digital content (not on a tangible medium) if the supply has begun with the Participant’s prior express consent and acknowledgement that the cancellation right would be lost.
  • Goods made to the Participant’s specifications or clearly personalised.
  • Goods that are liable to deteriorate or expire rapidly.
  • Sealed goods that are not suitable for return for health protection or hygiene reasons, where the seal has been broken after delivery.
  • Sealed audio, video recordings, or computer software where the seal has been broken after delivery.

11. Guarantee

Capido supplies products through its web shop that, under normal use, should last for a reasonable period of time. If a product is defective or not as described, the Buyer should contact Capido immediately. Capido will honour the Buyer’s statutory rights under the Consumer Rights Act 2015, including the right to a repair, replacement, or refund where goods do not conform to the contract. Claims relating to faults caused by normal wear and tear or moisture damage may not be accepted.

12. Returns

When the Buyer purchases a product from the Capido web shop, the Buyer has a fourteen (14) day cooling-off period. The Buyer may return the product within this period without giving a reason. The cost of return postage shall be borne by the Buyer. The Buyer must notify Capido in advance of the return.

If the Buyer returns the product in a damaged or incomplete condition, the amount to be refunded may be reduced proportionately to reflect the diminished value. The Buyer is responsible for any decrease in value resulting from handling beyond what is necessary to establish the nature, characteristics, and functioning of the product.

Once the contract is cancelled, Capido will refund the amount within fourteen (14) days of receiving the returned goods or evidence that the goods have been sent back.

13. Intellectual Property

All intellectual property rights relating to the Website are vested exclusively in Capido.

14. Force Majeure

  1. Force majeure means any circumstance beyond Capido’s reasonable control, whether foreseen or unforeseen, which prevents Capido from performing its obligations.
  2. During a period of force majeure, the obligations of both parties are suspended. If the period during which performance of Capido’s obligations is prevented by force majeure exceeds thirty (30) days, the Participant is entitled to terminate the Membership in writing, without any obligation to pay compensation.
  3. If Capido has already partially performed its obligations at the time force majeure occurs, or can only partially perform its obligations, Capido is entitled to invoice for the work already performed, and the Participant is obliged to pay that invoice.

15. Complaints

Capido handles complaints about its services in accordance with its complaints procedure. If you are not satisfied with the outcome, you may also seek resolution through the UK’s alternative dispute resolution (ADR) procedures or, where applicable, the Online Dispute Resolution (ODR) platform provided by the European Commission (for disputes involving EU law).

16. Amendments

Supplementary provisions may not be to the detriment of the Participant. Such provisions must be recorded in writing or in a manner that enables the Participant to store them on a durable medium in an accessible way. Capido will provide reasonable notice of any material changes to these Terms and Conditions.

17. Governing Law and Jurisdiction

  1. These Terms and Conditions and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
  2. The courts of England and Wales shall have non-exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms and Conditions. Nothing in this clause limits a Participant’s right to bring proceedings in any other court of competent jurisdiction.
  3. Nothing in these Terms and Conditions affects your statutory rights as a consumer under the laws of England and Wales, Scotland, or Northern Ireland.

18. Child Safety Standards (CSAE Policy)

  1. Capido maintains a strict zero-tolerance policy regarding material that contains, promotes, or distributes child sexual abuse and exploitation (CSAE).
  2. Users are strictly prohibited from posting, sharing, or transmitting content that is in breach of international and national legislation on child safety, including but not limited to the Sexual Offences Act 2003, the Protection of Children Act 1978, and the Online Safety Act 2023.
  3. Upon any suspicion or discovery of CSAE material, Capido will immediately and permanently block the account concerned. Capido reserves the right to report such activity to the relevant law enforcement authorities, including the National Crime Agency (NCA) and the Internet Watch Foundation (IWF).
  4. Users can report unwanted behaviour or suspected abuse directly via the reporting function on profiles in the app, or by contacting Capido at [email protected].

19. Safety Measures and Moderation

19.1 Capido uses reasonable endeavours to provide a safe environment by employing:

  • AI-driven review of profile content and detection of fraudulent patterns;
  • manual moderation of new registrations;
  • filtering of high-risk terms (such as financial terminology and offensive language);
  • a reporting system where reports are reviewed promptly (partly through automated processes).
  1. Capido provides ‘social proof’ through membership duration and meeting confirmations by other users. This information is indicative only and no rights may be derived from it.
  2. Capido is entitled to appoint certain experienced Participants as moderators. They have the authority to remove profiles immediately in the event of a direct breach of these Terms and Conditions.
  3. Despite these measures, Capido cannot guarantee that all profiles are authentic or that all Participants act in good faith. Use of the app is at the Participant’s own risk.

20. Online Safety Act 2023 Compliance

  1. In accordance with the Online Safety Act 2023, Capido takes proactive measures to protect users from illegal content and content that is harmful to adults, particularly given the vulnerable nature of its user base.
  2. Capido conducts regular risk assessments to identify, mitigate, and manage risks of harm to users, including risks arising from illegal content, fraudulent activity, and content harmful to individuals with disabilities.
  3. Capido provides clear and accessible mechanisms for users to report harmful content or behaviour, and ensures that such reports are addressed promptly and appropriately.
  4. Capido publishes transparency information as required by Ofcom and cooperates with regulatory requests in accordance with its legal obligations.
