These Terms and Conditions (\u201cTerms\u201d) are provided by Gambit Technologies Inc., (the \u201cCompany\u201d) the owner of the Stackable \u2013 Ultimate Gutenberg Blocks (\u201cStackable\u201d) plugin and all assets and properties related thereto, including the Stackable website (\u201cWebsite\u201d). These Terms shall govern the Stackable affiliate program (\u201cAffiliate Program\u201d) and are binding on you, as a person applying as a participant (\u201cApplicant\u201d) or a person who has been accepted as a participant (\u201cAffiliate\u201d) in the Affiliate Program.<\/p>\n\n\n\n

1.      Consent,\nRepresentations and Warranties<\/strong><\/p>\n\n\n\n

By applying as an Affiliate and\/or participating in\nthe Affiliate program, Applicants and Affiliates warrant that you:<\/p>\n\n\n\n

a.      have read, understood and agree to all the\nTerms and any other rules or guidelines that may be issued relating to the\nAffiliate Program;<\/p>\n\n\n\n

b.      are\nof legal age and have full legal capacity and authority to enter into\nagreements, including these Terms;<\/p>\n\n\n\n

c.       will\nabide by these Terms and all other rules or guidelines that may be subsequently\nissued by the Company, and will undertake any obligations and exercise all\nrights and privileges and fulfill all obligations under the Affiliate Program\nin good faith, in a legal and bona fide<\/em>\nmanner, and without resorting to any malicious or fraudulent or deceptive\npractices or infringing on any intellectual property or other rights;<\/p>\n\n\n\n

d.      accept\nand agree that, subject to the payment of Commissions (as defined herein) properly\nearned in accordance with these Terms, the Company shall have the sole and\nexclusive discretion to change, update or otherwise modify these Terms or cancel\nthe Affiliate Program or any application or affiliate accreditation for any\nreason and without notice to any person.<\/p>\n\n\n\n

2.      Application<\/strong><\/p>\n\n\n\n

In\norder to participate in the Affiliate Program, you must submit an application\nin accordance with the instructions published on the website. Admission to the\nprogram is not guaranteed and the Company maintains sole and exclusive\ndiscretion on whether the application will be accepted. <\/p>\n\n\n\n

The\nCompany shall be under no obligation to provide any ground or reason for\nrejection. If your application is rejected, you will no longer be eligible to\nre-apply.<\/p>\n\n\n\n

3.      Obligations of Affiliates<\/strong><\/p>\n\n\n\n

3.1.      Marketing\nand Content Creation<\/strong><\/p>\n\n\n\n

The\nAffiliate Program was set up for the purpose of marketing and broadening the\nreach and usage of Stackable and Stackable Premium, and for this purpose, as an\nAffiliate, you shall have the responsibility of referring new potential\ncustomers to purchase Stackable products and services. <\/p>\n\n\n\n

Pursuant\nto this purpose, you are expected to invest reasonable efforts in making good\nquality content and other materials as your contribution to the marketing\nefforts for Stackable and its related products and services. In producing\ncontent, you must at all times ensure that due respect is afforded to the\nStackable product and services, Stackable brand and the Company. <\/p>\n\n\n\n

While\nfair observations may be allowed, you must in no way make any content or\ncirculate any matter or material that tends to besmirch the reputation and\nbrand of Stackable, all its affiliated products and services and that of the\nCompany. In any case, if we find that your promotional material or any of your\nassets are in any way problematic, offensive, illegal, deceptive or otherwise\nobjectionable, the Company reserves the discretion to cancel your Affiliate\nstatus, and to require the deletion or destruction of your content.<\/p>\n\n\n\n

3.2.      Affiliate\nAssets and Marketing Materials<\/strong><\/p>\n\n\n\n

It\nshall be your sole responsibility to create your own marketing content, and\nensure the maintenance and upkeep of all your own assets. The Company shall not\nbe under any obligation to provide any content or assets for use of Affiliates.\nAt its own discretion, the Company may from time to time issue marketing\nbanners, sale or other promotional materials that may be required to be used by\nAffiliates.<\/p>\n\n\n\n

3.3.\n     Use of Intellectual Property<\/strong><\/p>\n\n\n\n

The Company reserves all intellectual property\nrights over Stackable and other Company-owned products and other assets,\nrelated products and services and the marks and brand identity pertaining\nthereto; any use of such intellectual property by Affiliates is granted only on\na limited, temporary, non-exclusive, non-transferrable, non-sublicensable basis,\nand is limited only for the sole purpose of promoting Stackable products and\nservices pursuant to these Terms.<\/p>\n\n\n\n

The grant made hereunder remains revocable at any\ntime and at the sole discretion of the Company.<\/p>\n\n\n\n

3.4.      Fair Practices<\/strong><\/p>\n\n\n\n

The Affiliate shall observe fairness and good faith\nin all its dealings and efforts made pursuant to the Affiliate Program and\nthese Terms with respect to Stackable, the Company and any users, potential\npurchasers, existing customers or third parties. As an Affiliate, you shall not\nengage in any activity, practice or tactic which may in any way be deemed to be\nan abuse of any of your rights and obligations under these Terms.<\/p>\n\n\n\n

You\nagree not to use the Affiliate Program of the Company for any unlawful or\nprohibited purpose. You agree not to use the Affiliate Program in any way that\ncould damage our websites, products, services, or the general business and\nreputation of the Company. Determination of any unacceptable act or action by\nthe Affiliate will be in the sole discretion of the Company.<\/p>\n\n\n\n

It\nshall be prohibited to use the Affiliate Program:<\/p>\n\n\n\n

a.      to\nharass, abuse or threaten others or otherwise violate any person’s legal\nrights;<\/p>\n\n\n\n

b.      to\nviolate any intellectual property rights of the Company or any third party;<\/p>\n\n\n\n

c.       to\nupload or otherwise disseminate any computer viruses or other software that may\ndamage the property of another;<\/p>\n\n\n\n

d.      to\nperpetrate any fraud;<\/p>\n\n\n\n

e.      to\nengage in or create any unlawful gambling, sweepstakes, or pyramid scheme;<\/p>\n\n\n\n

f.        to\npublish or distribute any obscene or defamatory material;<\/p>\n\n\n\n

g.      to\npublish or distribute any material that incites violence, hate, or\ndiscrimination towards any group;<\/p>\n\n\n\n

h.      to\nunlawfully gather information about others;<\/p>\n\n\n\n

i.        to\nreverse engineer, or attempt to reverse engineer or disassemble any code or\nsoftware from or on any of our websites, products or services;<\/p>\n\n\n\n

j.        to\nviolate the security of any of our websites, products or services through any\nunauthorized access, circumvention of encryption or other security tools, data\nmining or interference to any host, user or network;<\/p>\n\n\n\n

Further,\nyou are strictly prohibited from pursuing illegal, unethical, or any other undesirable\nactivities in connection with the Affiliate Program, including spam activities,\ngathering email addresses and personal information from others or sending any\nmass commercial emails to lists, groups or contacts that you do not have\npermission to send to.<\/p>\n\n\n\n

4.         Affiliate\nCommission<\/strong><\/p>\n\n\n\n

An Affiliate in good\nstanding shall be entitled to a commission (\u201cCommission\u201d) on every Qualified\nPurchase, as defined below, and subject to the requirements under these Terms.<\/p>\n\n\n\n

4.1.   Qualified\nPurchase<\/strong><\/p>\n\n\n\n

A \u201cQualified Purchase\u201d is a new\npurchase of Stackable Premium that can be attributed to the Affiliate by the\nuse of a link assigned to the Affiliate (\u201cAffiliate Link\u201d), and is\/has\/was:<\/p>\n\n\n\n

a.      made by the purchaser after clicking on\nthe Affiliate Link and within the allowable period specified by the Company\nthrough the Website;<\/p>\n\n\n\n

b.      not made for a renewal, upgrade or repurchase\nof an existing plan;<\/p>\n\n\n\n

c.       not\nresulted in a cancellation, refund or chargeback;<\/p>\n\n\n\n

d.      not\nmade by the Affiliate himself\/itself, an already-existing partner or other\naffiliate of the Company;<\/p>\n\n\n\n

e.      not\nmade prior to the Affiliate joining the Affiliate Program;<\/p>\n\n\n\n

f.        not\npurchased by a customer in violation of any of our legal terms or in violation\nof principles of fair use;<\/p>\n\n\n\n

g.      not\nfraudulent in any way, in the Company’s sole and exclusive discretion;<\/p>\n\n\n\n

h.      not\na result of any offer from the Affiliate of any coupons or discounts other than\nthose coupons or discounts as may be provided, from time to time, specifically\nby Company for promotional use by Affiliate;<\/p>\n\n\n\n

i.        not\na result of any unfair or deceptive practices by the Affiliate; or <\/p>\n\n\n\n

j.        not\nmade in violation of these Terms or other rules or guidelines which may be\nissued by the Company.<\/p>\n\n\n\n

Affiliate Links will be tracked by cookies for\npurposes for attribution of a Qualified Purchase to an Affiliate. Referrals using\nany other means apart from the Affiliate Link will not be attributed to the\nAffiliate. For purposes of attribution, cookie tracking will be valid only for\nthirty (30) days from the date of the last click made on the valid Affiliate\nLink. <\/p>\n\n\n\n

Should there be more than one Affiliate Link clicked\nby a purchaser, the Commission shall be paid out to the Affiliate whose\nAffiliate Link was clicked later.<\/p>\n\n\n\n

Affiliate Links that have been configured to be untraceable\nwith respect to the referrer will not be used for attributing any sales and cannot\nbe used to earn any Commissions.<\/p>\n\n\n\n

4.2.   Commission<\/strong><\/p>\n\n\n\n

Unless otherwise subsequently specified by the\nCompany, the rate of Commission shall be the rate published through the Website.\nThe base amount to compute the Commission on a Qualified Purchase shall be the amount\nwhich the Company actually receives from the Qualified Purchase after deducting\npromotional discounts, taxes, fees and other charges.<\/p>\n\n\n\n

4.3       Payout<\/strong><\/p>\n\n\n\n

The Commission will be paid out through the account\nyou specify in your application, unless you notify the Company and the Company\nacknowledges that another account will be used for the payout of your validly\nearned Commission. Ensuring the correctness of the account information shall be\nthe responsibility of the Affiliate, and the Company shall not be held\nresponsible for payments made pursuant to any errors in providing such details.<\/p>\n\n\n\n

The Commission for every Qualified Purchase shall be\npaid out after reaching the threshold amount specified by the Company, every 23rd<\/sup>\nof the month or on the day of the month specified by the Company through the\nWebsite, and in any case only after the lapse of the refund period for the sale.\n<\/p>\n\n\n\n

All\npending and future payouts may be adjusted or offset to account for any\npreviously paid Commissions that have resulted in a refund or chargeback, or\nfor any other payables that should be for the account of the Affiliate.<\/p>\n\n\n\n

All\npayouts to be made will continue to be in the Company\u2019s sole and exclusive\ndiscretion. We reserve the right to reject clicks and\/or sales that do not\ncomply with these Terms or any other rules or guidelines issued by the Company.<\/p>\n\n\n\n

For\nany disputes as to payout, the Company must be notified within thirty (30) days\nof your receipt of the payout. Failure to notify the Company within such period\nwill be equivalent to forfeiture and abandonment of any grounds for dispute.<\/p>\n\n\n\n

The\nCompany reserves the right to change this payout process and procedure in our\nsole and exclusive discretion.<\/p>\n\n\n\n

4.4.   Taxes,\nFees and Other Charges<\/strong><\/p>\n\n\n\n

All taxes, tariffs, administrative fees, processing\nfees and any other fees and charges on the Commission shall be for the account\nof the Affiliate. It shall be the sole responsibility of the Affiliate to pay\nany taxes, tariffs or other government fees and charges which may be levied on\nany Commission. You must also provide all your tax and other government\ninformation when required by the Company.<\/p>\n\n\n\n

However, in the event that the Company becomes\nlegally required to withhold any such taxes, tariffs or other government fees\nand charges, you hereby expressly allow the Company to withhold or deduct any\nsuch payables from the Commission whenever necessary.<\/p>\n\n\n\n

Further, you expressly allow the Company to withhold\nany administrative or processing fees required to process and fulfill the\npayout of your Commission.<\/p>\n\n\n\n

5.      Nature\nof Relationship<\/strong><\/p>\n\n\n\n

The Affiliate Program does not in any way create an\nemployer-employee relationship between you and the Company. Neither are you\nconstituted as a stockholder, partner or agent of the Company by virtue solely\nof applying for or participating in the Affiliate Program. As such, you shall\nhave no right to present yourself as part of or as representing Stackable and\nthe Company, and you shall have no right to create any obligation on behalf of\nthe Company or to bind the Company in any way.<\/p>\n\n\n\n

Your\nstatus as Affiliate, once approved at the discretion of the Company, is granted\non a non-exclusive basis. As such, the Company shall be allowed to grant\nAffiliate status to any other person, and you are allowed to join other\naffiliate programs.<\/p>\n\n\n\n

The\ncommitment created under the Affiliate Program is a personal one, and you are\nnot allowed to constitute sub-affiliates or share your Commission with or\nassign or transfer your rights under the Affiliate Program to any other person,\nwhether such person is also an Affiliate or not.<\/p>\n\n\n\n

6.\n     Termination<\/strong><\/p>\n\n\n\n

The\nagreement between the Company and the Affiliate may be terminated by either\nParty at any time with or without cause.<\/p>\n\n\n\n

In\ncase of breach of any of these Terms, the Affiliate can be immediately\nterminated without any notice, and shall forfeit any rights under the Affiliate\nProgram including the right to unpaid Commissions, and will be disqualified\nfrom re-applying for the Affiliate Program or any other affiliate programs by\nthe Company.<\/p>\n\n\n\n

Upon\ntermination of this Agreement, any provisions that would be expected to survive\ntermination by their nature shall remain in full force and effect.<\/p>\n\n\n\n

7.      Indemnity<\/strong><\/p>\n\n\n\n

You\nagree to defend and indemnify the Company and any of its officers, directors,\nstockholders, employees, agents and representatives, and hold us free and\nharmless against any and all legal claims and demands, including reasonable\nattorney’s fees, which may arise from or relate to your use or misuse of the\nAffiliate Program, your breach of these Terms, or your conduct or actions. You\nagree that the Company shall be able to select its own legal counsel and may\nparticipate in its own defense, if the Company wishes.<\/p>\n\n\n\n

8.      Limit on Liability <\/strong><\/p>\n\n\n\n

You\nacknowledge and agree that you are entering and participating in the Affiliate\nProgram at your own risk and the Company shall not liable for any damages that\nmay occur to you as a result of your participation in Affiliate Program.<\/p>\n\n\n\n

9.         Confidentiality<\/strong><\/p>\n\n\n\n

In\nthe event that any information is disclosed to the Affiliate that the Company\ndeems or should be reasonably regarded as confidential and proprietary, the\nAffiliate agrees to hold such information in the strictest of confidence and\nnot to disclose such information to any other party or to use any such\ninformation for purposes other than that allowed by the Company and pursuant to\nthese Terms.<\/p>\n\n\n\n

10.       Jurisdiction, Venue and Governing Law<\/strong><\/p>\n\n\n\n

These\nTerms and all matters relating to the Affiliate Program shall be subject to\nPhilippine Laws and any action or proceeding that may be taken in connection\nwith the Affiliate Program shall exclusively be brought in the courts of Quezon\nCity, Philippines.<\/p>\n","protected":false},"excerpt":{"rendered":"
