These Terms and Conditions ("Terms") govern your access to and use of the Unifyca platform (the "Platform" or "Service"). The Service is operated by Unifyca ("Unifyca", "we", "us", "our"). By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. Definitions
- Account: A registered user account used to access the Service.
- User / Customer: Any individual or legal entity accessing or using the Service.
- Content: Any data, credentials, files, records, text, or materials uploaded, stored, transmitted, or otherwise processed through the Service.
- Subscription: A plan (free or paid) that defines access to features, usage limits, and billing terms.
2. Eligibility and Authority
You represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a company or other entity, you represent that you have the authority to bind that entity to these Terms.
3. Scope of the Service
Unifyca is a web-based SaaS platform designed to help professionals and organizations manage
technical information,
projects, systems, credentials, devices, and operational data. The Service may evolve over time and
features may be added,
modified, or removed to improve security, performance, or usability.
Free plans if offered, may be modified, limited, or discontinued at any time without notice.
4. Account Registration and Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your Account. You must promptly notify Unifyca of any suspected unauthorized access, compromise, or security incident related to your Account.
5. Right of Use
Subject to these Terms and an active Subscription (if applicable), Unifyca grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes. No ownership rights are transferred to you.
6. Acceptable Use and Restrictions
You agree not to misuse the Service. In particular, you must not:
- reverse engineer, decompile, or attempt to derive source code or underlying ideas of the Service;
- bypass, disable, or interfere with security or access controls;
- upload malware or content that is unlawful, infringing, abusive, or harmful;
- access, probe, or attempt to access data belonging to other tenants or users;
- use the Service to violate applicable laws or regulations.
7. User Content and Responsibilities
You retain ownership of your Content. You are solely responsible for your Content and for ensuring it is lawful, accurate, and appropriate to store and process via the Service (including any credentials or sensitive data). You must maintain appropriate backups and internal controls consistent with your business needs.
You grant Unifyca a limited license to host, process, transmit, and display your Content only as necessary to provide, secure, and maintain the Service and to comply with legal obligations.
8. Data Protection and Privacy
Unifyca processes personal data in accordance with applicable data protection laws, including the GDPR, and our Privacy Policy. Where required, the parties may enter into a data processing agreement (DPA) to reflect GDPR roles and obligations.
9. Data Security and Shared Responsibility
Unifyca implements reasonable technical and organizational measures designed to protect data against unauthorized access, loss, or alteration. However, no system can be guaranteed to be completely secure.
You are responsible for safeguarding your credentials, enabling available security controls, using strong passwords, and promptly addressing compromised accounts. Unifyca is not responsible for data loss or unauthorized access resulting from your actions, weak passwords, compromised user devices, third-party systems, or circumstances beyond Unifyca's reasonable control.
Nothing in these Terms limits liability for matters that cannot be excluded or limited under applicable law.
10. Subscriptions, Billing, Taxes, and Refunds
Certain features require a paid Subscription. Fees are billed in advance on a recurring basis (monthly or annually, as selected), unless otherwise stated. Subscriptions renew automatically until cancelled.
You may cancel your Subscription at any time. Cancellation will prevent future renewals but will not entitle you to a refund for any fees already paid. Access to the Service will remain available until the end of the current billing period.
Fees are non-refundable except where required by applicable law. Prices may be updated with prior notice. You are responsible for all applicable taxes, duties, or similar governmental charges, unless prohibited by law.
By purchasing a Subscription, you acknowledge that access to the Service is provided immediately after payment and that any applicable statutory right of withdrawal may be lost once the Service has begun, where permitted by law.
11. Availability, Maintenance, and Support
Unifyca aims for high availability but does not guarantee uninterrupted access. Planned maintenance
may result in temporary downtime.
Support scope and response times may depend on your Subscription plan and may be updated from time
to time.
The Service may integrate with third-party services. Unifyca is not responsible for the
availability, security, or functionality of such third-party services.
Unifyca may collect and analyze usage and technical data for security, performance, and service
improvement purposes.
12. Intellectual Property
The Service, including its software, design, interfaces, branding, and all related intellectual property rights, are owned by Unifyca or its licensors. You may not copy, modify, distribute, sell, or lease any part of the Service unless expressly authorized in writing.
13. Suspension and Termination
We may suspend or terminate your access if you materially breach these Terms, misuse the Service, or if required by law. You may cancel your Subscription at any time as described above.
Following termination, access to the Service will be disabled. We may retain and delete Content in accordance with our retention practices and applicable law. You remain responsible for exporting any Content you need before termination takes effect. Unifyca does not guarantee the availability of Content after account termination.
14. Disclaimer
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Unifyca disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
15. Limitation of Liability
To the maximum extent permitted by applicable law, Unifyca shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of data, loss of profits, or business interruption, even if advised of the possibility of such damages.
Unifyca shall not be liable for damages arising from security incidents unless caused by Unifyca's willful misconduct or gross negligence.
In any event, Unifyca's total aggregate liability arising out of or in connection with these Terms shall not exceed the total fees paid by you for the Service during the twelve (12) months preceding the event giving rise to the claim.
Some jurisdictions do not allow certain limitations; in such cases, the above limitations apply to the extent permitted by law.
16. Force Majeure
Unifyca shall not be liable for any delay or failure to perform resulting from events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, power or internet outages, or governmental actions.
17. Changes to the Terms
We may update these Terms from time to time. If changes are material, we will take reasonable steps to provide notice, such as by posting an update on this page or through the Service. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
18. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Spain and applicable European Union law. The courts of Barcelona, Spain, shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, to the extent permitted by applicable law.
19. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
20. Assignment
You may not assign or transfer these Terms without our prior written consent. Unifyca may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
