Important Legal Notice

By purchasing plugin redemption codes through our authorized platform, you acknowledge that you have read, understood, and unconditionally accept these terms, our general License Terms and Conditions, and Xsolla's payment platform terms. This constitutes a legally binding agreement.

Definitions and Terminology

Plugin Redemption Code ("Code"): A unique alphanumeric identifier that grants the bearer one-time access to download and utilize specific RPG Maker MZ plugins developed and owned by Undermax / Maxii1996. Each code is individually tracked and can only be used once.

Purchaser/Buyer: Any individual or legal entity that acquires plugin codes through our authorized payment processing platform, subject to age and legal capacity requirements.

Xsolla Commerce: The certified third-party payment processing platform exclusively authorized by Undermax to handle all financial transactions, code generation, and initial delivery. Xsolla operates independently under their own terms of service.

Official Itch.io Store: The authorized distribution platform at https://undermax.itch.io/ where plugins are officially listed and available for direct purchase.

Redemption Platform: The exclusive Undermax-operated system located at https://undermax.online/undermax/plugins-redeem/ where codes must be redeemed.

Payment Processing and Code Delivery Framework

All plugin code transactions are processed exclusively through Xsolla Commerce, a PCI-DSS compliant payment service provider. Undermax maintains a strict separation between content delivery and financial processing to ensure security and compliance. The following framework governs all transactions:

• Payment Processing Authority: Xsolla processes all payments according to their independent terms of service and privacy policy. Purchasers must review and accept Xsolla's terms before completing any transaction. Undermax has no access to or control over payment processing.
• Automated Code Generation: Upon successful payment verification by Xsolla, plugin redemption codes are automatically generated and delivered through Xsolla's email delivery system. Code generation is tied directly to payment confirmation.
• Delivery Responsibility: Xsolla assumes full responsibility for initial code delivery. Any issues with payment processing, delivery delays, or financial disputes must be resolved directly with Xsolla through their customer support channels.
• Financial Data Isolation: Undermax does not collect, store, process, or have access to any payment information, credit card details, billing addresses, or financial data. All such information is handled exclusively by Xsolla under their security protocols.
• Transaction Records: All transaction records, receipts, and payment histories are maintained by Xsolla. For transaction disputes, refund requests, or payment issues, purchasers must contact Xsolla directly.
• Currency and Pricing: All pricing is set in USD and may be converted by Xsolla based on the buyer's location. Currency conversion rates and fees are handled by Xsolla.

Exclusive Redemption Platform Requirements

Plugin codes can ONLY be redeemed through the official Undermax redemption platform. Any attempt to use codes elsewhere will result in permanent code invalidation. The following restrictions are strictly enforced:

• Platform Exclusivity: Codes are technically and legally restricted to https://undermax.online/undermax/plugins-redeem/ only. No other platform, website, or service is authorized for code redemption.
• Third-Party Platform Prohibition: Attempting to redeem codes on unauthorized platforms will result in immediate code invalidation without possibility of replacement or refund.
• Official Channel Verification: Only codes obtained through official channels (Xsolla purchases) will be recognized by our redemption system. Codes from any other source are invalid.
• Security and Verification: The redemption platform may require multi-step verification including email confirmation, captcha verification, and account validation before code acceptance.
• Technical Requirements: The redemption platform requires JavaScript-enabled browsers and may not function with certain privacy extensions or ad blockers.

Code Validity, Limitations, and Inventory Management

Limited Stock and Availability: Plugin availability is subject to inventory limitations managed by Undermax. When plugin inventory is depleted, codes cannot be purchased until new stock becomes available. Inventory status is updated in real-time but is not guaranteed due to high-volume sales periods.

Code Perpetual Validity: Plugin codes do not expire and remain technically valid indefinitely, provided they are redeemed through authorized channels and have not been invalidated due to violations of these terms.

Geographic and Legal Restrictions: Code redemption may be subject to geographic limitations based on plugin licensing agreements, export control regulations, or local laws. Certain regions may be restricted from purchasing or redeeming codes.

Inventory Priority System: During high-demand periods, code redemption follows a first-come, first-served basis. Valid codes may become unredeemable if inventory is exhausted between purchase and redemption.

Absolute Non-Refund Policy

ALL PLUGIN CODE PURCHASES ARE FINAL AND COMPLETELY NON-REFUNDABLE UNDER ANY CIRCUMSTANCES.

This strict policy exists due to the digital nature of the products and is non-negotiable. No refunds will be provided for any reason, including but not limited to:

• Buyer's Remorse: Change of mind, second thoughts, or regret after purchase
• Purchase Errors: Accidental purchases, duplicate orders, or wrong quantity selection
• Compatibility Issues: Incompatibility with user's projects, systems, or other plugins
• Functional Dissatisfaction: Dissatisfaction with plugin functionality, features, or performance

Extremely Limited Exception: Refunds may be considered ONLY in cases where a delivered code is technically defective due to system errors and cannot be redeemed through our official platform. Such exceptions require:

• Immediate notification within 24 hours of code delivery
• Technical verification by Undermax support that the code is non-functional
• Confirmation that the issue is not user-related, browser-related, or due to user error

Strictly Prohibited Commercial Activities

VIOLATION OF THESE RESTRICTIONS WILL RESULT IN IMMEDIATE CODE INVALIDATION, ACCOUNT SUSPENSION, AND POTENTIAL LEGAL ACTION.

The following activities are strictly prohibited and constitute material breaches of these terms:

• Code Resale and Trading: Plugin codes cannot be sold, resold, traded, bartered, or transferred to third parties for any consideration, monetary or otherwise. This includes auction sites, trading forums, social media sales, or any commercial marketplace.

• Public Sharing: Codes cannot be shared publicly through any medium including but not limited to forums, social media platforms, Discord servers, websites, blogs, YouTube videos, streaming platforms, or any public communication channel.
• Market Manipulation: Purchasing codes for the purpose of creating artificial scarcity, market speculation, hoarding for resale, or any form of market manipulation is strictly prohibited.
• Bulk Purchasing for Distribution: Excessive code purchases for non-personal use, redistribution, or any form of secondary distribution may result in immediate order cancellation, account suspension, and permanent purchase restrictions.
• Educational or Corporate Distribution: Codes cannot be purchased by educational institutions, corporations, or organizations for distribution to students, employees, or members without explicit written authorization from Undermax.
• Affiliate or Referral Schemes: Codes cannot be used in affiliate marketing, referral programs, or any scheme designed to generate revenue through code distribution.

Intellectual Property and License Inheritance

Plugin codes provide access to copyrighted digital products subject to Undermax's comprehensive License Terms and Conditions. By redeeming any code, users automatically and irrevocably accept and are legally bound by:

• Full License Compliance: All provisions of Undermax's License Terms and Conditions as published at https://undermax.online/undermax/LicenceTerms.html become immediately applicable and enforceable.
• Usage Restrictions: Restrictions on plugin modification, redistribution, commercial use parameters, and end-user limitations as specified in the main license.
• Attribution Requirements: Mandatory attribution requirements where applicable as specified in individual plugin documentation.
• Warranty Limitations: All limitation of liability and warranty disclaimers as specified in the main license agreement.
• Copyright Protection: Full protection under international copyright law, with code redemption constituting acceptance of copyright restrictions.

Comprehensive Limitation of Liability

UNDERMAX'S LIABILITY IS STRICTLY LIMITED AND CAPPED AS FOLLOWS:

• Maximum Financial Liability: Our total liability for any claim shall not exceed the amount actually paid for the specific plugin code in question, regardless of the theory of liability or nature of the claim.
• Excluded Damages: We are not liable for any indirect, incidental, special, consequential, punitive, or exemplary damages including but not limited to lost profits, lost data, business interruption, or loss of opportunity.
• Service Interruption: We are not responsible for any temporary or permanent service interruptions, server downtime, maintenance periods, or technical difficulties that may affect code redemption.
• Third-Party Actions: We are not liable for actions, failures, or decisions of Xsolla, internet service providers, or other third-party service providers.
• User Error Exclusion: We are not responsible for user errors, misunderstanding of instructions, technical incompetence, or failure to follow redemption procedures.
• Force Majeure Events: We are not liable for delays or failures due to circumstances beyond our reasonable control including natural disasters, government actions, pandemics, cyber attacks, or infrastructure failures.

Code Suspension, Termination, and Enforcement

Undermax reserves the absolute right to suspend, terminate, or permanently invalidate code redemption privileges under the following circumstances:

• Terms Violation: Any violation of these terms and conditions, our general license terms, or related policies
• Fraudulent Activity: Engagement in or suspicion of fraudulent activities, payment disputes, or unauthorized transactions
• System Abuse: Abuse of the redemption system, attempts to circumvent security measures, or exploitation of system vulnerabilities
• Commercial Violations: Commercial resale, unauthorized distribution, or any prohibited commercial use of codes
• Payment Issues: Chargebacks, payment reversals, disputed transactions, or failed payment verification
• Account Sharing: Sharing account credentials, allowing unauthorized access, or enabling third-party use of personal accounts
• Legal Violations: Violation of applicable laws, regulations, or legal requirements in the user's jurisdiction

Enforcement Actions: In cases of termination or suspension, affected codes will be permanently invalidated without refund, compensation, or possibility of restoration. Undermax may also pursue additional legal remedies as appropriate.

Platform Integration and Technical Compatibility

RPG Maker MZ Requirement: All plugins accessed through codes require a legally licensed copy of RPG Maker MZ software to function properly. Undermax does not provide, sell, or support RPG Maker MZ software.

Version Compatibility: Plugins may require specific versions of RPG Maker MZ for optimal performance. Compatibility information is provided on our official Itch.io store and is not guaranteed for all versions.

System Requirements: Users are solely responsible for ensuring their systems meet all plugin requirements before purchase. No refunds will be provided for compatibility issues.

Update and Maintenance: Plugin updates and maintenance are provided at Undermax's discretion and are not guaranteed for all products accessed through codes.

Force Majeure and Service Continuity

Undermax is not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:

• Natural disasters, pandemics, or other acts of God
• Government actions, regulations, or legal restrictions
• Internet outages, cyber attacks, or infrastructure failures
• Third-party service failures, including Xsolla or hosting providers
• Hardware failures, software bugs, or technical malfunctions
• Labor disputes, strikes, or personnel unavailability

During force majeure events, service may be temporarily suspended without liability or compensation obligations.

Severability and Modification

If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. Undermax reserves the right to modify these terms at any time, with changes taking effect immediately upon publication on our website.
