Case Background

On April 16, 2026, QVC Group, Inc. and certain of its U.S. subsidiaries, including QVC, Inc. (collectively, “QVC Group” or the “Company”), commenced voluntary Chapter 11 proceedings (the “Chapter 11 Cases”) in the U.S. Bankruptcy Court for the Southern District of Texas (the “Bankruptcy Court”). QVC Group’s international operations are not included in this process.

The Chapter 11 Cases are jointly administered under Case No. 26-90447 (the “Main Case Docket”). The case is being administered by the Honorable Judge Alfredo R. Perez.

The Company commenced these proceedings after entering into a Restructuring Support Agreement (the “RSA”) with holders representing a significant majority of the Company’s outstanding funded debt. The RSA outlines the terms of a comprehensive prepackaged financial restructuring plan that will substantially reduce the Company’s debt. As a result, the Company’s financial position will be strengthened as it continues advancing its transformational WIN Growth Strategy to drive long-term growth and profitability as a leader in live social shopping. The newly deleveraged company will emerge as Reorganized QVC, Inc.

All QVC Group brands are operating as usual, including customer-facing operations in the UK, Germany, Japan, and Italy. The Company continues to serve its millions of customers across all channels and platforms for QVC, HSN, and Cornerstone Brands. 

The Company is entering this process with more than $1 billion in cash on hand. Together with cash generated from ongoing operations, it has ample liquidity to meet its business obligations. Under the terms of the RSA, all third-party general unsecured creditors will be unimpaired, with their claims to be paid in full or reinstated.

Due to the prepackaged nature of the financial restructuring, the Company expects to complete this process on an expedited basis and, pursuant to the RSA, is targeting emergence within approximately 90 days.

Plan & Disclosure Statement

On April 17, 2026, the Debtors filed their Joint Prepackaged Plan of Reorganization (as subsequently amended, the "Plan") and the Disclosure Statement related thereto. A combined hearing to consider the adequacy of the Disclosure Statement and confirmation of the Plan commenced on June 4, 2026, at 1:00 p.m. (CT), and, was continued on June 5, 2026, at 3:00 p.m. (CT), June 8, 2026, at 9:00 a.m. (CT), and June 9, 2026, at 1:00 p.m. (CT), with such further dates thereafter as may be determined by the Court.
