By signing up for our services, you agree that you are at least 18 years old and that you have the legal capacity to enter into an agreement.
By obtaining our services you acknowledge and accept that periodically we may determine it is necessary to make updates to our Terms of Service. These changes are typically to further expand or clarify inclusions and exclusions of our services for your benefit.

The following services are provisioned and delivered as soon as possible once your order and payment has been received. They can however take up to 72 hours to provision, due to specific considerations of your order:
This terms of service policy constitutes a legal agreement between you and Oudel ("Oudel"). If you are accepting on behalf of a company, you represent and warrant to Oudel that you have full authority to bind such company. You will violate this policy if you engage in the following examples of prohibited activities while using our services.

SPAM and UCE are prohibited. Spam and UCE are defined as: the sending of the same, or substantially similar, unsolicited electronic mail messages, whether commercial or not, to more than one recipient.
Email marketing is prohibited on the network regardless of opt-in status or type of service, including web hosting, reseller hosting, VPS hosting and dedicated servers.
Oudel does not permit direct outbound email connections through TCP port 25 (SMTP) on VPS or dedicated servers. Oudel provides a free smarthost service to relay your outbound mail or you may use a third party email relay service. Oudel's smarthost servers are deployed with advanced filtering to prevent spam from passing through the network.
Advertising, transmitting, or otherwise making available any software, program, product, or service that is designed to violate this Policy, which includes the facilitation of the means to spam, initiation of pinging, flooding, mail-bombing, denial of service attacks and piracy of software.
Engaging in any activity that; Infringes or misappropriates the intellectual property rights of others, including copyrights, trademarks, service marks, trade secrets, software piracy, and patents held by individuals, corporations, or other entities; Violates privacy, publicity, or other personal rights of others.
Using Oudel's services to advertise, transmit, store, post, display, or otherwise make available child pornography. Oudel shall notify law enforcement agencies when it becomes aware of the presence of child pornography on or being transmitted through our services.
Advocating, promoting or providing assistance in carrying out violence or any other unlawful activity against any persons, animals or any governments, businesses or other entities.
Using Oudel's services as a means to transmit or post defamatory, harassing, abusive, or threatening language.
Accessing illegally or without authorization computers, accounts, or networks belonging to Oudel or another party, or attempting to penetrate security measures of another system (often known as "hacking").
Engaging in any activity that might be used as a precursor to an attempted system penetration (i.e. port scan, stealth scan, or other information gathering activity).
Distributing information regarding the creation of and sending of Internet viruses, worms, trojan horses, pinging, flooding, mail-bombing, or denial of service attacks.
Operating any service which enables abusive behavior by third parties is forbidden.
Operating any service or function which affects the stability or reliability of any Oudel server or network component, impacts other users or the company negatively, or degrades quality of service is forbidden.
Exporting encryption software over the Internet or otherwise, to points outside Canada or the United States that violate export control laws.
Engaging in any activities that are determined to be illegal, including advertising, transmitting, or otherwise making available ponzi schemes, pyramid schemes, fraudulently charging credit cards, and pirating software.
In the event that you engage in any of the activities above, and as determined by Oudel to be abusive or disruptive, Oudel may take any one or more of the following actions in response to abuse or complaints; Issue warnings: written or verbal. Suspend the account and access. Terminate the account and access. Bring legal action to enjoin violations and/or to collect damages, if any, caused by violations. Accounts with violations may not receive a refund as determined solely by Oudel.
Chargebacks / Disputed Payments - Chargebacks or payments that are disputed by the financial institution that was utilized in order to issue us payment will be reviewed on a case-by-case basis. While some disputes are unintentional or caused by miscommunication, disputes that are received for clients who receive punitive action for utilizing services in a prohibited manner will receive an Administrative Fee no less than $125 and not to exceed $250 to account for our administrative staff time.
Fraudulent Payments - Services that are acquired by means of fraudulent payments will be immediately suspended or terminated. Notification will be provided along with description as to the nature of whether the service is suspended or terminated. Similar to cancelled services, the data on terminated services are deleted immediately.
Refunds - Refunds are issued on a case-by-case basis since by default no refunds are provided once payment is received. Many or our services incur actual costs to provision, therefore, this is why refunds are not automatically available or granted. Please do contact us if you have any questions. Our intent is to work with each and every one of our clients in a fair manner. Upon request, we will do our very best to accommodate your request and let you know what is possible (and why). Prepayments such as account credit are ineligible to be refunded.
As consideration for the services you have selected, you agree to pay the applicable service fees. All fees payable hereunder are non-refundable except those fees covered by a "30 Day Money Back Guarantee" where advertised on the Oudel Website. You understand and agree that services are subject to change with or without prior notice due to the actions of third party suppliers, vendors and software updates, or as the result of a security discrepancy.
"30 Day Money Back Guarantee" only applicable for Web Hosting Plans & Reseller Hosting Plans. "30 Day Money Back Guarantee" Not Applicable for VPS Server & Dedicated Server.
You must provide current, complete and accurate information about you as required by the registration process and maintain and update this information as needed to keep it current, complete and accurate.
All fees are payable in US Dollars. Full payment must be made by the due date shown on your invoice. By using your credit or debit card information, you authorize Oudel and its merchant providers to charge the card for any fees due on your account. You will be responsible for all charges listed in your account up until you cancel your account in accordance with our cancellation policy.
Services will renew until a service is cancelled. If you do not wish to renew you must cancel your account by submitting a ticket or by sending an email to our Billing department [email protected]. Your username and password must be included. A cancellation refers to the removal of user materials from our systems and the deactivation of services. You will be required to pay any outstanding charges owed before any cancellation will take place. Please be aware that there are no pro-rated refunds after the first 30 days of service regardless of billing cycle.
Domain Name Registrations CANNOT be cancelled and are non-refundable. As the purchaser of the Domain Name you are the Domain Name's owner until the term of the Domain Name's registration has expired.
Suspension for Non-Payment - services interrupted for non-payment may be subject to a 10% late fee after 3 days or the maximum amount allowed by law (whichever is less). Data stored on a client’s services will not be available to the client until reconnection is established or alternative arrangements are made to the sole satisfaction of Oudel.com. Clients deactivated for non-payment or charge-back are subject to their data being destroyed seven (7) days past due, unless otherwise specified or agreed upon.
Oudel.com is not responsible for data integrity, regardless of circumstance. Oudel.com strongly recommends keeping up to date and off network backups to protect against data loss.
It is our intent to not want to suspend or terminate a client’s services for non-payment, we undergo efforts to give clients both adequate time and correspondence in order to avoid this scenario.
Communication is key - In the event that your account is either past-due, or you may think that your account might go past-due, please communicate the circumstances to us so that we can discuss and explore options that will allow you to retain your services.
Suspension for Utilizing Services in a Prohibited Manner - services that are utilized in a prohibited manner may be suspended depending on the nature of the circumstances. Services that are suspended will be communicated to you at the time they are suspended, along with a description as to why.
Some offenses are possible to remedy and upon client remedy, services can be restored. Other, more serious (or recurring offenses that are blatantly due to a lack of regard for our policies) may result in permanent suspension and service cancellation. In the event of permanent suspension and cancellation, services would be terminated for a violation of our terms of service and would not be eligible for any sort of refund (such offenses require administrative staff time to resolve issues with external parties).

Cancellations - We require five (5) day written notice of cancellation prior to your service’s renewal date that must be submitted through our client area. Very important to note, please be sure to back up any of your data prior to the cancellation date since upon cancellation the data upon the server is immediately removed for your protection. Cancellations (For Contract Services) - For any services that are in contract, we require seven (7) day written notice of cancellation prior to your service’s renewal date that must be submitted through our client area. Very important to note, please be sure to back up any of your data prior to the cancellation date since upon cancellation the data upon the server is immediately removed for your protection. Additionally please note, that such cancellations are reviewed on a case-by-case basis and that an early termination fee is determined which accounts tailored to the specific details of the service that is being pre-maturely canceled before the contract terms have been satisfied. Service Downgrades - in the event you are interested in downgrading a service, we require a five (5) day written notice prior to the service’s renewal date that must be submitted via our ticketing system. Please let us know if you have any questions about this.
Overview - Clients are provided best-effort hardware and network support on obtained services. Best-effort technical support is available 24 hours a day, 7 days a week, 365 days a year at no charge. Server management plans are available upon request for an additional fee, for customers who require software or OS level support.
OS Reloads on VPS and Windows RDP - clients with VPS and Windows RDP Servers are provided a simple to use client interface that allows them to initiate OS reloads in a self-service manner. This feature and capability is provided at no-charge. Please let us know if you have any questions on how to utilize this functionality.
OS Reloads on Dedicated Servers - clients with dedicated servers will be given one complimentary OS reload each billing cycle (which generally means one free OS installation each 30 days). Additional requested OS reloads during a billing cycle will be provided at a cost of $25. Please let us know if you have any questions.
Software Support (Excluded) - we do not provide software support. Clients who have obtained management plans are provided a detailed scope of what will be provided (and excluded) from their specific management plan. Please do let us know if you have any questions about this.
Support to Client End-Users (Excluded) - we do not provide support to end users of our clients. If such services are needed, please contact us so we can provide you with your options and guidance.
Our services are provided “AS-IS”. To the extent that is permitted by law: no written, expressed, or implied warranties (or guarantees) are made. We do not guarantee that the use of our services will meet your requirements or expectations. We do not guarantee that you will be able to access services at any given time or from any given location. Use our services at your own-risk.
Please be aware that your sole remedy for any dispute with us is the cancellation of your account. By using our services, you agree that we, our suppliers, affiliates, and agents will not be accountable for any monetary amount or claim that exceeds the total amount of fees that you have paid during the use of our services.
You agree to defend, indemnify and hold harmless our employees, officers, directors, agents, suppliers, from all liabilities, claims, expenses (including attorney fees) which arise from any claims including: loss of profits, data loss, work stoppage, hardware failure or malfunction, service interruption, any other commercial damages or losses, or your use or misuse of services.
Client consents that any legal action, or proceeding shall be through Arbitration according to the laws of the State of New Jersey. Jurisdiction and venue will be Trenton County, New Jersey.
As some states or jurisdictions allow for the exclusion or limitation of incidental damages, in such states and situations, our liability and the liability of our employees, officers, directors, agents, and suppliers, will be limited to the fullest extent permitted by law.
The Client agrees to fully indemnify, defend, and hold harmless Oudel Inc. from any and all claims, losses, damages, fines, investigations, penalties, legal fees, or judgments arising from:

Oudel Inc. charges a $8.00 USD one-time administrative fee per any service you wish to be transferred to another client account. Please note that Oudel Inc. staff reserve the right to decline any transfer request.
These Terms shall be governed by and interpreted under the laws of the jurisdiction in which Oudel operates, without regard to conflict-of-law rules.
You agree to submit to exclusive jurisdiction of the applicable courts.
We may update these Terms at any time. Continued use of the Service after updates constitutes acceptance.
