One pattern stands out: companies that pair durable cash flow with clear capital allocation and exposure to high-upside assets enjoy a meaningful advantage. That combination commands attention, attracts long-term investors, and creates real compounding power.<\/p>\n<p>With that understanding, we made a deliberate decision to strengthen our balance sheet so we can execute this playbook at scale. On November 18th, 2025, we announced up to $300 million in financing through a convertible note facility with a U.S.-based institutional investor\u2014one of the largest capital commitments ever made to a company of our size.<\/p>\n<p>This isn\u2019t simply a raise. It reflects confidence in where we\u2019re going, and it provides the flexibility to accelerate a strategy built on three pillars: M&amp;A discipline, public-market leverage, and the economics of digital assets.<\/p>\n<p>Back when we IPO\u2019d in August 2022, Bitcoin was hovering at around $20,000. At the time, I wondered what it would look like to put a certain amount of our IPO funds into Bitcoin and Ethereum instead of T-Bills.<\/p>\n<p>There were a lot of reasons we ultimately didn\u2019t do it (it wasn\u2019t one of the uses of funds in our IPO deck for a start), but the idea of a truly \u201cdigital economy\u201d public company that paired operating profits from digital businesses, with upside and staking yield from digital assets, has appealed to me for several years.<\/p>\n<p>In 2025, the \u201cdigital asset treasury\u201d boom kicked off. Dozens of companies became what we now call \u201cDATs.\u201d&nbsp;<\/p>\n<p>However, as we watched this strategy unfold, we believed it didn\u2019t make sense to just build a company around a single token, and it didn\u2019t make sense to just use the capital markets to stack that token.&nbsp;<\/p>\n<p>The mNAV premium flywheel could work in the right market, but we felt there was an opportunity to be more than that. More than\u2026DAT.<\/p>\n<p>So, we found investors who loved the fact we had real revenues and a nearly profitable company, and we structured a deal that gave us flexibility to invest in multiple coins, and crucially, also invest in our operating portfolio.<\/p>\n<p>The fact they were willing to commit to such a large facility speaks volumes about their confidence in the strategy.<\/p>\n<h2 class=\"wp-block-heading\">\u201cMore Than DAT\u201d &#8211; Why Pair Digital Assets With Operating Profits<\/h2>\n<p>Operating businesses contribute something digital assets do not: <em>predictability and diversification, plus scalable cashflow.<\/em><\/p>\n<p>Digital assets contribute something operating businesses rarely deliver: <em>asymmetric upside<\/em>.<\/p>\n<p>Combined, they create a stronger and more resilient model:<\/p>\n<h3 class=\"wp-block-heading\">1. Operating cash flow as fuel<\/h3>\n<p>Recurring revenue, subscriptions, retainers, and predictable cashflow create a floor of stability and funding for buying more cryptocurrencies. It also answers the question \u201cHow can you continue to compound your crypto-per-share in a bear market?\u201d<\/p>\n<p>One area we are working on is improving and scaling our own cashflows moving forward. The money we received in the first tranche will go a long way toward that goal. Future tranches, if drawn, will take that further.&nbsp;&nbsp;<\/p>\n<h3 class=\"wp-block-heading\">2. Digital assets as long-term upside<\/h3>\n<p>A diversified mix of crypto, in our case, BTC, ETH and SOL, lets us allocate across multiple networks rather than betting on a single chain. It also allows us to focus on upside, yield, and \u201crelative\u201d stability.<\/p>\n<p>We aren\u2019t going all in on meme tokens. We\u2019re buying productive assets with strong upside that can also produce yield of their own.<\/p>\n<p>We want to give public market investors the opportunity to have exposure to crypto upside via a vehicle that scales both its cashflows and its crypto holdings. We don\u2019t want people asking \u201cShould I just buy an ETF or go long the underlying tokens?\u201d<\/p>\n<p>We want it to be a no brainer to also buy ONFO.<\/p>\n<h3 class=\"wp-block-heading\">3. The blend can outperform either strategy alone<\/h3>\n<p>A treasury by itself can outperform in bull cycles but struggles when markets contract. Some pure-play DATs have already started selling off their crypto holdings just to stay afloat.&nbsp;<\/p>\n<p>Operating profits, on the other hand, compound steadily but rarely deliver exponential upside.<\/p>\n<p>Together, the two components support each other both financially and strategically.<\/p>\n<h2 class=\"wp-block-heading\">Why Diversification Matters: Multi-Token, Not Single-Token<\/h2>\n<p>A key decision: we are <strong>not<\/strong> concentrating the treasury in a single token.<\/p>\n<p>This approach reduces concentration risk and positions Onfolio shareholders to benefit broadly from digital asset adoption rather than betting the company on the fortunes of any one token.&nbsp;<\/p>\n<p>It\u2019s also designed to appeal to investors who want upside access to a broader basket of crypto than just a single token.<\/p>\n<p>We believe the three tokens above provide a great risk:reward balance. They\u2019re also ecosystems we would like to participate in more.<\/p>\n<p>We\u2019ll also evaluate if it makes sense to consider other tokens in the future. For now though, the purpose is to build a treasury with tangible yield and upside, not to simply speculate.<\/p>\n<h2 class=\"wp-block-heading\">What the $300 Million Facility Enables<\/h2>\n<p>The new financing facility materially changes Onfolio\u2019s trajectory.<\/p>\n<p>It gives us the ability to:<\/p>\n<ul class=\"wp-block-list\">\n<li>Grow a meaningful digital asset treasury<\/li>\n<li>Stake assets to generate yield<\/li>\n<li>Strengthen our balance sheet<\/li>\n<li>Accelerate performance across our operating businesses<\/li>\n<li>Pursue strategic acquisitions with a far stronger capital base<\/li>\n<\/ul>\n<p>This is transformative capital that serves all our needs.<\/p>\n<p><strong>75% of future tranches go to digital asset purchases, 25% will go to operating initiatives.<\/strong><\/p>\n<p><strong>Cashflow from our businesses can be allocated how we see fit.<\/strong><\/p>\n<p>That allocation aligns our model with our strategy: build a resilient operating foundation while growing a high-upside, yield-generating treasury.<\/p>\n<h2 class=\"wp-block-heading\">How We\u2019re Allocating the First Tranche<\/h2>\n<p>The first $5 million in net proceeds allows us to execute the strategy immediately.<\/p>\n<p><strong>Digital Asset Purchases ~$2.5M<\/strong><\/p>\n<p>We have just purchased BTC (20%), ETH (40%), and SOL (40%) and have staked the latter two to earn yield, and compound the holdings.<\/p>\n<p><strong>Operating Growth ~$2.5M<\/strong><\/p>\n<p>This capital, along with the $1M we raised in October, strengthens the financial position of the company and supports initiatives such as:<\/p>\n<ul class=\"wp-block-list\">\n<li>Funding strategic hiring and infrastructure<\/li>\n<li>Pursuing accretive acquisitions<\/li>\n<li>Supporting growth across our portfolio businesses<\/li>\n<li>Reducing selected liabilities<\/li>\n<\/ul>\n<p>This approach accelerates both parts of our model: the treasury and the operating engine.<\/p>\n<h2 class=\"wp-block-heading\">The Bigger Picture: Why This Model Works Now<\/h2>\n<p>By combining operating profits with digital asset yield, we position Onfolio to benefit from:<\/p>\n<ul class=\"wp-block-list\">\n<li>Cryptocurrency adoption<\/li>\n<li>Increased staking yields<\/li>\n<li>Growing revenues in our operating businesses<\/li>\n<li>Market cycles that amplify treasury value<\/li>\n<li>Confident positioning when acquisition opportunities appear<\/li>\n<\/ul>\n<p>This is not a narrative about \u201cbeing a crypto company\u201d or \u201cbeing a holdco.\u201d<\/p>\n<p>It\u2019s about building a durable public holding company that is structurally designed to compound capital.<\/p>\n<h3 class=\"wp-block-heading\">We\u2019ll Make More Significant Acquisitions<\/h3>\n<p>We\u2019ve made 7 acquisitions since our IPO. One thing we\u2019ve learned is that it is difficult to make progress with smaller acquisitions.
