PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY AND DO NOT UPLOAD YOUR VIDEO SUBMISSION UNLESS YOU UNDERSTAND THE TERMS AND CONDITIONS AND AGREE TO BE BOUND BY THE SAME. THESE TERMS AND CONDITIONS, AMONG OTHER THINGS, GRANTS TO ONEREPUBLIC, LLC (“COMPANY”) AND ITS DESIGNEES, ALL RIGHTS TO EXPLOIT YOUR VIDEO SUBMISSION, IN WHOLE AND IN PART, AND YOUR NAME, BY ANY MEANS NOW KNOWN OR HEREINAFTER DEVELOPED, THROUGHOUT THE WORLD IN PERPETUITY, WITHOUT CREDIT OR COMPENSATION TO YOU AND WITHOUT REQUIRING YOUR APPROVAL, INCLUDING, WITHOUT LIMITATION, USE OF YOUR VIDEO SUBMISSION, IN WHOLE OR IN PART, IN CONTENT DISPLAYED DURING LIVE PERFORMANCES OF THE BAND PROFESSIONALLY KNOWN AS ONEREPUBLIC.
By filling out the informational request form and uploading your video submission (“Content”), you acknowledge that you: (1) are 18 years (or the age of majority where you reside) or older at the time of submission; and (2) you are voluntarily submitting the Content. You represent, warrant and agree that the Content: (1) contains solely your likeness, and/or the likeness of an individual that has expressly approved the use of their image and likeness in the Content and granting the rights granted by you hereunder; and (2) is an original amateur video of your own creation. Further, you warrant that you are authorized, as the sole owner of the Content, to grant Company and its designees the right to use the Content as contemplated herein (i.e., in content displayed during live performances of OneRepublic). You warrant that no third party holds any rights in or to the Content and such uses by Company or its designees of the Content will not violate the rights of any third party. You hereby agree that Company and its designees may use the Content (but are under no obligation to do so), in whole or in part (as any Content may be edited, compiled, and/or altered in Company's sole discretion), without restriction. You acknowledge that you are not eligible for any credit or any compensation in connection with any and/or all uses of the Content by Company or its designees. You understand that Company and its representatives, assignees and designeesare not obligated to use the Content in any manner (submitting Content does not guarantee inclusion in any OneRepublic touring content).
You hereby assign to Company, its successors, licensees and assigns, any and all present and future rights of ownership, reproduction, and use of the Content. Company, its successors, licensees and assigns shall be permitted to use the Content for advertising, marketing, promotion or for any other commercial or non-commercial purpose whatsoever without compensation, credit or further permission. You hereby grant successors, licensees and assigns an irrevocable and perpetual, royalty-free, worldwide right, in all media (now known or later developed) to assign, use, publish, edit, adapt, modify, alter, reproduce, distribute, display, copyright, create derivative works, transfer or assign, or otherwise exploit the Content, for commercial or non-commercial use, and without compensation or credit to you. By submitting your Content, you waive any and all rights you may have in and to the Content, including without limitation, any so called 'moral rights' (droit Moral) now or hereafter recognized.
You hereby release Company and its subsidiaries, assigns, directors, officers, agents, employees, and attorneys, from any claims, damages, losses or injuries, including any third party claims, arising from or relating to, in whole or in part, submission of the Content hereunder.
You hereby agree to indemnify and save and hold Company and its designees harmless from any and all claims, damages, liabilities, costs, losses and expenses (including legal costs and reasonable attorneys' fees) arising out of or connected with any claim, demand or action which is inconsistent with any of the warranties, representations, covenants or agreements which you have made by submitting the Content. Company shall not be required to return the Content, or any portion thereof. Contestant’s Submission constitutes permission to use your name, likeness and voice for future advertising and publicity purposes without additional compensation.
For avoidance of doubt, your video submission constitutes acknowledgement that you have read and understand the terms and conditions outlined herein and your agreement to be bound by the same.
