Terms of Service

These Terms of Service ("Terms") govern your access to and use of the FastCloudWP WordPress plugin (the "Plugin") and the FastCloudWP hosted service (the "Service"), operated by FastCloudWP ("we", "our", "us"). By installing the Plugin, creating an account, or otherwise using the Service, you agree to be bound by these Terms.

1. The service

FastCloudWP provides a managed media offloading and CDN delivery solution for WordPress websites. The Plugin connects your WordPress installation to our Service using a website key and uploads selected media to storage we operate on your behalf. The Service rewrites frontend media URLs to deliver those files over a content delivery network.

2. Eligibility

You must be at least the age of legal majority in your jurisdiction to use the Service. By using the Service, you represent that you meet this requirement and have the authority to enter into these Terms on behalf of yourself or the entity you represent.

3. Accounts and website keys

3.1 Account creation

You create a FastCloudWP account by providing your full name and an email address, and by choosing a password. You are responsible for keeping your credentials secure and for all activity that occurs under your account.

3.2 Website keys

Each connected WordPress site authenticates to the Service using a website key generated from your account. You are responsible for the security of your website keys. If you believe a key has been compromised, you can rotate it from your dashboard.

4. Acceptable use

You agree not to use the Plugin or the Service to:

  • Store, transmit, or distribute content that is illegal in the jurisdictions where you or your visitors are located, including content that infringes copyright or other intellectual property rights;
  • Store or transmit malware, spyware, phishing pages, or other malicious code;
  • Engage in spamming, abusive scraping, or other behaviour that harms the Service or its users;
  • Circumvent or attempt to circumvent quotas, rate limits, or other technical protections of the Service;
  • Reverse engineer the Service or attempt to derive its source code, except as permitted by applicable law.

The Plugin is open source and licensed separately under GPL-2.0-or-later; see github.com/getfastcloud/wordpress for the source repository.

5. Plans, fees, and billing

5.1 Plans

The Service is offered on a free plan and one or more paid plans. The features, quotas, and prices of each plan are described on our pricing page and may be updated from time to time.

5.2 Subscriptions

Paid plans are billed in advance on a recurring basis (monthly or annually, depending on what you select). Subscriptions automatically renew at the end of each billing period unless you cancel before the next renewal.

5.3 Taxes

Prices are exclusive of applicable taxes. You are responsible for any taxes, duties, or government levies associated with your purchase, unless we are required to collect them on your behalf.

5.4 Refunds

You may cancel a subscription at any time. Cancellations take effect at the end of the current billing period. We do not provide prorated refunds for partial periods, except where required by law or at our discretion.

6. Usage limits and fair use

Each plan includes specified storage and traffic quotas. If you exceed your plan's quotas, we may rate-limit additional usage, require an upgrade, or charge overage fees as documented on our pricing page. Excessive use that materially degrades the Service for other users may also be subject to enforcement.

7. Your content

You retain ownership of all media and other content you upload to the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive, worldwide license to store, transmit, cache, and deliver Your Content solely for the purpose of operating the Service for you. This license ends when you delete Your Content from the Service or when your account is closed (subject to the retention period described in our Privacy Policy).

You represent that you have the right to upload, distribute, and serve Your Content through the Service.

8. Suspension and termination

8.1 Termination by you

You may stop using the Service and cancel your account at any time from your dashboard.

8.2 Termination by us

We may suspend or terminate your access to the Service if you violate these Terms, fail to pay outstanding fees, or use the Service in a way that creates legal exposure or material risk to other users. Where reasonable, we will provide notice and an opportunity to cure the violation.

8.3 Data after termination

After termination, we retain associated data for the period described in our Privacy Policy to allow recovery, then permanently delete it from active systems.

9. The plugin license

The Plugin's source code is licensed under the GNU General Public License v2 (or, at your option, any later version). Nothing in these Terms restricts your rights under that license with respect to the Plugin itself. These Terms govern your use of the hosted Service, not the source code license of the Plugin.

10. Service availability

We aim to keep the Service available 24/7 but do not guarantee uninterrupted operation. We may perform scheduled maintenance and will give reasonable notice for material planned downtime when feasible. We are not liable for downtime caused by factors outside our reasonable control.

11. Disclaimer of warranties

The Plugin and the Service are provided "as is" and "as available", without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or fully secure.

12. Limitation of liability

To the maximum extent permitted by law, FastCloudWP and its operators will not be liable for any indirect, incidental, consequential, special, or exemplary damages, or for any loss of profits, revenues, data, or goodwill, arising out of or related to your use of the Plugin or the Service. Our total aggregate liability under these Terms will not exceed the amount you paid us for the Service during the twelve (12) months preceding the event giving rise to the claim, or, if you have not paid us, one hundred Canadian dollars (CAD $100).

13. Indemnification

You agree to indemnify and hold FastCloudWP harmless against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your violation of these Terms, your misuse of the Service, or Your Content.

14. Changes to the service or terms

We may modify the Service or these Terms from time to time. If we make material changes to the Terms, we will notify account holders by email or by an in-product notice and update the "Last updated" date above. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

15. Governing law

These Terms are governed by the laws of the Province of Quebec, Canada, without regard to its conflict of laws principles. The courts located in Quebec, Canada will have exclusive jurisdiction over any dispute arising from or relating to these Terms, except where applicable consumer protection laws require otherwise.

16. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right under these Terms is not a waiver of that right. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
