Terms of Service – Edgen

These Terms of Service (together with any supplemental terms, policies, or operating rules that incorporate these Terms of Service by reference, the "Agreement") constitute a legally binding contractual agreement between you (an individual or a single legal entity, "you" or "User") and Edgen (referred to herein as "Edgen", "we", "our", or "us"). This Agreement governs your comprehensive access to and use of the Edgen ecosystem, which includes but is not limited to:
● The website-hosted user interface located at https://www.edgen.tech/ and all associated subdomains (the "Website");
● The Edgen mobile application available on the Apple App Store and Google Play Store (the "App");
● Our proprietary multi-agent architecture, specialized autonomous agents, and API integrations;
● All documentation, data feeds, research tools, and community features (collectively, the "Services").
The Services provide a sophisticated, high-performance interface designed to enable users to interact with an AI-powered market intelligence operating system. This system leverages advanced machine learning models to perform technical analysis for cryptocurrency and traditional equity markets, execute sentiment analysis of global market news, aggregate on-chain data, and deploy autonomous AI agents capable of synthesizing complex financial datasets into actionable intelligence.
PLEASE READ THIS AGREEMENT CAREFULLY. By downloading the App, accessing the Website, or utilizing any portion of the Services, you acknowledge that you have read, understood, and agreed to be bound by this Agreement in its entirety. This Agreement governs your legal rights, remedies, and obligations. If you do not agree to these terms, or if you do not have the legal capacity to enter into this contract, you must immediately cease all use of the Services and delete the App from all your devices.
To access or use our Services, you must be legally capable of entering into a binding contract under the laws of your jurisdiction. By agreeing to these Terms, you represent, warrant, and covenant that:
● Age and Capacity: You are at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher).
● Prior Conduct: You have not been previously suspended, banned, or removed from the Services for any reason.
● Legal Compliance: Your use of the Services will not violate any applicable local, state, national, or international laws or regulations. This includes, without limitation, strict adherence to anti-money laundering (AML), "Know Your Customer" (KYC), and anti-terrorist financing laws.
● Sanctions: You are not a citizen or resident of, nor are you located in, any country or region subject to comprehensive sanctions or embargos (e.g., those administered by OFAC, the UK, or the EU). You are not listed on any "Specially Designated Nationals" or "Blocked Persons" lists.
● Corporate Authority: If you are accessing the Services on behalf of a legal entity, you represent that you have the requisite legal authority to bind that entity to this Agreement. In such cases, "you" and "your" shall refer to both the individual user and the underlying entity.
NOTICE: PLEASE REVIEW THIS SECTION WITH EXTREME CARE. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Except for specific "Excluded Disputes" (defined as claims regarding intellectual property theft or unauthorized access), you and Edgen agree that all disputes, claims, or controversies arising out of or relating to this Agreement or the Services shall be resolved through mandatory binding arbitration.
● Waiver of Jury Trial: You and Edgen waive the right to a trial by jury or to have any dispute settled in a court of law.
● No Class Actions: You agree that you may bring claims against Edgen only in your individual capacity. You waive the right to participate as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.
● Arbitration Logic: Arbitration is more informal than a lawsuit. It uses a neutral arbitrator instead of a judge or jury and allows for more limited discovery than in court. Decisions are final and binding, subject to very limited review by courts.
3.1 Edgen is a Technology Provider, Not a Regulated Entity The Services provide a technical interface enabling interaction with complex AI models and public data protocols. Edgen is not an exchange, funding portal, custodian, trust company, licensed broker, dealer, broker-dealer, investment advisor, investment manager, financial advisor, or financial institution. We do not provide custody for your assets, nor do we execute trades on your behalf in a fiduciary capacity.
3.2 Informational Purposes Only All outputs generated by Edgen’s AI—including "intelligence," "signals," "scoring," "sentiment analysis," and "portfolio optimization suggestions"—are provided for informational and educational purposes only. They do not constitute, and should not be interpreted as, investment, tax, legal, or financial advice.
3.3 No Fiduciary Relationship Edgen does not act as a fiduciary, agent, or advisor to you. The App and our AI agents do not take into account your personal financial situation, risk tolerance, net worth, tax status, or specific investment objectives. Any interaction with our AI or other agents is purely technical in nature.
3.4 Risk of Total Loss and Volatility Financial markets, particularly the cryptocurrency and digital asset markets, are characterized by extreme volatility and unpredictability. You acknowledge and accept that:
● Market prices can fluctuate significantly in very short periods.
● Any investment decision involves a high degree of risk.
● You may lose the entire value of your invested capital.
● Past performance is not indicative of future results. Any historical data presented by the AI is for context only.
3.5 Independent Verification and Due Diligence You are solely responsible for conducting your own "Due Diligence." We strongly recommend that you consult with a qualified, licensed professional before making any financial commitment. You agree that you will independently verify all AI-generated signals against primary market data sources before taking action.
4.1 The Nature of Generative AI and "Hallucinations" Our Services utilize cutting-edge Large Language Models (LLMs) and multi-agent systems. You acknowledge that machine learning is an evolving technology with inherent limitations:
● Inaccuracy: AI can produce "hallucinations"—outputs that appear confident and logical but are factually incorrect, outdated, or deceptive.
● Reasoning Errors: AI agents may fail to account for "Black Swan" events or sudden market shifts that have not yet been reflected in their training data or real-time feeds.
● Non-Uniqueness: The AI generates outputs based on patterns. Other users may receive identical or substantially similar outputs if they provide similar inputs or queries.
4.2 Ownership of Inputs and Outputs
● User Inputs: You retain ownership of the data, prompts, and instructions you provide to the Services ("Inputs"). You grant Edgen a worldwide, royalty-free, perpetual license to use these Inputs to provide, maintain, and improve the Services.
● AI Outputs: To the extent permitted by law, Edgen assigns to you its interest in the specific results generated for you by the AI ("Outputs"). However, you acknowledge that you do not have an exclusive right to the underlying logic, patterns, or similar results generated for other users.
● Training Disclosure: We may use de-identified and anonymized Inputs and Outputs to further train and refine our proprietary models, ensuring a more intelligent experience for all users.
4.3 Technical Usage Limits To ensure platform stability and equitable access, we may impose "Rate Limits" or "Token Quotas." Edgen reserves the right to: (i) charge for additional usage credits; (ii) throttle processing speeds for heavy users; or (iii) restrict access if we detect automated bot behavior that threatens system uptime.
5.1 Subscription Tiers Edgen offers various subscription levels (e.g., Free, Pro, Expert). Each tier grants access to different levels of agentic depth, data frequency, and processing priority. We reserve the right to modify the features associated with each tier upon reasonable notice.
5.2 In-App Purchases (IAP) and Marketplace Rules If you subscribe via the Apple App Store or Google Play Store ("Marketplaces"):
● Transaction Processing: All billing is handled by the respective Marketplace. You agree to comply with their terms of service regarding payments and disputes.
● Auto-Renewal: Most subscriptions renew automatically. You must disable auto-renewal in your Marketplace account settings at least 24 hours before the end of the current period to avoid the next charge.
● The "No-Refund" Policy: Edgen does not possess the technical or legal ability to issue refunds for Marketplace transactions. All refund requests must be adjudicated by Apple or Google.
5.3 Third-Party Beneficiary Status You acknowledge that Apple and Google are third-party beneficiaries of this Agreement. This means that once you accept these Terms, Apple and Google have the legal right to enforce the provisions of this Agreement against you directly.
To protect the Edgen community and our proprietary technology, you agree not to:
● Reverse Engineering: Attempt to decompile, disassemble, or extract the source code, model weights, or underlying algorithms of our AI agents.
● Adversarial Attacks: Engage in "Prompt Injection" or "Jailbreaking" to bypass safety filters or force the AI to engage in unauthorized or harmful behavior.
● Data Scraping: Use automated systems (e.g., spiders, crawlers, or scrapers) to harvest data from our Website or App for use in competing products or for redistribution.
● Market Abuse: Use Edgen’s intelligence to facilitate illegal activities such as "wash trading," front-running, or spreading misinformation to manipulate asset prices.
● Impersonation: Falsely represent yourself as an Edgen employee, agent, or representative.
7.1 Disclaimer of Warranties THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. EDGEN DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE AI OUTPUTS WILL BE ACCURATE, RELIABLE, OR FREE FROM ERRORS.
7.2 Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EDGEN, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS SHALL NOT BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. THIS INCLUDES, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF TRADING CAPITAL, DATA LOSS, OR COST OF PROCUREMENT OF SUBSTITUTE GOODS.
● Liability Cap: IN NO EVENT SHALL EDGEN’S AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO EDGEN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).
7.3 User Indemnification You agree to defend, indemnify, and hold harmless Edgen and its affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of this Agreement; or (iii) any claim that your Inputs caused damage to a third party.
8.1 Governing Law This Agreement, and any dispute arising out of it, shall be governed by and construed in accordance with the laws of the British Virgin Islands (BVI), without giving effect to any choice or conflict of law provision.
8.2 Mandatory Arbitration Process Any dispute, controversy, or claim arising out of or relating to this Agreement, including the existence, validity, interpretation, performance, breach, or termination thereof, shall be referred to and finally resolved by arbitration administered by the BVI International Arbitration Centre (BVI IAC).
● Rules: The arbitration shall be conducted under the BVI IAC Administered Arbitration Rules in effect at the time the Notice of Arbitration is submitted.
● Composition: The tribunal shall consist of three (3) neutral arbitrators.
● Seat and Language: The seat of arbitration shall be Tortola, British Virgin Islands. The language of the proceedings shall be English.
● Finality: The arbitral award shall be final, binding, and enforceable in any court of competent jurisdiction.
9.1 Termination by User You may terminate this Agreement at any time by navigating to the "Account Settings" within the App or Website and selecting the "Delete Account" option. Upon deletion, your right to access the Services ceases immediately.
9.2 Suspension and Termination by Edgen We reserve the right to suspend or terminate your access to the Services at our sole discretion, without notice, for: (i) breach of this Agreement; (ii) suspicious or fraudulent activity; (iii) compliance with a valid legal request; or (iv) technical issues.
9.3 Survival Sections 3 (Financial Disclaimer), 7 (Liability), 8 (Governing Law), and 10 (Miscellaneous) shall survive the termination of this Agreement and continue in full force and effect.
● Entire Agreement: This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and Edgen regarding the Services.
● No Waiver: No failure or delay by Edgen in exercising any right under this Agreement shall constitute a waiver of that right.
● Severability: If any part of this Agreement is held to be invalid or unenforceable, that part will be construed to reflect the parties' original intent, and the remaining portions will remain in full force.
● Assignment: You may not assign your rights or obligations under this Agreement. Edgen may assign its rights to any successor in interest or affiliate.

BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS, UNDERSTAND THEM, AND AGREE TO BE LEGALLY BOUND BY THEM.
