CutQuote Terms of Service
These Terms of Service ("Terms") govern your access to and use of the CutQuote platform, website, customer portal, API, and related services (collectively, the "Services") provided by Idronic Pty Ltd (ABN 33 145 620 024), trading as CutQuote ("we", "us", "our"). By accessing, registering for, or using the Services in any manner, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Definitions
"Account" means your registered CutQuote account, including all Users, data, and configuration associated with it.
"Intellectual Property Rights" includes without limitation any copyright, patents, trademarks, design rights, database rights, trade secrets, or rights of publicity, privacy, or confidentiality, whether registrable or not, and whether registered or not.
"Licence" means the permission we grant to you to use CutQuote under these Terms, for the duration of your active subscription.
"Services" means the CutQuote software platform, website (cutquote.app), customer portal, website widget, REST API, and any related tools, features, or documentation we provide.
"Software" means the CutQuote cloud-based software application and all updates, patches, and new releases we make available during your subscription.
"User" means any individual authorised by you to access and use the Services under your Account. Each User must have their own login credentials.
"Your Data" means all files, quotes, customer records, material configurations, machine profiles, and any other business data you or your Users enter into the Services.
Headings in these Terms are for convenience only and do not affect interpretation.
2. Acceptance of Terms
The Services are offered subject to your acceptance of these Terms and all other operating rules, policies (including CutQuote's Privacy Policy and Refund Policy), and procedures published by us from time to time, which are incorporated herein by reference.
By accessing, registering for, or using the Services, you represent that you have the authority to bind the company or entity on whose behalf you are registering. If you do not agree to these Terms, do not use the Services.
3. Licence and Access
Subject to your compliance with these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable licence to access and use the Services for the duration of your active subscription. Each User may log in under their own credentials on one session at a time.
The number of Users permitted under your Account is determined by your subscription plan and any additional user seats you have purchased. You are responsible for ensuring that you do not exceed your licensed User count.
4. Licence Restrictions
Licences cannot be transferred, assigned, or sub-licensed to other parties without our prior written consent. You may not copy, publish, decompile, reverse engineer, or create derivative works of the Software, except as strictly necessary to use the Services or as permitted by applicable law. Unauthorised access to, distribution of, or modification of the Software is strictly prohibited.
5. Your Data
You retain all ownership rights in Your Data. We do not claim any Intellectual Property Rights over Your Data. We process Your Data solely to provide the Services to you, and we will not sell, rent, or disclose Your Data to third parties except as described in our Privacy Policy or as directed by you (for example, when you enable an accounting integration such as Xero or MYOB, or share quotes via the customer portal).
You are responsible for maintaining backups of Your Data. While we perform regular backups as part of our infrastructure, we are not liable for any loss of Your Data.
6. Subscription and Payment
CutQuote is offered as a cloud-based subscription service. Upon signup, you agree to pay the applicable monthly or annual subscription fee as displayed at the time of purchase, using your credit card via Stripe or by standard invoice where agreed.
Subscriptions renew automatically at the end of each billing cycle. You may cancel your subscription at any time through your Account settings or by contacting us. Cancellation takes effect at the end of the current billing period — you retain access until then.
Fees for additional user seats and add-on services (such as true-shape nesting) are billed in accordance with your billing cycle and are prorated where applicable.
All fees are quoted in US dollars unless otherwise agreed in writing.
7. Free Trial
New Accounts receive a 14-day free trial. During the trial, you have access to the full features of your selected plan. No credit card is required to start a trial. At the end of the 14-day trial period, your Account will be downgraded unless you subscribe to a paid plan.
8. Warranty Disclaimer
The Services are provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components. While CutQuote calculates costs based on the machine parameters, material data, and rates you configure, the accuracy of any quote depends on the accuracy of the data you enter. We are not liable for pricing errors resulting from incorrect configuration.
9. Limitation of Liability
To the maximum extent permitted by law, in no event shall we be liable for any indirect, incidental, special, exemplary, or consequential damages, including but not limited to loss of data, revenue, profits, contracts, business, anticipated savings, business interruption, or loss of goodwill, however arising, including negligence, relating to these Terms or your use of the Services.
Our maximum total liability to you for any claim arising out of or in connection with these Terms or the Services shall not exceed the total subscription fees paid by you to us in the 12-month period immediately preceding the claim, or AUD $100, whichever is greater.
10. Indemnity
You agree to indemnify and hold us, our officers, directors, employees, and agents harmless from any claim or demand, including reasonable legal fees, made by any third party due to or arising out of your use of the Services, your breach of these Terms, or your violation of any applicable law or the rights of a third party.
11. Account Security
You are responsible for maintaining the confidentiality of all login credentials associated with your Account, including any PIN codes used for shop floor access. You are fully responsible for all activities that occur under your Account. You agree to notify us immediately of any unauthorised use of your Account or any other breach of security.
12. Intellectual Property
All Intellectual Property Rights in the Services, including the Software, website, documentation, design, logos, and branding, are and remain the property of Idronic Pty Ltd. Nothing in these Terms transfers any ownership of our Intellectual Property to you.
13. Acceptable Use
Your use of the Services and any information you provide must not: be false or misleading; be offensive, defamatory, or in breach of applicable laws; infringe any third party's rights, including Intellectual Property Rights; introduce viruses, malware, or any code designed to disrupt or damage the Services; or cause the Services to be impaired, interrupted, or rendered less effective.
14. Privacy
Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which forms part of these Terms. By using the Services, you consent to the practices described in the Privacy Policy.
15. Termination
Your Licence terminates automatically upon expiry of your subscription period or failure to pay applicable fees. We may terminate your Licence immediately and without notice if you breach these Terms or if external circumstances require us to cease provision of the Services.
Upon termination, your access to the Services will be suspended. Your Data will be retained for 90 days following termination, during which you may request an export. After 90 days, Your Data will be permanently deleted.
Clauses that are expressly or by implication intended to survive termination shall survive, including without limitation: Indemnity, Intellectual Property, Limitation of Liability, Severance, Governing Law, Set-Off, and Waiver.
16. Notices
Any notice from us to you will be sent to the email address associated with your Account. Such notice is deemed to be received 24 hours after being sent. Any notice from you to us should be sent to [email protected] or to the postal address listed at the end of these Terms.
17. Force Majeure
We shall not be liable for any delay or failure in performing our obligations under these Terms resulting from circumstances outside our reasonable control, including but not limited to natural disasters, power outages, internet disruptions, or government actions.
18. Third Parties
These Terms are intended to benefit our proper assigns and successors but are not intended to confer any rights on any other third parties.
19. Severance
If any term or condition of these Terms is found to be unlawful, void, or unenforceable, it shall be severed to the extent required and rendered ineffective without modifying the remaining terms and conditions.
20. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Queensland, Australia. You submit to the exclusive jurisdiction of the courts of Queensland, Australia, for all disputes arising out of or in connection with these Terms.
21. Set-Off
Where you have incurred any liability to us, whether under these Terms or otherwise, we reserve the right to set off the amount of such liability against any sum that would otherwise be due to you.
22. Waiver
Any delay or failure by us in enforcing any right under these Terms is not a waiver of that right and will not prevent that right or any other right or remedy from being exercised or enforced.
