Terms and Conditions of Use

1. Introduction and Acceptance
1.1. These Terms and Conditions of Use ("Terms") govern the access to and use of the services offered by Coodesh Serviços Tecnológicos Ltda., registered under Brazilian Federal Tax ID (CNPJ/MF) No. 30.078.586/0001-78, headquartered at Av. Afonso Pena, 3,351 – 11th floor, suite 1103, Funcionários, Belo Horizonte/MG, Brazil, ZIP 30130-008 ("Coodesh", "we", or "our").
1.2. These Terms constitute a legally binding contract between Coodesh and the individual or legal entity accessing or using the Services ("You", "User", "Client", or "Client Company"). By creating an account, accessing, or using any Coodesh Service, You represent that You have read, understood, and fully agree with these Terms and with our Privacy Policy.
1.3. If You are accepting these Terms on behalf of a legal entity, You represent and warrant that You have the legal authority to bind such legal entity to these Terms. If You do not have such authority, or if You do not agree with these Terms, You must not access or use the Services.
1.4. Coodesh also offers the possibility of entering into customized contracts through digital signature, which may contain specific clauses that complement or replace provisions of these Terms. In the event of a conflict between the Terms and a customized contract signed between the parties, the provisions of the customized contract shall prevail.
2. Definitions
For the purposes of these Terms, the following definitions apply:
"Assessment" means any evaluation of a Candidate or Collaborator carried out through Coodesh's Software, including technical tests, questionnaires, code evaluations, artificial intelligence interviews, and behavioral assessments.
"Candidate" means the individual who is submitted to an Assessment at the request of a Client Company or who applies to opportunities available on the Platform.
"Collaborator" means the individual who is an employee or service provider of a Client Company and who uses the Platform for purposes of development, mapping, or skills assessment.
"Candidate Data" means any data originating from a Candidate or Collaborator, or directly provided by them through the use of the Platform, including Assessment responses, video and audio recordings, and personal data provided upon account creation.
"Client Data" means any data or information that the Client Company submits, shares, stores, or provides to Coodesh as part of the use of the Services, including custom tests created by the Client, its analyses, screenings, evaluations, classifications, and direct communications between the Client and Candidates. Candidate Data is expressly excluded from Client Data.
"Coodesh Data" means all operational, performance, and statistical data related to the functioning of the Platform and the use of the Services, excluding Client Data and Candidate Data. Includes aggregated and anonymized data.
"Platform" means Coodesh's technology platform, accessible via web and/or application, through which the Services are made available.
"Services" means, collectively, all products and features offered by Coodesh as described in Section 3 of these Terms.
"Software" means Coodesh's proprietary software, including its algorithms, interfaces, test libraries, and all technological components that make up the Platform.
"Management Users" means the representatives of the Client Company authorized to administer the corporate account on the Platform, manage Assessments, view results, and configure integrations.
3. Description of Services
Coodesh offers software-based technology solutions for skills assessment, recruitment, and talent development. The Services include the following products:
3.1. Coodesh Assessments: Platform for evaluations and technical tests for screening, qualifying, and identifying Candidates, or for internal use with Collaborators. Includes multiple-choice tests, coding tests, open-ended questionnaires, video and audio responses, and the AI Interviewer feature — a type of assessment that uses artificial intelligence to conduct structured interviews with Candidates or Collaborators.
3.2. Coodesh Hiring: Platform for managing the recruitment and selection process, including job posting, careers page, application management, and active talent search in the Candidate database.
3.3. Coodesh Skills (Workdex.ai): Platform for mapping, measuring, and developing skills of teams and Collaborators, focused on skills intelligence, career progression, and workforce planning. This product can be accessed via both the coodesh.com domain and the workdex.ai domain.
3.4. Coodesh may, at its discretion, launch new products, features, or modules, which shall be subject to these Terms or to specific additional terms communicated to Users.
4. License Grant and Use
4.1. Subject to compliance with these Terms, Coodesh grants the Client a limited, non-exclusive, non-sublicensable, and non-transferable license to access and use the Services exclusively for internal purposes of recruitment, selection, and/or talent development.
4.2. Access to and use of the Platform are provided according to the contracted subscription plan, including the number of Management Users, volume of Assessments, and available features.
4.3. Any agreements entered into between Client Companies and Candidates through the Platform are not binding on Coodesh. Coodesh is not a party to, guarantor of, intermediary in, or responsible for any employment, contractual, or other relationships established between Client Companies and Candidates.
4.4. There is no exclusivity relationship between the Client Company and Coodesh. The Client Company is free to contract and maintain third-party services with similar purposes.
4.5. Use of Client trademark. The Client Company authorizes Coodesh to use its name, brand, and/or logo for commercial reference purposes, including presentations, marketing materials, client lists (online and offline), internal financial reports, and results pages on Coodesh's website. Should the Client Company wish to opt out of such use, it may request removal by written notice to help@coodesh.com, and Coodesh will process the removal within 30 (thirty) business days.
4.6. Data retention after termination. Assessment results data carried out by the Client Company will remain available on the Platform for up to 12 (twelve) months after contract or account termination. During this period, the Client Company may consult results, export data via the Platform, or consume data via API. After the 12-month period, Coodesh may delete such data without further prior notice.
4.7. Traceability. Coodesh maintains a traceability system that records the history of information and movements carried out during the use of the Software. This information may be used for audit purposes, dispute resolution, or compliance with legal obligations.
5. Registration, Authentication, and Access
5.1. To use the Services, it is necessary to create an account on the Platform. To create an account, You must: (i) select the applicable subscription plan; (ii) be legally authorized to represent the contracting legal entity, if applicable; (iii) provide a valid email address and create an access password; and (iv) accept these Terms.
5.2. The Platform offers authentication via email and password, social authentication (Google or Microsoft), and, depending on the contracted plan, Single Sign-On (SSO) authentication based on the SAML protocol. In cases of SSO access, authentication will be the responsibility of the identity provider chosen by the Client. Coodesh shall not be responsible for failures, unavailability, or security breaches arising from the identity provider configured by the Client, including unauthorized access originating from the compromise of credentials or the Client's SSO/SAML environment.
5.3. Types of access:
- Management Users (Company): manage the corporate account, jobs, Assessments, results, and Platform configurations.
- Candidates: access the Platform to complete Assessments, complete their profile, and, optionally, apply to job opportunities.
- Collaborators: access the Platform by invitation from the Client Company to complete Assessments for mapping and developing skills. This type of access requires a corporate email belonging to the company's workspace and does not include access to employability features.
6. Plans, Features, and Contracting
6.1. Coodesh Assessments — includes, according to the contracted plan: access to the test and technical question library; Assessment invitations and results in various formats (multiple choice, coding, open-ended questionnaire, AI Interviewer); creation of custom tests and libraries; video and audio responses; ATS integration; integration with soft skills assessments; brand customization (white label); Assessment Design with a market expert; API, SSO, and custom integrations; and expert support.
6.2. Coodesh Hiring — includes, according to the contracted plan: job management; careers page; application management; and active talent search in the database (active hunting).
6.3. Coodesh Skills (Workdex.ai) — includes, according to the contracted plan: skills management; technical Assessments with certificates; invitations to evaluate Collaborators; and soft skills Assessments.
6.4. Add-ons and Integrations: additional services, add-ons, or specific integrations may require acceptance of supplementary terms or signing of a specific digital contract.
6.5. API and Access Keys. Coodesh may provide API keys ("API Keys") to enable the Client Company to integrate the Services with its own systems or third-party systems, including ATS (Applicant Tracking Systems), LMS (Learning Management Systems), and other corporate platforms. API usage is subject to the following conditions: (a) the Client Company is solely responsible for the custody, security, and proper use of its API Keys, which shall be treated as confidential information; (b) any access or operation performed using an API Key shall be considered as performed by the Client Company that owns it, regardless of who actually used it; (c) the Client Company may not redistribute, sublicense, or share its API Keys with unauthorized third parties; (d) data accessed or transmitted via API remains subject to these Terms and Coodesh's Privacy Policy; (e) Coodesh may establish usage limits (rate limits) and revoke API Keys at any time in case of abusive use, violation of these Terms, or security compromise; (f) Coodesh shall not be responsible for failures, data loss, or unavailability arising from integrations developed or configured by the Client Company. Technical documentation of the API will be made available by Coodesh according to the contracted plan.
7. Free Plan, Beta Products, and Trial Period
7.1. Coodesh may provide: (a) free access to limited features of the Services ("Free Plan"); (b) experimental access for a determined period ("Trial"); or (c) early access to products or features under development ("Beta Products").
7.2. The standard Trial period is 7 (seven) calendar days, which may be extended by negotiation between the parties. The Trial includes a limited amount of credits for unlocking results, restricted access to the test library, customization features, and video and audio resources.
7.3. Beta Products and Free Plan features are provided "as is", without warranty of any kind, express or implied. Coodesh specifically disclaims all implied warranties of merchantability, non-infringement, and fitness for a particular purpose with respect to such products.
7.4. Coodesh reserves the right to discontinue, modify, or limit access to Free Plans, Trials, and Beta Products at any time, without prior notice.
8. Payment and Cancellation
8.1. Plans are offered with monthly or annual payment options, with price variations according to the products, modules, and features contracted.
8.2. Payment methods:
- Brazil: credit card, bank slip (boleto), or Pix, processed via Stripe or Vindi.
- Other countries: credit card processed via Stripe.
8.3. Self-service plans: plans purchased directly on the Platform through credit card payment are governed exclusively by these Terms.
8.4. Plans with customized contract: plans for medium and large companies (Pro+, Business, or Enterprise) are managed by a Coodesh Account Executive and formalized through a digitally signed contract. In these cases, the conditions of the customized contract prevail.
8.5. Monthly plan cancellation: may be performed at any time, with no penalty or commitment period, through Company Menu > Plan and Billing > Pause or Cancel Plan (https://coodesh.com/workspace/billing).
8.6. Annual plan paid monthly cancellation: subject to a contract breakage fee equivalent to 50% (fifty percent) of the remaining amount due.
8.7. Annual Plan and Cancellation and Refund Policy: By opting for the annual plan with upfront payment, the Client contracts access to the Platform for a minimum period of 12 (twelve) months, through advance payment, under differentiated commercial conditions. The Client may request cancellation at any time, in which case access will remain active until the end of the contracted period, with no refund being owed, except as provided below. Exclusively for new contracts, a period of up to 30 (thirty) calendar days, counted from the start date of the agreement, will be granted for cancellation requests with refund. In this case, Coodesh will make a proportional refund of amounts paid, considering the period effectively used, and administrative and financial adjustments may apply. After the expiration of said period, amounts paid will be considered non-refundable.
8.8. The termination of any plan must be communicated with a minimum advance notice of 30 (thirty) days.
8.9. Invoices and Service Invoices (NFS-e) are issued upon payment confirmation. Companies with customized contracts (Business or Enterprise) may request prior issuance of the NFS-e. Billing questions should be directed to financeiro@coodesh.com.
8.10. The contract takes effect from the date of its signature and remains valid for an indefinite period, and may be renewed or terminated by mutual agreement between the parties.
9. Use of Artificial Intelligence
9.1. Some features of the Services use artificial intelligence and machine learning technologies for functionalities such as question generation, automated interview conduct (AI Interviewer), answer analysis and scoring, and skills report generation.
9.2. Coodesh uses third-party providers of large language models (LLMs) to process certain AI functionalities. Data processing by these providers is subject to the security and privacy commitments established in our contracts with such providers and in compliance with our Privacy Policy.
9.3. Results generated by artificial intelligence are provided as a decision support tool and do not replace human judgment. The Client Company is responsible for using the results ethically and in compliance with applicable legislation, including anti-discrimination rules.
9.4. Coodesh does not guarantee the absolute accuracy of results generated by artificial intelligence and continuously works to improve its models and reduce biases.
9.5. Integrations via MCP (Model Context Protocol). Coodesh provides connectors based on the MCP protocol to allow the Client Company to integrate the Services with its own or third-party language models (LLMs). By using MCP integrations, the Client Company acknowledges and agrees that: (a) Assessment data, results, and other information accessed by the Client's LLM through MCP may be processed by artificial intelligence models not under Coodesh's control; (b) the Client Company is solely responsible for the processing of personal data carried out by its own LLMs or by third-party LLMs contracted by the Client, including compliance with all applicable data protection obligations (LGPD, GDPR, and other legislation); (c) Coodesh shall not be responsible for results, decisions, data leaks, or any damages arising from data processing by language models operated or contracted by the Client Company; (d) the Client Company shall ensure that the LLMs used do not store, retain, or use personal data of Candidates or Collaborators for model training purposes, unless expressly authorized by the data subjects.
10. User Responsibilities
10.1. You are responsible for the use of the Services and for any activity carried out through your account, including use by authorized third parties.
10.2. You agree to provide accurate, complete, and up-to-date information during registration and use of the Services. Providing false, incomplete, or outdated information constitutes a violation of these Terms and may result in suspension or termination of your account.
10.3. You are responsible for maintaining the confidentiality of your access credentials (password and email) and for all activities performed with your account. Coodesh shall not be responsible for losses or damages arising from unauthorized use of your account.
10.4. You must notify Coodesh immediately upon becoming aware of any security breach or unauthorized use of your account, via the email help@coodesh.com.
10.5. Prohibited uses. Users are prohibited from: (a) using the Services for illegal, discriminatory purposes, or that violate third-party rights; (b) accessing, copying, reproducing, or distributing content from the Services beyond what is permitted in these Terms; (c) performing or facilitating reverse engineering, decompilation, disassembly, or any attempt to extract the source code of the Software; (d) using bots, scripts, or automated means to access the Services without prior authorization; (e) sharing access credentials with unauthorized third parties; (f) removing, altering, or obscuring any intellectual property notices contained in the Services.
10.6. Account management:

- To change password: User Menu > Security (https://coodesh.com/account/security).
- To terminate account: User Menu > Settings > Account > Terminate or Pause (https://coodesh.com/account/settings).
11. Intellectual Property
11.1. Coodesh ownership. Coodesh holds all intellectual property rights to the Platform, the Software, the Services, documentation, algorithms, content of test libraries, Assessment questions, Beta Products, and any improvements, modifications, updates, or new features developed by Coodesh, including those based on feedback provided by the Client.
11.2. Coodesh Data. Coodesh holds ownership of all Coodesh Data, including operational data, performance data, and aggregated anonymized or de-identified data derived from the use of the Services.
11.3. Client Data. Client Data remains the exclusive property of the Client, subject to the licenses granted to Coodesh for operation of the Services as described in these Terms and the Privacy Policy.
11.4. Candidate Data. Candidate Data is the exclusive property of the Candidate. Coodesh acts as a data processor of Candidates' personal data on behalf of the Client Company (controller), as detailed in the Privacy Policy.
11.5. These Terms do not grant the Client any title or ownership rights in or to the Platform, the Software, the Services, test questions, algorithms, or any intellectual property of Coodesh.
11.6. Users are expressly prohibited from: modifying, translating, decompiling, reverse engineering, disassembling, adapting, or attempting to abstract the source code of the Platform, the Software, or any component of the Services.
12. Confidentiality
12.1. The parties undertake to keep confidential all technical, commercial, financial, and strategic information they have access to as a result of the contractual relationship established through these Terms ("Confidential Information").
12.2. The following shall not be considered Confidential Information: (a) information that is or becomes in the public domain without violation of these Terms; (b) information already known to the receiving party before disclosure; (c) information lawfully obtained from third parties without confidentiality obligations; or (d) information independently developed by the receiving party.
12.3. The confidentiality obligation shall survive the termination of these Terms for a period of 5 (five) years.
13. Limitation of Liability
13.1. To the maximum extent permitted by applicable law, Coodesh shall not be liable for indirect, incidental, special, consequential, or punitive damages, including, without limitation, loss of profits, loss of data, business interruption, or damages arising from the use or inability to use the Services.
13.2. Coodesh's total aggregate liability under these Terms shall be limited to the total amount paid by the Client in the 12 (twelve) months immediately preceding the event giving rise to the claim.
13.3. Coodesh does not guarantee that the Services will be uninterrupted, error-free, or that they will meet all Client requirements. The Services are provided "as is" and "as available".
13.4. Coodesh is not responsible for hiring, firing, promotion, or any other people management decisions made by the Client Company based on Assessment results.
14. Indemnification
14.1. The Client agrees to indemnify, defend, and hold Coodesh, its directors, employees, and agents harmless from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) Client's use of the Services in violation of these Terms; (b) Client's violation of any law or regulation; (c) Client's violation of third-party rights; or (d) Client Data infringing third-party intellectual property rights.
15. Protection of Personal Data
15.1. Coodesh processes personal data in compliance with the Brazilian General Data Protection Law (LGPD – Law No. 13,709/2018) and, when applicable, the European Union General Data Protection Regulation (GDPR – Regulation EU 2016/679).
15.2. For purposes of data protection legislation: (a) in relation to data of Candidates and Collaborators evaluated through Assessments at the request of the Client Company, the Client Company acts as controller and Coodesh acts as processor; (b) in relation to data of Candidates who create an account on the Platform independently and data necessary for operation and improvement of the Services, Coodesh acts as controller.
15.3. Detailed conditions on collection, use, sharing, retention, and protection of personal data are described in our Privacy Policy, which is an integral part of these Terms.
15.4. Coodesh provides LGPD forms and specific consent mechanisms to ensure compliance in the processing of sensitive personal data collected during Assessments.
16. Term and Termination
16.1. These Terms take effect on the date of acceptance and remain valid as long as the Client maintains an active account on the Platform.
16.2. Coodesh may suspend or terminate the Client's access to the Services, at any time and without prior notice, if the Client violates any provisions of these Terms.
16.3. After termination, the Client Company will have access to Assessment results data for a period of 12 (twelve) months, according to Section 4.6. The confidentiality, intellectual property, and limitation of liability obligations shall survive the termination of these Terms.
17. Changes to the Terms
17.1. Coodesh reserves the right to change these Terms at any time. Significant changes will be communicated to Users via the registered email or through notices on the Platform with a minimum advance notice of 15 (fifteen) days.
17.2. Continued use of the Services after the entry into force of the changes constitutes acceptance of the new Terms. If You do not agree with the changes, You must cease using the Services and request termination of your account.
18. Governing Law and Venue
18.1. For Clients domiciled in Brazil: These Terms shall be governed by and interpreted in accordance with the laws of the Federative Republic of Brazil. The courts of Belo Horizonte/MG are hereby elected, with exclusion of any other, however privileged, to resolve any disputes arising from these Terms.
18.2. For Clients domiciled outside Brazil: These Terms shall be governed by the laws of the Federative Republic of Brazil. The parties agree to seek, in good faith, the amicable resolution of any disputes. If not possible, the courts of Belo Horizonte/MG are hereby elected, without prejudice to arbitration or other alternative dispute resolution method that may be agreed between the parties.
19. General Provisions
19.1. Assignment. The Client may not assign or transfer its rights or obligations under these Terms without the prior written consent of Coodesh. Coodesh may assign these Terms to any company of the same economic group or in the event of merger, acquisition, or sale of assets.
19.2. Entirety. These Terms, together with the Privacy Policy, the Cookie Policy, and, when applicable, the customized contract signed between the parties, constitute the entire agreement between the parties with respect to the subject matter hereof.
19.3. Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
19.4. Waiver. The tolerance or non-exercise of any right provided for in these Terms by any of the parties shall not constitute a waiver of the right to exercise it at any time.
19.5. Force majeure. Neither party shall be liable for failures or delays in the performance of its obligations arising from force majeure events, including, without limitation, natural disasters, pandemic, telecommunications infrastructure failures, governmental acts, or any other event beyond the reasonable control of the affected party.
